CONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreementismadeon[date],byandbetween:

1.[],acompanyestablishedandexistingunderthelawsof[],whoseprincipalplaceofbusinessisat[]（hereinafterreferredtoas“CompanyA”）;and

2.[],acompanyestablishedandexistingunderthelawsof[],whoseprincipalplaceofbusinessisat[]（hereinafterreferredtoasthe“CompanyB”）.

CompanyAandCompanyBhereinafterarecollectivelyreferredtoasthe“Parties”,andindividuallyreferredtoasa“Party”.

Recital

WHEREAS,theRecipientdesirestoacquirecertaininformationrelatingtotheDiscloseranditsRelatedPartiesforthepurposeof（hereinafterreferredtoasthe“Project”）;and

WHEREAS,fortheaboveProject,theDiscloserhasagreedto,directlyorindirectlythroughotherparties,makeavailabletotheRecipientcertainconfidentialinformation（asdefinedinArticle1）concerningtheDiscloseranditsRelatedParties.

NOWTHEREFORE,thePartiesagreetoenterintothisConfidentialityAgreement（hereinafterreferredtoasthe“Agreement”）underthefollowingtermsandconditions:

Article1

DefinitionsandInterpretations

1.1ConfidentialInformationmeans:

（1）allnon-publicinformationanddata（inwhateverformandhowevercommunicatedormaintained,whetherorally,inwriting,electronicallyorviaanyothermedium）relating,directlyorindirectly,totheaParty（hereinafterreferredtoasthe“Discloser”）,itsRepresentativeortheProject,thatisdeliveredordisclosedbytheDiscloserorbyanyotherpersonsonbehalfoftheDisclosertotheotherParty（hereinafterreferredtoasthe“Recipient”）oritsRepresentative.

（2）allinformation,data,analysis,compilations,notes,studies,memorandaorotherdocumentsormaterialsderivedfrom,containingorreflectingtheinformationlistedinsection

（1）.

1.2ConfidentialInformationdoesnotincludeanyinformationthat:

（1）isorbecomesinthepublicdomainpriortothedisclosurethereofbytheDisclosertotheRecipientorentersintothepublicdomainotherwisethanthroughaviolationofthisAgreementorofotherobligationofconfidentialityowedtotheDiscloserbytheRecipientoritsRepresentativesafterdisclosurethereofbytheDisclosertotheRecipient;or

（2）becomesavailabletotheRecipientonanon-confidentialbasisfromasourceotherthantheDiscloserwhoisnotunderanyobligationofconfidentialityorrestrictionofusetotheDiscloserinrespectofsuchinformationordata;or

（3）waslawfullyinthepossessionoftheRecipientbeforetheinformationwasdisclosedtoitbytheDiscloserasevidencedbywrittenrecords.

1.3RelatedPartymeans，withtoaParty,anyperson,which,directlyorindirectly,iscontrolledby,undercommoncontrolwith,orincontrolof,suchParty;thetermcontrolmeanshavinghalformoreshareholdinginterests,ortherighttodelegate,appointornominatemostdirectorsintheboard,ortherighttodelegate,appointornominatethemanagement.

1.4RepresentativemeansinrelationaPartytothisAgreement,anyofitsdirector,officer,affiliate,partner,employee,representative,agent,attorney,consultantandaccountant,togetherwiththemanagementandemployeesofthepersonsmentionedherein.

1.5ThetermpersonasusedinthisAgreementshallincludeanycompany,organizationorindividual.

Article2

ProvisionofConfidentialInformation

2.1SubjecttothetermsofthisAgreement,theDiscloseragreestomakeavailableConfidentialInformationtotheRecipientandwishestoensurethattheRecipientmaintainstheconfidentialityoftheDiscloser’sConfidentialInformation.

2.2ThisAgreementappliestoallConfidentialInformation,whetherornottheConfidentialInformationwasdisclosedtooraccessedbytheRecipientonorbeforethedateofthisAgreement.

Article3

Use,DisclosureandReturnofConfidentialInformation

3.1TheRecipientmayusetheConfidentialInformationsolelyfortheProjectandonlywhensuchuseisnecessaryfortheProject.

3.2TheRecipientmayonlydiscloseConfidentialInformation:

（1）toitsRelatedPartyorRepresentativesolelyonaneed-to-knowbasisfortheimplementationoftheProjectandwheresuchdisclosureisnecessaryfortheProject;

（2）inaccordancewithArticle3.4;or

（3）withthepriorwrittenconsentoftheDiscloser.

3.3AnyPartyshallnot,withoutpriorwrittenconsentoftheotherParty,disclosetoanyperson

（1）thefactthatdiscussionsornegotiationsaretakingplaceconcerningtheProject;

（2）anyoftheterms,conditions;or（3）otherfactswithrespecttoanysuchpossibletransaction.

3.4NotwithstandingotherprovisionsofthisAgreement,theRecipientmaydisclosetheConfidentialInformationifmandatorilyrequiredbyanyapplicablelawsorbyanylegallybindingorderedmadebyanygovernmentalauthority,judiciary,arbitraltr
