B.ThisAgreementhasbeenadoptedandapprovedby

（2）themanagingdirectorsofBBB,and（3）theboardofdirectorsofCCC,ineachcaseasrequiredbyapplicablelaw.

AGREEMENT

ThepartiestothisAgreement,intendingtobelegallybound,agreeasfollows:

1.DESCRIPTIONOFTRANSACTION.

1.1SaleandPurchaseofShares.UponthetermsandsubjecttotheconditionssetforthinthisAgreement,immediatelyuponexecutionofthisAgreement（the"EffectiveTime"）,theShareholdersshallsellandassignthesharesofBBBCapitalStockandthesharesofCCCCapitalStocksetforthinthetablecontainedinRecitalAofthisAgreementtoPurchaser（the"Purchase"）.Allsuchsharesarecollectivelyreferredtoasthe"Shares."EachoftheShareholdersconsentstothesaleandassignmentoftheSharesheldbyeachoftheotherShareholders.PurchaseracceptsthesaleandassignmentoftheShares.

1.2EffectivenessoftheSaleandAssignment.ThesaleandassignmentshallbecomeeffectiveuponpaymentofthepurchasepriceasprovidedforinSection1.5.

1.3Deliveries.AttheEffectiveTime:

（a）EachoftheShareholderswilltransfertheBBBCapitalStockownedbyhimtoPurchaserthroughthedueexecutionofanotarialdeedinfrontofacivillawnotarypracticinginthe_________（Country）intheformofExhibitB,andtheShareholdersshalldelivertoPurchasertheshareholdersregisterofBBB,evidencingthetransferoftheBBBCapitalStockfromtheShareholderstoPurchasereffectiveasoftheEffectiveTime;

（b）EachoftheShareholderswilltransfertheCCCCapitalStockownedbyhimtoPurchaserthroughthedueexecutionofanotarizedstockassignmentintheformofExhibitC,andtheShareholdersshalldelivertoPurchaserthestockbookandshareregisterofCCC,evidencingthetransferoftheCCCCapitalStockfromtheShareholderstoPurchasereffectiveasoftheEffectiveTime;

（c）SubjecttoapplicableLegalRequirements,promptlyafterbeingrequestedtodosobyPurchaseraftertheEffectiveTime,theofficersanddirectors,includingmanagingdirectors,ofeachoftheCompaniesshallresignfromeachoftheirpositionsateachoftheCompaniestotheextentrequestedbyPurchaserandshallcauseeachemployment,consultingorsimilaragreementbetweenanyoftheShareholdersandanyoftheCompaniestobeterminated,andtothateffecteachofthemshalldelivertocounseltoPurchaserresignationlettersandterminationagreementsinformandsubstancesatisfactorytocounseltoPurchaser;

（d）PurchasershallmakethecashpaymentsspecifiedinSection1.5bywiretransfer;

（e）EachoftheShareholdersshallexecuteanddeliveraGeneralRelease,asdescribedinSection2.26;and

（f）EachoftheShareholdersshalldeliveraSpousalConsent,intheformfollowingthesignaturepagesofthisAgreement,dulyexecutedbyhisspouse.

1.4GoverningDocuments.ThecharterandothergoverningdocumentsofBBBandCCCshallbeamendedandrestatedasoftheEffectiveTimeinthemannerspecifiedbyPurchaser;provided,however,thatifsuchamendmentorrestatementspecifiedbyPurchaserisforanyreasonrejectedorrenderedineffectivebyaGovernmentalBody,noneoftheobligationstopayanyoftheamountspayablepursuanttoSection1.5and1.6shallinanywaybeaffectedthereby.

1.5InitialPurchasePrice.

（a）TheinitialaggregatepurchasepricepayablebyPurchaserfortheSharesattheEffectiveTimeshallbeUSD_________.TheinitialaggregatepurchasepriceisallocatedamongtheShareholdersasfollows:

1.6AdditionalPurchasePrice.

（a）SubjecttoachievementbytheCompaniesoftargetTurnoveramountsshownbelowfortheyearindicatedandthelimitationssetforthinthisSection1.6,PurchasershallpaythefollowingadditionalamountstotheShareholderswithin30daysafterthefollowingdatesasadditionalconsiderationforthesaleandassignmentoftheShares:

（1）TheamountbywhichtheTurnoverAmountforaparticularyearexceedstherelevanttargetTurnoverAmountforsuchyearshallbecarriedforwardandappliedtowardthetargetTurnoverAmountforthefollowingyear.Forexample,iftheTurnoverAmountfortheyearending_________,_________,_________（M,D,Y）isUSD_________,USD_________willbecarriedforwardtotheyearending_________,_________,_________（M,D,Y）sothatiftheactualTurnoverAmountforsuchyearisUSD_________orgreater,thepaymentforsuchyearwillbeearned.
