CONDITION1.DEFINITIONS"Carrier"means

COSCOcontainerlinescompanylimited."Merchant"includestheconsignor,theshipper,thereceiver,theconsignee,theowneroftheGoods,thelawfulholderorendorseeofthisBillofLading,oranyotherpersonhavinganypresentorfutureinterestintheGoodsorthisBillofLading,oranyoneauthorizedtoactonbehalfofanyoftheforegoing."Vessel",wherethecontextsoadmits,includestheVesselnamedinBox6ofthisBillofLadingoranysubstitutetherefore,andanyfeedervessel,lighterorbargeusedbyoronbehalfoftheCarrierinconnectionwithanyseabornelegofthe

carriage."Sub-contractor"includesownersandoperatorsofvessels（otherthantheCarrier）,stevedores,terminal,warehouse,depotandgroupageoperators,roadandrail

transportoperatorsandanyindependentcontractoremployedbytheCarrierintheperformanceofthecarriageandanysub-sub-contractorthereof.TheexpressionSub-contractorshallincludedirectandindirectSub-contractorsandtheirrespectiveservants,agentsorSub-contractors."Goods"meansthewholeoranypartofthecargoreceivedfromtheMerchantandincludesanyContainernotsuppliedbyoronbehalfoftheCarrier."Package"meanseachContainerwhichisstuffedandsealedbyoronbehalfoftheMerchant,andnottheitemspackedinsuchContainerifthenumberofsuchitemsisnotindicatedonthefrontofthisBillofLadingorisindicatedbythetermssuchas“SaidtoContain”orsimilarexpressions."ShippingUnit"meansanyphysicalunitofcargonotshippedinapackage,includingmachinery,vehiclesandboats,exceptgoodsshippedinbulk."Container"includesanyContainer,opentop,trailer,transportabletank,flatrack,platform,pallet,andanyotherequipmentordeviceusedfororinconnectionwiththetransportationoftheGoods.2.CARRIER’STARIFFThetermsoftheCarrier’sapplicableTariffandotherrequirementsregardingchargesareincorporatedintothisBillofLading.Particularattentionisdrawntothetermscontainedtherein,including,butnotlimitedto,freestoragetime,

Containerandvehicledemurrage,etc.CopiesoftherelevantprovisionsoftheapplicableTariffareobtainablefromtheCarrierorhisagentsuponrequest.IncaseofanyinconsistencybetweenthisBillofLadingandtheapplicableTariff,thisBillofLadingshallprevail.3.SUB-CONTRACTING,INDEMNITY

ANDCERTAINDEFENSES,EXEMPTIONSAND

LIMITATIONS

（1）TheCarriershallhavetherightatanytimeandonanytermswhatsoevertosub-contractthewholeoranypartofthecarriagewithanySub-contractorand/ortosubstituteanyothervesselormeansoftransportfortheVessel.

（2）TheMerchantundertakesthatnoclaimorlegalactionwhatsoevershallbemadeorbroughtagainstanypersonbywhomthecarriageisperformedorundertaken（including,butnotlimitedto,theCarrier’sservants,agentsorSub-contractors）,otherthantheCarrier,whichimposesorattemptstoimposeuponanysuchperson,oranyvesselownedoroperatedbysuchperson,anyliabilitywhatsoeverinconnectionwiththeGoodsorthecarriagethereofwhetherornotarisingoutofnegligenceonthepartofsuchperson.Shouldanysuchclaimorlegalactionneverthelessbemadeorbrought,theMerchantundertakestoindemnifytheCarrieragainstallconsequencesthereofincludinglegalexpensesonafullindemnitybasis.Withoutprejudicetothe

foregoing,everysuchpersonorvessel,including,butnotlimitedto,theCarrier’sservants,agents,orSub-contractorsas

definedinClause1above,shallhavethebenefitofeveryexemption,defenseandlimitationhereincontainedapplicabletotheCarrier,incontractorintort,asifsuchprovisionwereexpresslycontractedforitsbenefit,and,inenteringintothiscontract,theCarrier,totheextentofsuchexemptions,defensesandlimitations,doessonotonlyonitsbehalf,butalsoasanagentandtrusteeforsuchpersonorvessel.4.CARRIER’SRESPONSIBILITY

（1）PorttoPortShipmentIfboxes6,7and8butnotboxes4,5and9arefilledinonthefrontofthisBillofLading,thisBillofLadingisaPort-to-Portcontract.TheCarriershallberesponsiblefortheGoodsasCarrierfromthetimewhentheGoodsarereceivedbytheCarrieratthePortofLoadinguntilthetimeofdeliverythereofattheportofdischargetotheMerchantortotheAuthorityasrequiredbylocallawsorregulations,whicheveroccursearlier.

（2）CombinedTransportIfBox4,Box5and/orBox9arefilledinonthefrontofthisBillofLadingandtheplace（s）orport（s）indicatedthereinis/areplace（s）orport（s）otherthanthatindicatedinBox7andBox8andFreightispaidforcombinedtransport,thisBillofLadingisacombinedtransportcontract.TheCarrierundertakestoarrange

orprocurethepre-carriageand/oron-carriagesegmentsofthecombinedtransport.AllclaimsarisingfromthecombinedtransportcarriagemustbefiledwiththeCarrierwithin9monthsafterthedeliveryoftheGoodsorthedatewhentheGoodsshouldhavebeendelivered,failingwhichtheCarriershallbedischargedfromallliabilitieswhatsoeverinrespectoftheGoods.IfanypaymentismadebytheCarriertotheMerchantinrespectofanyclaimarisingfromthecombinedtransportcarriage,theCarriershallbeautomaticallysubrogatedtoorgivenallrightsoftheMerchantagainstallothersincludingpre-carrieroron-carrierorSub-contractoronaccountofsuchlossordamage.NothinghereincontainedshallbedeemedawaiverofanyrightsthattheCarriermayhaveagainstapre-carrieroron-carrierorSub-contractorforindemnityorotherwise.5.NOTICEOFCLAIMANDTIMEBAR

（1）UnlessnoticeoflossordamageisgiveninwritingtotheCarrier’sagentatthePortofDischargeorPlaceofDeliverybeforeoronthedateofdeliveryoftheGoods,oriflossordamageisnotapparent,within15consecutivedaysthereafter,suchdeliveryshallbeprimafacieevidenceofthedeliveryoftheGoodsbytheCarrierand/oron-carrierintheorderandconditiondescribedinthisBillofLading.

（2）TheCarrier,itsservants,agentsand

Sub-contractorsshallbedischargedfromallliabilitieswhatsoeverunlesssuitisbroughtwithinoneyearafterthedeliveryoftheGoodsorthedatewhentheGoodsshouldhavebeendelivered.6.LOSSORDAMAGE

（1）ThetermsofthisBillofLadingshallatalltimesgovernallresponsibilitiesoftheCarrierinconnectionwithorarisingoutofthecarriageoftheGoodsnotonlyduringthecarriage,butalsoduringtheperiodpriortoand/orsubsequenttothecarriage.Theexemptionsfromliability,defensesandlimitationofliabilityprovidedforhereinorotherwiseshallapplyinanyactionagainsttheCarrierforlossordamageordelay,howsoeveroccurringandwhethertheactionbefoundedincontractorintortandeveniftheloss,damageordelayaroseasaresultofunseaworthiness,negligenceorfundamentalbreachofcontract.Saveasisotherwiseprovidedherein,theCarriershallinnocircumstanceswhatsoeverandhowsoeverarisingbeliablefordirectorindirectorconsequentiallossordamageorlossofprofits.

（2）TheCarrierdoesnotundertakethattheGoodswillbetransportedfromorloadedattheplaceofreceiptorloadingorwillarriveattheplaceofdischarge,destinationortransshipmentaboardanyparticularvesselorotherconveyanceatanyparticulardateortimeortomeetanyparticularmarketorintimeforany

particularuse.ScheduledoradvertiseddepartureandarrivaltimesareonlyexpectedtimesandmaybeadvancedordelayediftheCarriershallfinditnecessary,prudentorconvenient.TheCarriershallinnocircumstanceswhatsoeverandhowsoeverarisingbeliablefordirect,indirectorconsequentiallossordamagecausedbydelay.（3）Ifthestageofthecombinedtransportduringwhichlossordamageoccurredcanbedetermined,theliabilityoftheCarriershallbegovernedbythenationallaw（s）and/orinternationalconvention（s）applicablethereto.Ifthestageofthecombinedtransportduringwhichlossordamageoccurredcannotbedetermined,theMerchantandtheCarrieragreethatitshallbedeemedthatthelossordamageoccurredaboardtheCarrier’sVessel.Ineithercase,clauses5

and7shallapply.7.LIMITATIONOFLIABILITY

（1）ExceptasprovidedforinClause7

（2）,thisBillofLadingshallbesubjecttotheprovisionsoftheMaritimeCodeofthePeople’sRepublic

ofChinaasprovidedforinClause26

（1）.NeithertheCarrier,itsservants,agents,Sub-contractorsnortheVesselshallinanyeventbeliableforanylossordamagetotheGoodsinanyamountexceedingthelimitsperpackageorunitprescribedbythatCode,unlessthenatureandvalueoftheGoodshavebeendeclaredbytheMerchantbeforeshipmentandinsertedinthis

BillofLading（Box10）andtheMerchanthaspaidadditionalFreightonsuchdeclaredvalue.

（2）WherecarriageincludescarriagetoorfromorthroughaportorplaceintheUnitedStatesofAmerica,thisBillofLadingshallbesubjecttotheprovisionsoftheUnitedStatesCarriageofGoodsbySeaAct,1936（USCOGSA）andanyamendmentsthereto,asprovidedforinClause26

（2）hereof.Insuchevent,neithertheCarriersnoritsservants,agents,Sub-contractorsand/ortheVesselshallinanyeventbeliableforanylossofordamagetotheGoodsinanamountexceedingthelimitsperpackageorunitprescribedbyUSCOGSA,unlessthenatureandvalueoftheGoodshavebeendeclaredbytheMerchantbeforeshipmentandinsertedinthisBillofLading（Box10）andtheMerchanthaspaidadditionalFreightonsuchdeclaredvalue.（3）Ifalegalregi
