Non-DisclosureandConfidentialityAgreement

ThisNon-DisclosureandConfidentialityAgreement（“Agreement”）isbeingmadebetween_____________________（“Customer”）locatedat______________________and_________________________（“Company”）locatedat______________________________._________________（Customer）and_________________（Company）mayalsobereferredtoas“Party”ortogetherasthe“Parties”.ThisAgreementwillbecomeeffectiveon______________（“EffectiveDate”）.

ThePartiesareinterestedinexploringapotentialbusinessopportunity（the“Opportunity”）.InordertoadequatelyevaluatewhetherthePartieswouldliketopursuetheOpportunity,itisnecessaryforbothPartiestoexchangecertainconfidentialinformation.

INCONSIDERATIONOFdisclosingandreceivingconfidentialinformation,thePartiesagreetothefollowing:

1.ConfidentialInformation

Theconfidentialinformation（“ConfidentialInformation”）includesanyinformationthatisonlyknownbythedisclosingparty,andnotknownbythegeneralpublicatthetimeitisdisclosed,whetheritisintangibleorintangibleform,andthroughwhatevermeansitisdisclosed.

ConfidentialInformationdoesnotincludeinformationthat:

a.Thereceivingpartylawfullyhadbeforethedisclosingpartyactuallydisclosedit;

b.Isdisclosedtothereceivingpartybyathird-partywhoisnotboundbyaconfidentialityagreement;

c.Becomesavailabletothegeneralpublicbynofaultofthereceivingparty;or

d.Isrequiredbylawtobedisclosed.

2.UseofConfidentialInformation

ThereceivingpartymustkeeptheConfidentialInformationconfidential.ThereceivingpartywilltreattheConfidentialInformationwiththesamecareasittreatsitsownconfidentialinformation.

ThereceivingpartymaydisclosetheConfidentialInformationtoitspersonnelonanas-neededbasis.ThepersonnelmustbeinformedthattheConfidentialInformationisconfidentialandthepersonnelmustagreetobeboundbythetermsofthisAgreement.ThereceivingpartyisliableforanybreachofthisAgreementbytheirpersonnel.

3.OwnershipandTitle

NothinginthisAgreementwillconveyaright,title,interest,orlicenseintheConfidentialInformationtothereceivingparty.TheConfidentialInformationwillremaintheexclusivepropertyofthedisclosingparty.

4.ReturnofConfidentialInformation

UponterminationofthisAgreement,thereceivingpartymustreturnalltangiblematerialsithasthatembodytheConfidentialInformationitreceived,includingallelectronicandhardcopies.Thisincludes,butisnotlimitedto,anynotes,memos,drawings,summaries,excerptsandanythingelsederivedfromtheConfidentialInformation.

5.TermandTermination

ThetermofthisAgreementis________（#）monthsfromtheEffectiveDate,unlessterminatedearlierforotherreasonsavailableinthisAgreement.

EitherPartymayendthisAgreementatanytimebyprovidingawrittennoticetotheotherParty.TheParty’sobligationtoholdinconfidenceallConfidentialInformationreceivedduringthetermofthisAgreementwillremainineffectindefinitely.

6.Remedies

ThePartiesagreetheConfidentialInformationisuniqueinnatureandmoneydamageswillnotadequatelyremedytheirreparableinjurybreachofthisAgreementmaycausetheharmedparty.TheharmedPartyisentitledtoseekinjunctiverelief,aswellasanyotherremediesthatareavailableinlawandequity.

7.RelationshipoftheParties

a.NoBindingAgreementtoPursueOpportunity.ThePartiesagreetheyareexploringapotentialOpportunityandsharingtheirConfidentialInformationisnotalegalobligationtopursuetheOpportunity.EitherPartyisfreetostopdiscussionsornegotiationsrelatedtotheOpportunityatanytime.

b.NoExclusivity:

ThePartiesunderstandthisAgreementisnotanexclusivearrangement.ThePartiesagreetheyarefreetoenterintoothersimilaragreementswithotherparties.

c.IndependentContractors.ThePartiestothisAgreementareindependentcontractors.NeitherPartyisanagent,representative,partner,oremployeeoftheotherParty.

8.General

a.Amendments.ThisAgreementmaybemodifiedasneeded.Tomakeamodification,thePartieshavetoagreetothemodificationinwritingintheformofanamendment.ThetermsofthisAgreementwillapplytoanyamendmentmadeunlessotherwisestatedintheamendment.

b.Assignment.ThePartiesmaynotassigntheresponsibilitiestheyhaveunderthisAgreementtoanyoneelse.

c.ChoiceofLaw.ThisAgreementwillbeinterpretedbasedonthelawsoftheStateof[State],regardlessofanyconflictoflawissuesthatmayarise.ThePartiesagreethatanydisputearisingfromthisAgreementwillberesolvedatacourtofcompetentjurisdictionlocatedintheStateof__________.

d.CompleteContract.ThisAgreementconstitutesthePartiesentireunderstandingoftheirrightsandobligations.ThisAgreementsupersedesanyotherwrittenorverbalcommunicationsbetweentheParties.AnysubsequentchangestothisAgreementmustbemadeinwritingandsignedbybothParties.

e.Severability.IfanysectionofthisAgreementisfoundtobeinvalid,illegal,orunenforceable,therestoftheAgreementwillstillbeenforceable.

f.Waiver.NeitherPartycanwaiveanyprovisionofthisAgreement,oranyrightsorobligationsunderthisAgreement,unlessagreedtoinwriting.Ifanyprovision,right,orobligationiswaived,it’sonlywaivedtotheextentagreedtoinwriting.

9.Notices

IfaPartyisrequiredbylawtodiscloseanyConfidentialInformationithasreceived,itwillnotifythedisclosingpartywithinthree（3）businessdays.

IfaPartylosesorfailstomaintainconfidentialityofanyConfidentialInformationithasreceived,itwillnotifythedisclosingpartywithintwenty-four（24）hours.ThereceivingpartywilltakeanyandallstepsnecessarytorecovertheConfidentialInformationandpreventfurtherunauthorizeduse.

AllnoticesunderthisAgreementmustbesentbyemailwithreturnconfirmationofreceipt,orcertifiedorregisteredmailwithreturnreceiptrequested.

2.UseofConfidentialInformation

TheCompanyistrustingYouwithourbiggestsecrets.YouagreetokeeptheConfidentialInformationcompletelyconfidential.YouwilltreattheConfidentialInformationwithreasonablecareandwillexercisecautiontopreventdisclosingtheConfidentialInformationtoothers,evenyourverybestfriend.

IfYouloseorfailtomaintaintheconfidentialityofanyConfidentialInformation,YoumustnotifyTheCompanywithintwenty-four（24）hours.YoumustalsotakeanyandallstepsnecessarytorecovertheConfidentialInformationandpreventfurtherunauthorizeduse.

IfYouarerequiredbylawtodiscloseConfidentialInformation,YoumustnotifyTheCompanyofyourlegalrequirementtodisclosewithinthree（3）businessdaysoflearningoftherequirement.

NoticesmustbemadeinaccordancewithSection8ofthisAgreement.

3.OwnershipandTitle

NothinginthisAgreementwillconveyaright,title,interest,orlicenseintheConfidentialInformationtoYou.TheConfidentialInformationwillremaintheexclusivepropertyofTheCompany.

4.ReturnofConfidentialInformation

IfforanyreasonYouarenolongeremployedbyTheCompany,oruponrequestofTheCompany,YoumustreturnalltangiblematerialsYouhavethatembodytheConfidentialInformation,includingallelectronicandhardcopieswithintwenty-four（24）hours/immediately.Thisincludes,butisnotlimitedto,anynotes,memos,drawings,doodles,summaries,excerptsandanythingelseYouhav
