ConsultingAgreement

ConsultingAgreement

ThisConsultingAgreement（the"Agreement"）ismadeandeffectivethis[DATE],

BETWEEN:

[CONSULTANTNAME]（the"Consultant"）,acorporationorganizedandexistingunderthelawsofthe[STATE/PROVINCE],withitsheadofficelocatedat:

AND:

[COMPANYNAME]（the"Company"）,acorporationorganizedandexistingunderthelawsofthe[STATE/PROVINCE],withitsheadofficelocatedat:

IntheeventofaconflictintheprovisionsofanyattachmentsheretoandtheprovisionssetforthinthisAgreement,theprovisionsofsuchattachmentsshallgovern.Inconsiderationoftheforegoingandofthemutualpromisessetforthherein,andintendingtobelegallybound,thepartiesheretoagreeasfollows:

1.RECITALS

a.ConsultanthasexpertiseintheareaoftheCompany'sbusinessandiswillingtoprovideconsultingservicestotheCompany.

b.TheCompanyiswillingtoengageConsultantasanindependentcontractor,andnotasanemployee,onthetermsandconditionssetforthherein.

c.TheCompanydesirestoobtaintheservicesofConsultantbymeansofservicesprovidedbyConsultant’semployeesdispatchedbyConsultanttoprovideservicestoCompanyhereunder（“Agents”）,onitsownbehalfandonbehalfofallexistingandfutureAffiliatedCompanies（definedasanycorporationorotherbusinessentityorentitiesthatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwiththeCompany）,andConsultantdesirestoprovideconsultingservicestotheCompanyuponthefollowingtermsandconditions.

d.TheCompanyhasspentsignificanttime,effort,andmoneytodevelopcertainProprietaryInformation（asdefinedbelow）,whichtheCompanyconsidersvitaltoitsbusinessandgoodwill.

e.TheProprietaryInformationwillnecessarilybecommunicatedtooracquiredbyConsultantanditsAgentsinthecourseofprovidingconsultingservicestotheCompany,andtheCompanydesirestoobtaintheservicesofConsultant,onlyif,indoingso,itcanprotectitsProprietaryInformationandgoodwill.

2.SERVICES

ConsultantagreestoperformforCompanytheserviceslistedintheScopeofServicessectioninExhibitA,attachedheretoandexecutedbybothCompanyandConsultant.Suchservicesarehereinafterreferredtoas“Services.”CompanyagreesthatconsultantshallhavereadyaccesstoCompany’sstaffandresourcesasnecessarytoperformtheConsultant’sservicesprovidedforbythiscontract.

3.CONSULTINGPERIOD

3.1.BasicTerm

TheCompanyherebyretainstheConsultantandConsultantagreestorendertotheCompanythoseservicesdescribedinExhibitAfortheperiod（the“ConsultingPeriod”）commencingonthedateofthisAgreementandendingupontheearlierof（i）[APPLICABLEDATE],（the“TermDate”）,and（ii）thedatetheConsultingPeriodisterminatedinaccordancewithSection7.TheCompanyshallpaytheConsultantthecompensationtowhichitisentitledunderSection5throughtheendoftheConsultingPeriod,and,thereafter,theCompany’sobligationshereundershallend.

3.2.Renewal

SubjecttoSection7,theConsultingPeriodwillbeautomaticallyrenewedforanadditional[AGREEDUPONNUMBEROFMONTHS]monthperiod（withoutanyactionbyeitherparty）ontheTermDateandoneachanniversarythereof,unlessonepartygivestotheotherwrittennotice[NUMBER]daysinadvanceofthebeginningofany[AGREEDUPONNUMBEROFMONTHS]monthrenewalperiodthattheConsultingPeriodistobeterminated,provided,thatinnoeventshalltheConsultingPeriodextendbeyond[DEADLINEDATE].Eitherparty’srighttoterminatetheConsultingPeriod,insteadofrenewingtheAgreement,shallbewithorwithoutcause.

4.DUTIESANDRESPONSIBILITIES

a.ConsultantherebyagreestoprovideandperformfortheCompanythoseservicessetforthonExhibitAattachedhereto.ConsultantshalldevoteitsbesteffortstotheperformanceoftheservicesandtosuchotherservicesasmaybereasonablyrequestedbytheCompanyandherebyagreestodevote,unlessotherwiserequestedinwritingbytheCompany,（aminimumofatleast[AGREEDUPONNUMBEROFHOURS]hoursofserviceperweek/orassign[AGREEDUPONNUMBEROFINDIVIDUALS]individualstoprovideservicestothe（Company）.

b.ConsultantshalluseitsbesteffortstofurnishcompetentAgentspossessingasufficientworkingknowledgeoftheCompany’sresearch,developmentandproductstofulfillConsultant’sobligationshereunder.AnyAgentofConsultantwho,inthesoleopinionoftheCompany,isunabletoadequatelyperformanyserviceshereundershallbereplacedbyConsultantwithin[AGREEDUPONNUMBEROFDAYS]daysafterreceiptofnoticefromtheCompanyofitsdesiretohavesuchAgentreplaced.

c.Consultantshalluseitsbesteffortstocomplywith,andtoensurethateachofitsAgentscomplywith,allpoliciesandpracticesregardingtheuseoffacilitiesatwhichservicesaretobeperformhereunder.ConsultantagreesandshallcauseeachofitsAgentstoagreetotheAcknowledgementandInventionsAssignmentattachedheretoasExhibitB,andConsultantshalldeliverasignedoriginalofsuchAcknowledgementandInventionsAssignmenttoCompanypriortosuchAgent’scommencementoftheprovisionofservicesfortheCompany.

d.ConsultantshallobtainforthebenefitoftheCompany,asanintendedthird-partybeneficiarythereof,priortotheperformanceofanyserviceshereunderbyanyoftheAgents,thewrittenagreementofAgenttobeboundbytermsnolessrestrictivethanthetermsofSections2（c）,5（a）,6,and7ofthisAgreement

e.PersonnelsuppliedbyConsultanttoprovideservicestoCompanyunderthisAgreementwillbedeemedConsultant’semployeesoragentsandwillnotforanypurposebeconsideredemployeesoragentsofCompany.ConsultantassumesfullresponsibilityfortheactionsofsuchpersonnelwhileperformingservicespursuanttothisAgreement,andshallbesolelyresponsiblefortheirsupervision,dailydirectionandcontrol,provisionofemploymentbenefits（ifany）andpaymentofsalary（includingallrequiredwithholdingoftaxes）.

5.COMPENSATION,BENEFITSANDEXPENSES

5.1.Compensation

Inconsiderationoftheservicestoberenderedhereunder,including,withoutlimitation,servicestoanyAffiliatedCompany,Consultantshallbepaid[AMOUNT],payableatthetimeandpursuanttotheproceduresregularlyestablished,andastheymaybeamended,bytheCompanyduringthecourseofthisAgreement.

5.2.Benefits

OtherthanthecompensationspecifiedinthisSection3,neitherConsultantnoritsAgentsshallnotbeentitledtoanydirectorindirectcompensationforservicesperformedhereunder.

5.3.Expenses

TheCompanyshallreimburseConsultantforreasonabletravelandotherbusinessexpensesincurredbyitsAgentsintheperformanceofthedutieshereunderinaccordancewiththeCompany’sgeneralpolicies,astheymaybeamendedfromtimetotimeduringthecourseofthisAgreement.

6.INVOICING

CompanyshallpaytheamountsagreedtohereinuponreceiptofinvoiceswhichshallbesentbyConsultant,andCompanyshallpaytheamountofsuchinvoicestoConsultant.

7.TERMINATIONOFCONSULTINGRELATIONSHIP

7.1.BytheCompanyortheConsultant

Atanytime,eithertheCompanyortheConsultantmayterminate,withoutliability,theConsultingPeriodforanyreason,withorwithoutcause,bygiving[AGREEDUPONNUMBEROFDAYS]daysadvancewrittennoticetotheotherparty.IftheConsultantterminatesitsconsultingrelationshipwiththeCompanypursuanttothisSection4（d）,theCompanyshallhavetheoption,initscompletediscretion,toterminateConsultantimmediatelywithouttherunningofanynoticeperiod.TheCompanyshallpayConsultantthecompensationtowhichtheConsultantisentitledpursuanttoSection3（a）throughtheendoftheConsultingPeriod,andthereafterallobligationsoftheCompanyshallterminate.

7.2.TerminationDuetoBankruptcy,Receivership-----

TheConsultingPeriodshallterminateandtheCompany’sobligationshereunder（includingtheobligationtopayConsultantcompensationunderSection3（a））shallceaseupontheoccurrenceof:

（i）theappointmentofareceiver,liquidator,ortrusteefortheCompanybydecreeofcompetentauthorityinconnectionwithanyadjudicationordeterminationbysuchauthoritythattheCompanyisbankruptorinsolvent;（ii）thefilingbytheCompanyofapetitioninvoluntarybankruptcy,themakingofanassignmentforthebenefitofitscreditors,ortheenteringintoofacompositionwithitscreditors;or（iii）anyformalactionoftheBoardtoterminatetheCompany’sexistenceorotherwisetowinduptheCompany’saffairs.

8.TERMINATIONOBLIGATIONS

Consultantherebyacknowledgesandagreesthatallproperty,including,withoutlimitation,allbooks,manuals,records,reports,notes,contracts,lists,blueprints,andotherdocuments,ormaterials,orcopiesthereof,ProprietaryInformation（asdefinedbelow）,andequipmentfurnishedtoorpreparedby

ConsultantoritsAgentsinthecourseoforincidenttoitsrenderingofservicestotheCompany,including,withoutlimitation,recordsandanyothermaterialspertainingtoInventionIdeas（asdefinedbelow）,belongtotheCompanyandshallbepromptlyreturnedtotheCompanyuponterminationoftheConsultingPeriod.Followingtermination,neitherConsultantnoranyofitsAgentswillnotretainanywrittenorothertangiblematerialcontaininganyProprietaryInformation.TherepresentationsandwarrantiescontainedhereinandConsultant’sobligationsunderSections5,6,and7shallsurviveterminationoftheConsultingPeriodandtheexpirationofthisAgreement.

9.ASSIGNMENT;SUCCESSORSANDASSIGNS

Consultantagreesthatitwillnotassign,sell,transfer,delegateorotherwisedispose
