HRDeputizingAgreement劳动事务代理协议

根据《中华人民共和国合同法》、《中华人民共和国劳动法》、《中华人民共和国劳动合同法》等有关法律、法规规定，本着诚实信用、平等互利的原则，甲、乙双方经过友好协商达成本协议，以兹共同遵守。

Accordingto"contractlawofthePeople，sRepublicofChina","thelaborlawofthePeople，sRepublicofChina",“thelawofthePeople，sRepublicofChinalaborcontractlaw“andotherrelevantlawsandregulations,basedontheprincipleofgoodfaith,equalityandmutualbenefit,bothpartiesachievethisagreement.

第一章总则Thefirstchapter:

Generalcontent

第一条甲、乙双方就甲方委托乙方提供劳动事务代理事宜签订本协议。

甲、乙双方各自提供经有关部门注册、登记或备案并能证明各自身份的合法有效的文件复印件作为本合同附件。

Article1:

ThisagreementisachievedbybothpartiesonHRdeputizingserviceprovidedfromPartyBforPartyA.BothpartyAandpartyBshallprovidethecopyoftheirlegalandvaliddocumentsasattachmentofthiscontract.

第二条释义：

Article2definition:

（一）代理服务项目：

乙方接受甲方委托，为甲方员工代理社会保险和公积金的缴纳、变更，政策法规咨询，以及涉及相关保险费用申领等业务，代理甲方人员的薪资支付，费用报销以及个人所得税的申报和缴纳，并向甲方开具相应发票。

（a）theservicefromPartyBincludes:

payingthesocialinsuranceandhousingfund,makingthechangesduetoterminationandnewrecruiting,policiesandregulationsconsulting,relatedservicesuchasinsuranceclaim,staffsalarypayment,reimbursementandstaff，spersonalincometaxdeclaration.PartyBshallissuethecorrespondinginvoicetopartyA.

（二）“代理费”系指为甲方每位事务代理人员代理社会保险每月由甲方支付给乙方的全部费用，该费用包括社会保险公司部分费用，社会保险个人部分费用、公积金总额、薪资总额、费用报销总额及管理费等。

（2）“agencyfee"meansallthemoneypaidbyPartyAtoPartyB,includingthesocialinsurancefeepaidbythecompany,thesocialinsurancefeepaidbypersonal,housingfund,totalsalary,totalreimbursementexpensesandmanagementfees,etc.

第二章协议期限Thesecondchapteragreementperiod

第三条。

双方同意签订3个月试用合同（ 年月日至年月日），如果任何一方

未提出异议，则该协议自动转为长期合同，任何一方终止合同，应提前3个月通知对方。

Article3:

Bothpartyagreetosignatrialcontractfor3months（fromto）.

Ifnopartyraiseanydisagreement,thetrialcontractbecomeunlimitedcontractautomatically.Anypartywanttoterminatethecontractshallnotifytheotherparty3monthsinadvance.

第三章权利和义务Chapteriiirightsandobligations

第五条甲方的权利和义务：

Article5:

TherightsandobligationsofpartyA:

（一）甲方有权自行决定委托乙方代理社会保险的人员。

（1）PartyAhastherighttodecidethestaffforwhompartyBprovidetheservice.

（二）甲方须根据参保地政策与乙方协商确定缴交社会保险和公积金方式。

（2）PartyAshalldecidetherateofthesocialinsuranceandhousingfundaccordingtothepolicy.

（三）甲方须及时与乙方确认社会保险增减员资料。

（3）PartyAshallnotifyPartyBanypersonnelchangingtimely.

（四）甲方须按时支付代理费，通过银行转帐方式划入乙方指定银行帐户。

（4）partyAshalltransfertheagencyfeetotheappointedbankaccountofPartyBintime.

（五）乙方与代理社保人员签订劳动合同。

因甲方原因与员工出现的劳动纠纷由甲方承担相关责任及费用。

（5）PartyBshallsigntheemploymentcontractwiththeemployeesuponPartyA'sconfirmation.IncaseofdisputesbetweenPartyAandtheemployees,PartyAshallberesponsibleandpayforPartyA'sfault.

（六）乙方仅负责本合同规定的代理申报，缴费，工资费用代发手续。

（6）PartyBisonlyresponsibleforthedeputizingregulatedbythisagreement.

（七）代理社保人员在代理期间发生工伤的，甲方应在工伤发生后及时将受伤的代理人员送往工伤治疗医院治疗，并及时通知乙方（24小时内），以便乙方及时办理工伤认定、申报手续。

甲方依本协议约定通知乙方后，乙方应在法律规定的时间内按时办理工伤认定申请和伤残等级鉴定申请。

甲方承担除由社会保险支付的保险赔偿金外的其他费用。

（7）Ifinjuryincurredduringworking,PartyAshallsendtheemployeetotheappointedhospitalandnotifyPartyBwith24hours,sothatpartyBcanreportanddeclareintime.PartyBshallapplyandreportthework-relatedinjuryintime.PartyAshallundertaketheextraexpensesfromtheinsurancecompensationpaidbythesocialinsurance.

第六条乙方的权利和义务：

Article6:

TherightsandobligationsofpartyB:

（一）乙方须根据双方确认的方案为甲方代理人员参保，并按双方确认的资料及时代理社会保险以及办理医保费用报销、工伤申请、生育待遇申领等一切与社保待遇相关的手续。

（1）partyBshallpaytheinsurancetoPartyA'semployeeaccordingtotheconfirmedprogram.PartyBshalldeputizeallthesocialinsurancetreatmentprocedureslikemedicalreimbursement,work-relatedinjuryapplication,maternityinsurancetreatmentapplicationetc.

（二）根据甲方要求，协助甲方进行社会保险代理服务。

（2）PartyBshallprovidethesocialinsurancedeputizingservicesforPartyAaccordingtoPartyA'srequirement.

（三）乙方有义务向甲方提供相关政策法规咨询和协调服务，代理过程中出现的相关问题由乙方协调处理。

（3）PartyBhastheobligationtoproviderelevantpoliciesandregulationsconsultationandcoordinationserviceforpartyA,andtocoordinatetoresolverelatedproblems.

第四章费用及代理流程

Thefourthchapter,thepaymentanddeputizingprocess

第七条代理服务费：

社会保险和公积金以实际代理的人数和月份按人民币 元/人/月收取，代发

工资及费用报销按工资及费用总额的2%收取。

Article7:

Theagencyfeeforsocietyinsuranceandhousingfund:

RMB/person/month.Salaryandreimbursementpaymentcharges:

2%ofthetotalsalaryandexpenses.

第八条每年当地最低社会平均工资标准调整，因此需调整代理社保人员的社会保险缴费基数，甲方应相应调整社保标准。

Article8:

Thelocalminimumsocialaveragesalarystandardwillchangeannually.PartyAshalladjustthesalarybaseandthesocialinsurancestandardaccordingly.

第九条残疾人保障金和工会费，根据相关部门征收规定，由甲方及时支付给乙方，但乙方提供对应金额的劳务费发票。

Article9:

PartyAshallpaythesecurityfundforthedisabledandtheunionfeetoPartyBaccordingtothegovernment，sregulation,andPartyBshallprovidethesameamountvalueofinvoiceonnameofservicefee.

第十条费用支付方式：

Article10theexpensespayment:

（一）甲方首次提供代理社保人员名单（注明当月或下月）资料后，乙方确认并开具三个月的《收款通知》给甲方确认，《收款通知》包含费用项目为社会保险公司部分费用，社会保险个人部分费用、公积金，员工工资，费用报销及代理服务费等；甲方审核收费明细无误后，于15日之内将代理费汇入乙方指定银行帐户，乙方到账后七个工作日内向甲方提供劳务发票。

（1）PartyAprovidestheemployeenamelistandtheemployee，ssocialinsurancestatustoPartyB.PartyBissuea“PaymentNotification^whichcoversthreemonths，expensesincludingthesocialinsurancefee（companypart+personalpart）,housingfund,salary,reimbursementanddeputizingservicefee.PartyAshalltransferthemoneywithin15days.

PartyBissuetheinvoicetoPartyA7daysafterreceivingthemoney.

（二）甲方如有人员变动，应立即将人员增减名单通知乙方，以便乙方做相应变动。

（2）PartyAshallnotify“employeenamelistchanging“toPartyBuponanypersonnelchange.

PartyBmakestheinsurance,housingfundandsalarypaymentaccordingtothechange.

第五章其他约定Chapter5otherterms

第十一条甲方需提供代理社保人员的个人信息资料给乙方备存（包括身份证复印件、照片等）,若因甲方员工提供的个人资料有误导致社保办理延误或缴费数据错误，责任由甲方承担。

第十二条乙方及时完成甲方委托的代理事项（包括及时减员停保），由于乙方原因不能完成委托的代理事项的，乙方应承担相应的责任。

Article12:

PartyBshallfinishPartyA'srequirementontime（includingpersonelchangesoninsurance）.PartyBshallberesponsibleforthelosscausedbyPartyB.

第十三条乙方向甲方提供每次增/减员后由乙方盖章确认明细（复印件），以便甲方备案和及时知晓代理社保人员参保情况。

乙方必须保存每次增/减员确认明细原件，以备甲方核查。

Article13:

PartyBshallconfirmandchopthenamelistprovidedbypartyA,andsendthecopytoPartyAasbackup.PartyBshallkeeptheoriginalpaperworkforPartyA'schecking.

第六章违约责任及争议解决方式

Chapter6liabilityforbreachofcontractanddisputeresolution

第十四条任何一方违反或擅自变更本协议约定，应当承担由此给对方造成的经济损失的相关责任。

Article14:

AnypartywhodisobeyorchangethiscontractwithoutagreementshallberesponsibleforthelosscausedtotheotherParty.

第十五条甲方未按本协议约定结清费用而迟延付款的，每延迟一日按应付款金额的2%。

向乙方支付滞纳金，并且乙方不承担未能按时办理社会保险的责任。

Article15:

IfpartyAdelayedthepayment,PartyAshallpay2%oofthepaymentamountperdayaspunishment.AndPartyBwon，tberesponsibleforthemissingofsocialinsurancepayment.

第十六条因执行本协议发生及与本协议有关的一切争议，双方应首先友好协商解决。

如果经协商不能解决，则任一方应将争议提交乙方所在地人民法院裁决。

在争议审理期间，除必须在审理过程中进行解决的问题外，协议其余部分应继续履行。

Article16:

Anydisputesshallbesettledthroughnegotiation.Ifthedisputescannotbesolved,eitherpartyshallsubmittothecourtinPartyB'slocation.Duringthedisputecase,exceptforthedisputesinthecourseoftrial,theagreementshallcontinuetoperform.

第七章附则Chapter7attachment

第十七条本协议中涉及的所有“通知”、“同意”、“确认”等事项均应以书面形式做出，并作为依据。

All"notification","agree”,〃confinn〃shallbestatedinwritten,andbekeptasrecord.

第十八条本协议内容如与国家新颁布的法律、法规、规章和政策（包括地方法规和规章）相抵触的，以新的法律、法规、规章和政策为准。

本协议的任何条款如需要变更或补充，则甲、乙双方应签订相关变更或补充协议，作为本协议附件，附件系本协议的有效组成部分，与本协议具有同等法律效力。

Article18:

Ifthetermsinthiscontractisinconflictwiththenewnationallaws,,regulations,rulesandpolicies（includinglocallawsandregulations）,thenewlaws,regulations,rulesandpoliciesshallprevail.Anyprovisionofthisagreementsuchastheneedtomodifyorsupplement,thenbothpartiesshouldsignrelevantchangeorsupplementaryagreement,asthisagreementaccessories,annexistheintegralpartofthisagreement,havethesamelegaleffectwiththisagreement.

第十九条本协议及任何修改或补充均自双方法定代表人或其授权代表签名并加盖公章或合同专用章之日起生效。

Article19:

Theagreementandanyamendmentorsupplementwillbeeffectedsincethedatewhenbothpartieslegalrepresentativeoritsauthorizedrepresentativessignandstampedwithofficialsealorspecialsealforcontract.

第二十条本协议一式二份，甲、乙双方各执一份，具有同等法律效力。

Article20:

Theagreementinduplicate,bothpartieseachholdonecopy,havethesamelegaleffect.
