TheLaborContractLawofthePeople’sRepublicofChina,whichwasadoptedatthe28thSessionoftheStandingCommitteeoftheTenthNationalPeople’sCongressofthePeople’sRepublicofChinaonJune29,2007,isherebypromulgatedandshallcomeintoforceasofJanuary1,2008.

Article1ThisLawisformulatedforthepurposesofimprovingthelaborcontractualsystem,clarifyingtherightsandobligationsofbothpartiesoflaborcontracts,protectingthelegitimaterightsandinterestsofemployees,andestablishinganddevelopingaharmoniousandstableemploymentrelationship.

Article2ThisLawshallapplytotheestablishmentofemploymentrelationshipbetweenemployeesandenterprises,individualeconomicorganizations,privatenon-enterpriseentities,orotherorganizations(hereafterreferredtoasemployers),andtotheformation,fulfillment,change,dissolution,orterminationoflaborcontracts.

Thestateorgans,publicinstitutions,socialorganizations,andtheiremployeesamongthemthereisanemploymentrelationshipshallobservethisLawintheformation,fulfillment,change,dissolution,orterminationoftheirlaborcontracts.

Article3Theprincipleoflawfulness,fairness,equality,freewill,negotiationforagreementandgoodfaithshallbeobservedintheformationofalaborcontract.

Alaborcontractconcludedaccordingtothelawshallhaveabindingforce.Theemployerandtheemployeeshallperformtheobligationsasstipulatedinthelaborcontract.

Article4Anemployershallestablishasoundsystemofemploymentrulessoastoensurethatitsemployeesenjoythelaborrightsandperformtheemploymentobligations.

Whereanemployerformulates,amendsordecidesrulesorimportanteventsconcerningtheremuneration,workingtime,break,vacation,worksafetyandsanitation,insuranceandwelfare,trainingofemployees,labordiscipline,ormanagementofproductionquota,whicharedirectlyrelatedtotheinterestsoftheemployees,suchrulesorimportanteventsshallbediscussedatthemeetingofemployees’representativesorthegeneralmeetingofallemployees,andtheemployershallalsoputforwardproposalsandopinionstotheemployeesandnegotiatewiththelaborunionortheemployees’representativesonaequalbasistoreachagreementsontheserulesorevents.

Duringtheprocessofexecutionofaruleordecisionaboutanimportantevent,ifthelaborunionortheemployeesdeemsitimproper,theymayrequiretheemployertoamendorimproveitthroughnegotiations.

Theemployershallmakeanannouncementoftherulesandimportanteventswhicharedirectlyrelatedtotheinterestsoftheemployeesorinformtheemployeesoftheserulesorevents.

Article5Thelaboradministrativedepartmentofthepeople’sgovernmentatthecountyleveloraboveshall,togetherwiththelaborunionandtherepresentativesoftheenterprise,establishasoundthree-partymechanismtocoordinateemploymentrelationshipandshalljointlyseektosolvethemajorproblemsrelatedtoemploymentrelations.

Article6Thelaborunionshallassistanddirecttheemployeeswhentheyconcludewiththeemployersandfulfilllaborcontractsandestablishacollectivenegotiationmechanismwiththeemployerssoastomaintainthelawfulrightsandinterestsoftheemployees.

ChapterIIFormationofLaborContracts

Article7Anemployerestablishesanemploymentrelationshipwithanemployeefromthedatewhentheemployerputstheemployeetowork.Theemployershallpreparearosterofemployeesforinspection.

Article8Whenanemployerhiresanemployee,itshallfaithfullyinformhimoftheworkcontents,conditionsandlocation,occupationalharm,worksafetystate,remuneration,andotherinformationwhichtheemployeerequirestobeinformed.Theemployerhastherighttoknowthebasicinformationoftheemployerwhichisdirectlyrelatedtothelaborcontractandtheemployeeshallfaithfullyprovidesuchinformation.

Article9Whenanemployerhiresanemployee,itshallnotdetainhisidentitycardorothercertificates,norrequirehimtoprovideaguarantyorcollectmoneyorpropertyfromhimunderanyotherexcuse.

Article10Awrittenlaborcontractshallbeconcludedintheestablishmentofanemploymentrelationship.

Whereanemploymentrelationshiphasalreadybeenestablishedwithanemployeebutnowrittenlaborcontracthasbeenenteredsimultaneously,awrittenlaborcontractshallbeconcludedwithinonemonthfromthedatewhentheemployeebeginstowork.

Whereanemployerandanemployeeconcludealaborcontractpriortotheemployment,theemploymentrelationshipisestablishedfromthedatewhentheemployeebeginstowork.

Article11Whereanemployerfailstoconcludeawrittenlaborcontractwhentheemployerputhisemployeetowork,iftheremunerationstipulatedbetweentheemployerandtheemployeeisnotclear,theremunerationtothenewemployeeshallconformtotheprovisionsofthecollectivecontract.Ifthereisnocollectivecontractorifthereisnosuchstipulationinthecollectivecontract,theprincipleofequalpayforequalworkshallbeobserved.

Article12Laborcontractsareclassifiedintofix-termlaborcontracts,laborcontractswithoutafixedterm,andthelaborcontractsthatsetthecompletionofspecifictasksasthetermtoendcontracts.

Article13Afixed-termlaborcontractreferstoalaborcontractinwhichtheemployerandtheemployeestipulatethetimeofterminationofthecontract.

Theemployerandtheemployeemayconcludeafixed-termlaborcontractuponnegotiation.

Article14Alaborcontractwithoutafixedtermreferstoalaborcontractinwhichtheemployerandtheemployeestipulatenocertaintimetoendthecontract.

Anemployerandanemployeemay,throughnegotiations,concludealaborcontractwithoutafixedterm.Underanyofthefollowingcircumstances,iftheemployeeproposesoragreestoreneworconcludealaborcontract,alaborcontractwithoutafixedtermshallbeconcludedunlesstheemployeeproposestoconcludeafixed-termlaborcontract:

1.Theemployeehasalreadyworkedfortheemployerfor10fullyearsconsecutively;

2.Whentheemployerinitiallyadoptsthelaborcontractsystemorwhenastate-ownedenterprisere-concludesthelaborcontractduetorestructuring,theemployeehasalreadyworkedforthisemployerfor10fullyearsconsecutivelyandheattainstotheagewhichislessthan10yearsuptothestatutoryretirementage;or

3.Thelaborcontractistoberenewedaftertwofixed-termlaborcontractshavebeenconcludedconsecutively,andtheemployeeisnotunderanyofthecircumstancesasmentionedinArticle39andParagraphs

(1)and

(2)ofArticle40ofthisLaw.

Iftheemployerfailstosignawrittenlaborcontractwithanemployeeafterthelapseofonefullyearfromthedatewhentheemployeebeginstowork,itshallbedeemedthattheemployerandtheemployeehaveconcludedalaborcontractwithoutafixedterm.

Article15Alaborcontractthatsetsthecompletionofaspecifictaskasthetermtoendthecontractreferstothelaborcontractinwhichtheemployerandtheemployeestipulatethatthetimeperiodofthecontractshallbebasedonthecompletionofaspecifictask.

Anemployerandanemployeemay,uponnegotiation,concludealaborcontractthatsetsthecompletionofaspecifictasktoendthecontract.

Article16Alaborcontractshallbeagreedwithbytheemployerandtheemployeeandshallcomeintoeffectaftertheemployerandtheemployeeaffixtheirsignaturesorsealstothelaborcontract.

Theemployerandtheemployeeshalleachholdonecopyofthelaborcontract.

Article17Alaborcontractshallincludethefollowingclauses:

1.Theemployer’sname,domicile,legalrepresentative,ormajorperson-in-charge;

2.Theemployee’sname,domicile,identitycardnumber,orothervalididentitycertificatenumber;

3.Thetimelimitforthelaborcontract;

4.Thejobdescriptionsandworklocations;

5.Theworkhours,breaktime,andvocations;

6.Theremunerations;

7.Thesocialsecurity;

8.Theemploymentprotection,workconditions,andprotectionagainstandpreventionofoccupationalharm;and

9.Otheritemsthatshallbeincludedinthelaborcontractunderanylawsorregulations.

Apartfromtheessentialclausesasprescribedintheprecedingparagraph,theemployerandtheemployeemay,inthelaborcontract,stipulatetheprobationtimeperiod,training,confidentiality,supplementaryinsurances,welfaresandbenefits,andotheritems.

Article18Ifremunerations,workconditions,andothercriterionsarenotexpresslystipulatedinalaborcontractandadisputeistriggered,theemployerandtheemployeemayre-negotiatethecontract.Ifnoagreementisreachedthroughnegotiations,theprovisionsofthecollectivecontractshallbefollowed.Ifthereisnocollectivecontractorifthereisnosuchstipulationabouttheremunera
