　　’operationperiod’meanstheperiodspecifiedinclausefromthestartingdateofmercialoperationoftheinfrastructureproject.

　　’pletiondate’meansthedayuponwhichccertifiesthattheinfrastructureprojecthassuccessfullypleteditstestingandcanstartoperationperiod.

　　’forcemajeure’shallhavethemeaningspecifiedinclause16.

　　’projectscope’meansthescopeofsupplyandservicesofcinconnectionwiththeexecutionoftheprojectasdescribedinannex2.

　　’site’meansthesitefortheinfrastructureprojectincluding___________,specialroads,andotherareasforconstructionasspecifiedin　　annex2.

　　’transferdate’meansthedayfollowingthelastdayoftheoperationperiod.

　　’newpany’meansthepanytobeestablishedbetweencand________entityasspecifiedinclause5.

　　’investmentagreement’meanstheagreementonmutualencouragementandprotectionofinvestmentbetweenthegovernmentofthe　people’s　republicofchinaandthegovernmentofthe___________.

　　theprojectshallbeimplementedonbuilding,operationandtransferbasis.

　　3）costforpurchasingequipmentandmaterials;

　　4）costforadministrationincludingoverseasexpenses;

　　5）overheadandmiscellaneousexpenses;

　　6）contingencies;

　　7）interestduringtheconstructionperiod（__________%perannumplusbankmission）;

　　8）premiumforconstructioninsuranceandexportcreditinsurance.

　　theprojectcostshallbebasedonthefeasibilitystudyreportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons,theadditionalparttotheprojectcostshallbeapprovedbyb.anadditionalinvestmentagreementorcontractshouldbeconcludedbetweenbandc.

　　4.responsibilitiesforprojectexecution

　　cshallberesponsibleforthefollowingprovidedthatifandafternewpanyisestablished,responsibilitiesshallbetransferredtonewpanyandbesharedbythemembersofnewpany:

　　1）thedesignandengineering,procurement,constructionandmissioningoftheproject;

　　2）allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding;

　　3）operationoftheinfrastructureproject;

　　4）transferoftheinfrastructureprojecttobonthetransferdate;

　　bshallberesponsiblefor:

　　1）thearrangementof:

theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforcornewpanytogetherwiththefulfillmentofessentialrequirementssuchaspanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;

theprovisionofallnecessaryordesirableaidsforctoobtaintheloan;obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheproject;obtainingofallnecessarypermitsandapprovalsfromtherelevant_____________authoritiesforcornewpanytorepatriatecapitalanddividendsinusdollarsfrom______;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforcornewpany’spersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheirdirectrelativesincludingthetravelin___________;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheprojectfacilitiesinordertoincrease_________________productionifcornewpanyintendstodoso;theprovisionofallnecessarysecuritymeasuresforconstructionandoperationpersonnelandprojectfacilitiestillthetransferdate;theprovisionofmunicationsandtransportfacilitiesoftheprojectconstructionandtheoperationoftheinfrastructureproject;

　　2）theassistanceintheoperationoftheinfrastructureproject.

　　3）providingcand/ornewpanywithfreeuseofthesite,includingbutnotlimitedtotheareaofconstructionsite,accessroad,transmissionlinerightofway,__________andetc.

　　4）thenegotiationandconclusionofserviceagreementwith___________governmentorothercountries’governmentsjointlywithcornewpany,thepeople’sinsurancepanyofchinarepresentatives,whosepresenceinthenegotiationbshallensure,andwhoseapprovalbshallobtain;

　　5）theexportationof________________percentof__________producedbytheinfrastructureprojectto__________oranythirdcountry;

　　6）theassignmentofitsrepresentativesatsiteandtothenewpanytoassistcornewpanyandmakenecessarycoordinationbetweenbandcornewpany.

　　4）thelegalcertificateissuedby_____________presidentofsupremecourtandthelegalcertificateissuedby______________procuratorgeneral,certifyingthatthisagreementshallbevalidandenforceableunderthelawsof_____________ineveryrespectintheformdefinedinannex8;thecertificateofapprovalissuedbythegovernmentof_____________,certifyingthattheprojectislawfulandlegitimate;

　　buyer’screditforb’ssharing__________%oftheprojectcostshallbeprovidedbythechineseside,pay
