1TemplateIntroduction
ThetemplatewillpresentasetofstandardprovisionsforPPPContracts.
ThethreeprimaryobjectivesindevelopingaPPPContractTemplateareto:
∙CreateacommonunderstandingamongagenciesabouttherisksandkeyconsiderationstoaddressinaPPPContract;
∙ReducethetimeandcostsofnegotiatingPPPContracts;and
∙Createatooltohelpstandardizebasicprovisions,totheextentpossible,withinPPPContractsamongagenciesinKSA.
Ingeneral,thesestandardprovisionswillbethebasisforadraftPPPContractthatshouldbepartofthebidpackage(togetherwiththeRFPandsupportingdocumentation)tobeapprovedforthetenderprocessforanyproposedPPPproject.
ItmustberememberedthatthesuitabilityofvarioustermsandconditionsmustbedeterminedforeachPPPprojectindividually.Thisconsiderationisanimportantpartofanagency’soverallprojectdesignandappraisalofbidders’proposals.
Inaddition,itiscommonpracticegloballyforagenciestoretainqualifiedadviserstoassistwiththedevelopmentandfinalizationofPPPContracts.
Thetemplatewillgivedirectionsandinstructionsonhowtowriteandwhattoincludeineachclause.Ifitispossible,anexampleclauseisprovided.Someclauseswillnothaveexamplesasthesevarygreatlyfromoneprojecttoanother.
Theexampleclauseincludesentriesinbluecolorbetweensquarebracketstobechangedbywhomispreparingthetemplateandthevaluesprovidedinbluearejustexamplesandshallbechangedtoreflecttheconditionsoftheproject.

4DurationofPPPContract
ThePPPContractmustspecifyitsduration.AlongwithspecifyingthedurationofthePPPContract,otherdifferentdatesshallbespecifiedinthisclause:

Thedateatwhichtheservicedeliverystarts

Itisalateservicecommencementdate;non-fulfillmentofitmayentitletheAgencytoimmediatelyterminatethePPPContract.

Thedatespecifiedatthetimeofsigningthiscontractforwhichthecontractwillterminate.
SpecifyingtheDurationofthePPPContractisinfluencedbymanyfactorsthatmayleadtolongerorshorterdurations.
Someofthefactorsthatinfluencethedurationare:
∙TherequirementsoftheAgencyintermsofServices,themorecomplexthelongerthedurationis.
∙TheaffordabilityoftheservicesfortheAgencyintermsoffinancialconstraintsandbudgets.LongerperiodsaremoreaffordableasthisreducestheUnitaryPayments.
∙TheneedforamajorrefurbishmentorreplacementprogramsinrespecttoProjectAssetsovertheProjectTerm.
∙Thetermofthedebt,wherealongerdebtserviceperiodleadstoalongerduration.>
ExampleStandardClause
4.1ThisPPPContractandtherightsandobligationsofthePartiesunderthisPPPContractshalltakeeffectontheSignatureDate.
4.2TheServicePeriodshallcommenceontheServiceCommencementDateandterminateontheearlieroftheExpiryDateandtheTerminationDate.
5Agency'srolepriortoservicecommencement
TheAgency'sroleaftertheSignatureDateandbeforetheServiceCommencementDatecanbe(assumingthereisadesignandconstructionphase):
∙Reviewingandcommentingon,butnotapproving,anychangesinthePrivatePartner'sdesign.ThecostsofthenewdesignsshallbebornebythePrivatePartner.
∙Reviewingtestsofanydocumentbeingdeveloped.
∙ReviewingPrivatePartner'sactivitieslikequalitymanagementwhichneedtobepre-agreedandincorporatedinthePPPContract.>
6CriticalDates
Thisclausespecifiesadatewhereitisunacceptabletostarttheservicebeyond.IfthePrivatePartnerisunabletostarttheservicebeforethisdate,thenterminationofthePPPContractisanoptionfortheAgency.
TheAgencyshouldhaveacontingencyplaninthiscase.ItshouldbementionedinthispartofthePPPContractthatallthecostsincurredbecausethePrivatePartnerisnotabletomeetthiscriticaldateshouldbecarriedbythePrivatePartner.>
7submissionofdesignsandinformationtoagency
ThePPPContractshouldmentionamechanismthatfacilitates:
∙ThesubmissionofkeyaspectsanddesignsoftheprojectbythePrivatePartnertotheAgencyandincludingthemasannexesofthisPPPContract.
∙TheAgencyhastherighttoreviewandcommentonsubmitteddesignstoensurethatthoseservethedesiredoutputspecifications.
∙ThePrivatePartnershouldhaveamechanismtosubmitminorchangestodesignsthatdonotleadtochangesinservice(SeeClause11:
ChangesinServices).>
8Warranties
Themajorissuestoconsiderwhenwritingthewarrantiesprovisionsare:
∙AbreachofwarrantyinthePPPContractshouldnotmeanaterminationofthePPPContractagainstthedefaultingParty.Instead,abreachofwarrantyshouldgiverisetoaclaimfordamagesundertheindemnityprovisionsofthePPPContract.
∙Warrantiesaregivenfrombothsides,thePrivatePartnerandtheAgency.
∙Inordertoshowitsgoodfaith,andgivethePrivatePartnersomecomfort,theAgencyshouldconsideronaproject-by-projectbasiswhetherornottowarrantthatithasnotknowinglyomittedtodiscloseanyimportantinformationabouttheprojectandtheassetsinitspossessionorunderitscontrol.
∙InformationwarrantiesaboutexistingfacilitiesandservicesaretobegivenbytheAgencyiftheAgencyistheonlysourceofsuchinformationandthatinformationcannotbeindependentlyverified.
∙WhentheAgencyisnottheonlysourceofinformationortheinformationcanbeindependentlyverified,thentheAgencymustnotgiveanywarrantiesregardingthatinformation.InsteadthePrivatePartnershallrelyonitsduedilige
