1.定义与解释

1.1 定义

"LIBOR" means the British Bankers' Association （the "BBA"） Interest Settlement Rate for U.S.

Dollars for the relevant Interest Period which appears on the “3750” page, or such other page for

the purpose of displaying such rate of interest, of the Reuters screen on the Quotation Day for such

period. If the agreed page is replaced or service ceases to be available, the Lender may specify

another page or service displaying the appropriate rate after consultation with the Borrower.

“伦敦银行同业拆借利率”是指英国银行家协会（以下简称为“BBA”）针对美元在相关计息

期的结算利率，相关计息期详见第“3750”页或路透社为公布该利率于计息期报价日在银屏

显示的其它页面。

如果上述页面被替换或服务终止，贷款行与借款人协商后可指定另一页

面或服务以公布合适利率。

"Loan" means a loan made or to be made under the Facility or the principal amount outstanding

for the time being of that loan.

“贷款”是指已进行的或即将进行的融资贷款或当时所欠付的本金金额。

"Margin" means Two point Eight percent （2.8%） per annum.

“保证金”为每年百分之二点八（ 2.8% ） 。

"Material Adverse Effect" means, in any respect of any event or circumstances （or combination

thereof）, an effect which materially impairs, or is reasonably likely materially to impair:

“重大不利影响”是指对以下内容的任何方面造成或可能造成重大损害的任何事件或情况

（或二者兼备）：

（a） the ability of the Borrower to perform and comply with any of its payment or other material

obligations under this Agreement;

（b） the ability of the Borrower to perform and comply with its material obligations under the

Contract;

（c） the business, operation or financial condition of the Borrower which, in each case, is, or could

reasonably be expected to be, materially prejudicial to the interests of the Lender under or in

connection with this Agreement;

借款人的业务、经营或财务状况在不同情况下对本协议项下或与本协议有关的贷款行的利

益构成或可能构成重大损害；

（d） the validity, enforceability or priority of any Security interest purported to be created under

this Agreement or the Guarantee in a manner or to an extent that is or would be prejudicial to the

ability of the Lender to enforce any Security interest.

在本协议项下设立的任何担保物权的有效性、可执行性或优先权，或可能或在一定程度上

对贷款行行使任何担保物权的能力造成损害的担保。

"Month" means a period starting on one day in a calendar month and ending on the numerically

corresponding day in the next calendar month, except that:

（a） subject to paragraph （c） below, if the numerically corresponding day is not a Business Day,

that period shall end on the next Business Day in that calendar month in which that period is to

end if there is one, or if there is not, on the immediately preceding Business Day;

月份的下一个工作日，或者，如果不在本月范围内，则顺延至最近的一个工作日；

（b） if there is no numerically corresponding day in the calendar month in which that period is to

end, that period shall end on the last Business Day in that calendar month; and

（c） if an Interest Period begins on the last Business Day of a calendar month, that Interest Period

shall end on the last Business Day in the calendar month in which that Interest Period is to end.

The above rules will only apply to the last Month of any period.

"Party" means a party to this Agreement. “缔约方”指本协议的一方。

"Prepayment Premium" means a prepayment premium payable by the Borrower to the Lender in

accordance with Clause 7.3.

“提前还款额”是指借款人根据第 7.3 条支付给贷款行的提前还款额。

"Quotation Day" means, in relation to any period for which an interest rate is to be determined,

two Business Days before the first day of that period.

“报价日”与利率确定日的任何期限有关，比该期限首日提前两个工作日。

"Repayment Date" means the date falling One 

（1） year and Six （6） Months after the date of the

first Utilisation.

“还款日期”是指首次提款日期后的一

"Security" means a mortgage, charge, pledge, lien or other security interest securing any

obligation of any person or any other agreement or arrangement having a similar effect.

何种类的协议或具有类似效果的安排。

"Tax" means any tax, levy, impost, duty or other charge or withholding of a similar nature

（including any penalty or interest payable in connection with any failure to pay or any delay in

paying any of the same）.

“税费”是指任何税费、税赋、税款、税收或其他具有类似性质的征收或预提（包括任何因

未能支付或迟延支付任何上述税项而应付的罚金或利息）。

"Tax Deduction" means a deduction or withholding for or on account of Tax from a payment

under this Agreement.

“税额扣减”是指在本协议项下从付款中扣除或扣缴的税收金额。

"Unpaid Sum" means any sum （including but not limited to, principal, interest, and/or fees） due

and payable but unpaid by the Borrower under this Agreement.

“未支付金额”是指本协议项下到期应付但借款人却未支付的任何款项（包括但不限于本金、

利息和/或费用）。

"U.S. Dollar", "USD" or "US$" means the lawful currency of the United States of America.

“美元” ， “USD”或“US$”是指美利坚合众国的法定货币。

"Utilisation" means a utilisation of the Facility. “提款”是指该贷款的提取。

"Utilisation Date" means the date of a Utilisation, being the date on which therelevant Loan is to

be made.

“提款日期”是指贷款的提款日期，即办理有关贷款的日期。

"Utilisation Request" means a notice substantially in the form set out in Schedule 1.

“提款申请”是指附表 1 中列明的相关格式的通知。

1.2 Construction 解释

（a） Unless a contrary indication appears, any reference in this Agreement to:

（i） the "Lender", the "Borrower" or any "Party" shall be construed so as to include its successors in

title, permitted assigns and permitted transferees;

（ii） "assets" includes present and future properties, revenues and rights of every description;

（iii） "indebtedness" includes any obligation （whether incurred as principal or as surety） for the

payment or repayment of money, whether present or future, actual or contingent;

（iv） a "person" includes any individual, firm, company, corporation, government, state or agency

of a state or any association, trust, joint venture, consortium or partnership （whether or not having

separate legal personality）;

合资企业、财团或合作企业（不论其是否具有独立的法人资格） ;

（v） a "regulation" includes any regulation, rule, official directive, request or guideline （whether or

not having the force of law） of any governmental, intergovernmental or supranational body,

agency, department or of any regulatory, self-regulatory or other authority or organisation; and

“规定”包括任何政府、政府间或超国家团体、代理、部门或任何监管、自我监管或其它机

关或组织的法规、规则、官方指令、要求或指导方针；以及

（vi） a provision of law is a reference to that provision as amended or re-enacted.

（vii） words indicating the singular will include the plural and vice versa where the context requires.

本协议中，单数用语亦包括复数，反之亦然。

（b） Unless a contrary indication appears, a reference to "determines" or "determined" used in this

Agreement means a determination made in the absolute discretion of the person making the

determination.

除非有相反指示，否则本协议中使用的 “决定”或“已决定” 均指决定人有绝对酌情权做出

的决定。

（c） Section, Clause and Schedule headings are for ease of reference only.

本协议章节、条款及附表的标题仅供查阅方便之用。

（d） A Default （other than an Event of Default） is "continuing" if it has not been remedied or

waived.

如果违约行为未经纠正或弃权，则该违约行为（违约事件除外） 则视为“继续存续”。

1.3 Third Party Rights 第三方利益

A person who is not a Party has no right under the Contracts （Rights of Third Parties） Act 1999 to

enforce or to enjoy the benefit of any term of this Agreement except as otherwise specifically

provided in this Agreement, but even then the Parties hereto shall at all times be entitled to rescind

or vary this Agreement without the consent of the person concerned.

根据 1999 年合同法（第三方权益）之规定，除非本协议中另有规定， 非缔约方无权执行

或享有本协议项下任何条款的权益，但即使本协议各缔约方未经当事人同意，在任何时间

均有权撤销或变更本协议。

2. THE FACILITY 贷款

2.1 The Facility 贷款

（a） Subject to the terms of this Agreement, the Lender makes available to the Borrower a term

loan facility in an aggregate amount of Three Hundred Thousand U.S. Dollars （US$300,000.-）.

根据本协议规定的条款，贷款行同意向借款人提供总额为三十万美元（US$300,000.-）的

定期贷款。

3. PURPOSE 用途

3.1 Purpose 用途

The Borrower shall apply all amounts borrowed by it under this Agreement solely for the purpose

of financing its general working capital requirements.

借款人应将其在本协议项下借贷的所有款项仅用于满足其一般营运资本需求。

3.2 Monitoring 监控

The Lender is not bound to monitor or verify the application of any amount borrowed pursuant to

this Agreement.

4. CONDITIONS OF UTILISATION 提款条件

4.1 Conditions Precedent to the Initial Utilisation 初次提款前的先决条件

Prior to and as conditions precedent to the Initial Utilisation hereunder, the following documents

and evidence shall have been received by the Lender in form and substance satisfactory to the

Lender:
