1.BeijingChangAn#5Co.,Ltd.(hereinafterreferredtoasthe“Lesser”),isacompanyorganizedunderthelawofVirginIslandsoftheU.K.withitslegaladdressat(P.O.BoxNo.71,CraigmuirChambers,RoadTown,Tortola,BritishVirginIsland).

2.FlagshipPatientAdvocates(hereinafterreferredtoasthe“Lessee”),isacompanyregisteredunderthelawofthePeople’sRepublicofChina,withitsaddressatRoom605,ChanganMansion,#10,EastChanganAvenue,DongchengDistrict,Beijing,China

FlagshipPatientAdvocatesmustcompletetheregistrationprocesswithinfourmonthsfromthedateofthesigningtheleasecontract.IfitsestablishmentisnotapprovedbytheChinesegovernmenttoobtainthebusinesslicense,thiscontractwillterminateautomatically,thelesserwillnotreturnthedepositbacktothelessee.

BothpartiesenterintothisLeaseContracton11/1/2006,andagreetotermsandconditionsasfollows:

Article1Leasedoffice

1.1TheLesseragreestoleaseoutandtheLesseeacceptstheleaseoftheOfficeatRM605,thecomprehensivebuildingofChanganMansion,locatedintheNo.10,EastChang’anAvenue,DongchengDistrict,Beijing,China,thescopeoftheofficeisthecoloredpartontheichnographywiththeattachmentofthiscontract(hereinaftercalled“leasedoffice:

”),withafloorareaof286.18squaremeters(includingthemutualandpublicsharearea).TheLesseehaverighttousepublicareasandequipmentofChang’anBuilding.

Article2LeasePeriod

2.1Theleaseperiodspecifiedhereundershallremainvalidfrom11/1/2006to10/31/2008(thedatesofcommencedandexpirationareinclusive.),ifthelesseedecidestoterminatetheleaseforanyreasonpriortotheendingdateofthelease,thedepositwillnotbereturnedtothelessee,andthelesserisobligatedtokeepthedeposittocoveranylosethismaycause.Fromthe3rdyear,eachpartyhasrighttocancelthecontract,butshouldinformtheotherparty30daysinadvance;and,thelesserhasrighttoincreasetherentatanytimeofthe3rdyear,butthelessershouldcommunicatethenewrentpricetothelessee30daysinadvance,ifthelesseecancelsthecontractatanytimeduringthe3rdyear,andhasalreadyinformedthelesser30daysinadvance,thelessershouldreturnthedeposittothelessee,ifnot,thedepositwillnotreturntothelessee.However,theLesseeshallbeentitledtocontinuetheleaseofsuchleasedofficeaftertheexpirationhereofinaccordancewithArticle13ofthisLeaseContract.

2.2Theeffectivedateofthiscontractstartsfromthedatethatthelesserdeliverstheleasedofficetothelesseetoberenovated.

2.3Thelessershouldinformthelesseeinwrittenatleast14dayspriortotheeffectivedateofthelease.

2.4ThelessershalldelivertheleasedofficetothelesseeonNovember1,2006.

2.5WhentheleaseendsonOctober31,2008oristerminatedpriortotheending,thelesseeshouldreturntheleasedofficewithinthreeweeksaftertheleaseisterminatedinitsoriginalstructureandcondition(exceptnormalwearandtear).

Article3RentalandManagementFee

3.1Theunitrentalpersquaremeteroffloorareais:

$18/squaremeter/month,(including$5persquaremeterforthemaintenancefeeofthebuilding,whichshouldbepaidbythelesseeinthecurrencyofRenminbiRMBtothemaintenancecompanyofthebuilding,theexchangerateisasthestandardoftheUSdollartoRenminbiintheBankofChinaontherequireddayofthepayment.)

3.2Therentalfeeisduebquarterly(the1stofeverythreemonths),andthefirstpaymentshouldbepaidbeforetheleasestartdate,November1,2006.

3.3ExcepttheArt.2.1andTerm4.1regulates,whateverhappened,therentalfeeshouldnotlessthanthedescriptionofTerm3.1.

Article4DecorationPeriodwithoutRent

4.1Thelesseeshouldhave30daysrenovationperiodfreeofrentalfee,whichcalculatedfromthestartdate,the30daysofrentalfeewillbedeductedfromthefirstrentalpayment.Themaintenancefeeshouldbepaidfromthelesseedirectlytothemaintenancecompanyofthebuilding.

4.2Within30daysoftherenovationperiod,thelesseeshouldpayotherchargesincludingbutnotlimitafterthelesseemovedintotheoffice:

chargessuchasmaintenance,electricity,water,extraair-conditioning(term19.1),telephoneandfax,whichareprivatelyusedbytheLesseeintheleasedoffice,aswellasotherdifferentchargesofspecialservicesinconnectionwiththeLessee’sleasedoffice.

Article5ManagementFee,incidentalExpensesandMiscellaneous

5.1Thelesseeisresponsibleforchargesofusingelectricity,water,extraair-conditioning(Term19.1),telephone,faxandotherservicecostrelatedtotheleasedofficeofthelessee.

5.2Thechargeofterm5.1shouldbepaideverymonth.Afterthelesseereceivestheinvoice,thefullamountshouldbemadebyduedate.

5.3ThelesseeshouldsignandobeytheregulationsandagreementofChanganbuilding.

Article6Deposit

6.1Whenthelesseesignthiscontact,thelesseeshouldpayasthesameamountofthetwomonthsleasefee,USD10,302.48asthedeposit,whichindicatesthelesseewillhonestlyobeyalltheregulationsandconditionsoftheleasecontract(hereinaftercalled“deposit”).Theamountofthedepositwillbeincreased/decreasedaccordingtotheannualrentalfee,butitisnotallowedtooffsetanyrentalfee.

6.2Ifthelesseebreaksanyarticles,regulationsandconditionsofthisleasecontract(thereintoincludingbutnotlimitthepayablerentalfee),thelesserwilluseordeductallorpartofthedeposit;itsamountisdeterminedaccordingtotheowedrentalfeeorotherpayablefeeofthelessee.Ifthelesseedoesn’tfulfillalltheregulationsofthiscontract,whichleadstothelesserpayingotherchargesinsteadofthelessee(thereintoincludingbutnotlimitthepaidchargeofArt.5bythelesserinsteadofthelessee/orthemaintenancechargestore-renttheleasedofficeandothercharges)orallthelossofthelesser,thedepositwillbededucted.Afterthededuction,thelesseemustmakeuptherequireddepositamountindicatedin6.1within7daysofsuchdeduction.

6.3Whentheleasecomestotheend,ifthelesseedidn’tdefaultrentalfee,managementfee,electricityfee,waterfeeandextraair-conditioningfee,telephonefee,faxfeeandanyotherchargesaccordingtotheleasecontract,thelessershallreturnthedeposittothelesseeinthecurrencyofRenminbi(RMB)withoutanyinterestwithin30daysaftertheendinglease.

6.4Ifthelesseedefaulttherentalfee,managementfee,electricityfee,waterfeeandextraair-conditioningfee,telephonefee,faxfeeandanyotherchargesshouldbepaidbythelesseeaccordingtotheleasecontractwhentheterminationofthecontract,thelessershallhaverighttodeductalltheowedchargesofthelessee,within30daysafterthelesseereturntheleasedoffice,paytheextrachargesbacktothelesseeasRMB,withoutanyinterest.

Article7PaymentTerms

7.1TheLesseeshouldpaytherentandthedepositinthecurrencyofUSdollar,andpaythemaintenancefeeinthecurrencyoftheRenminbi(RMB).Thelessershouldinformthelesseeofanyotherchargesandfees,thepaymentmethod,addressandbank.TheexchangerateshouldbethemediumratebetweenUSDandRMBontherequireddayofpayment.

Article8Take-overofHouse

8.1Thelesseragreesthatasofthecommencementoflease,itwilldelivertheemptyleasedofficetothelessee,andagreesthatthelesseethenhastherighttoentertheleasedoffice.Thelesseeoritscontractorshallbeallowedtoaccesstotheleasedofficeforinspectionassoonaspracticablypossiblepriortothedateofleaseofcommencement.Thelessershalldelivertheleasedofficewithanemptystatustothelessee.

Article9Equipment

9.1Publicfacilitiesprovidebythebuilding:

TwoluxuriousMitsubishipassengerelevators,whichareprovidedforthecommonuseofallcustomersinsidetheofficebuilding;

Cablesandpipelineswhichareconnectedtotheswitchinghouseoftheofficebuilding;

Siemenstelephoneexchangesystem;

Domesticcoldandhotwatersupplysystemfor24hours;

Originalpumpingsystem;

GENTfiresystem;

Cementfloor.

9.2Equipmentthelesserisliabletoprovidethelesseewith:

Centralairconditioningsystem;

Sanitarysuppliesinthebathrooms;

Elevatorsforofficebuilding,standarddecorationforthelobbyandequipment.

Article10CommunicationEquipment

10.1ThelessercanprovideXdirecttelephonelinestothelesseetouse,thedetailsofthephonelinesleaseshouldbespecifiedinaseparateagreement.

Article11Latepaymentpenalties

11.1Wheretherentalorotheramountspayablebythelessee,inadditiontothepaymentofsuminarrear,thelesseeshallalsopayaliquidateddamagetothelesseratarateof0.5%ofthetotalsumsdueandpayablebutnotpaidbythelessee,foreachdayfromthedueandpayabledatetotheactualdateofthepayment.

Article12Entryintoandexitoutoftheleasedoffice

12.1Thelesseeshallallowthelayingofpipelinesandcablesthroughtheleasedoffice,andacknowledgethatthelesseroritsagentshallhavetherighttoentertheleasedofficeaftergivinganoticetothelessee,soastomakeurgentrepairandinspectpipelinesorcables,andconductrepair,reconstruction,extension,installationormaintenanceworkintheleasedofficeifdeemednecessarybythelesser.

12.2Thelessermay,withinthreemonthspriortotheexpirationhereofortothatofrenewedlease,guideanewlesseearoundtheleasedoffice,andmayputa“ForLease”posterintheleasedoffice.
