StdAgreementforLeaseoffice
AGREEMENTFORLEASE
THISAGREEMENTismadethe_____dayof_____________20____betweentheLandlordandtheTenant.
1.DefinitionsandInterpretations
InthisAgreement:
-
(a)"Building"shallmeanallthatbuildingerectedorbeingerectedbytheLandlordonLot____ofTownSubdivision/Mukim_________andknownas______________________________________________________________Singapore_____________(whichexpressionincludesanypartoftheBuilding).
(b)"BuildingAuthority"shallmeanandinclude(asapplicable)allrelevantgovernmentandquasigovernmentauthoritiesandstatutoryboardsinSingaporewhoseapprovalsarerequiredforallplanning,buildingandconstructioninSingapore.
(c)"CSC"shallmeantheCertificateofStatutoryCompletioninrespectoftheBuildingissuedbytheBuildingAuthority.
(d)"Fitting-OutDeposit"shallmeanthesumofSingaporeDollars_________________________________________________________________________(S$______________).
(e)"Fitting-OutPeriod"shallmeantheperiodof_______(____)monthscommencingonthedateofdeliveryofpossessionofthePremisestotheTenantorontheexpiryoffourteen(14)daysfromthedateoftheLandlord'swrittennoticetotheTenanttotakepossessionofthePremises,whicheveristheearlier.
(f)"Fitting-OutPlans"shallmeantheplansdrawingsand/ordesignspreparedortobepreparedbytheTenantattheTenant'sowncostandexpensewhichshallcompriseallplans,drawings,particularsanddesignsinrespectoftheFitting-OutWorks.
(g)"Fitting-OutWorks"shallmeanallrenovations,additions,alterationsandfittingoutworktothePremisesincludingtheinstallationofallinternalpartitions,doors,glass,windowsandotheritemsincidentaltheretoorinconsequencethereof(includingalterationstotheexistingfireprotectionsystemsandmechanicalandelectricalworks,alllightsandpoweroutlets,fireprotectionsystems,mechanicalandelectricalservices,electricalwiring,distributionboards,switchesandtelephoneoutlets,airconditioningductsandventsrequiredbecauseofalterationstothepartitionsinthePremises)andallotherfixturesandfittingstothePremisesapartfromthoseoriginallysuppliedbytheLandlord.
(h)"GST"shallmeanallgoodsandservicestaxesthatmaybeimposedbytherelevantauthorityfromtimetotime.
(i)"Landlord"shallmean_________________________________________of______________________________________________________________Singapore_____________(whichexpressionwhereverthecontextsoadmitsincludesitsassignssuccessorsin-titleandthepersonforthetimebeingentitledtothereversionimmediatelyexpectantonthedeterminationoftheTerm).
(j)"Lease"shallmeantheLeaseAgreementinrespectoftheleasehereinannexedheretoasAnnexC.
(k)"LetterofOffer"shallmeantheletterofofferinrespectofthisleasedatedthe____dayof_________2008fromtheLandlordtotheTenantanddulyacceptedbytheTenant.
(l)"Plan"shallmeantheplaninAnnexAwhichshowstheprovisionalfloorlayoutofthePremiseswithintheBuilding.
(m)"Premises"shallmeanallthepremisesonthe_____and_____floorsoftheBuildingestimatedtocontainafloorareaofapproximately____squaremetres(_____squarefeet)asdelineatedandcolouredinredonthePlanandknownas____________________________________________________________Singapore_____________(whichexpressionincludesanypartofthePremises).
(n)"Rent"shallmeanthemonthlysumofSingaporeDollars_____________________________________________________________________________(S$_________________)andshallincludetheservicechargespayableinrespectofthePremises.ThefirstpaymentofRentshallbemadeonorbeforethesigningofthisAgreementandthereafter,theRentshallbedueandpayableinadvanceonthe___________dayofeachsubsequentmonththroughouttheTerm.
(o)"SecurityDeposit"shallmeanthesumofSingaporeDollars_________________________________________________________________________________(S$_________________)orsuchothersumbeingequivalentto_____(____)months'Rentforthetimebeing.
(p)"Specifications"shallmeanthespecificationsrelatingtothePremisesassetoutinAnnexBhereto.
(q)"Tenant"shallmean_________________________________________of______________________________________________________________Singapore_____________(whichexpressionwhereverthecontextsoadmitsincludes,iftheTenantisanindividual,hispersonalrepresentativesandpermittedassigns,oriftheTenantisacompany,itssuccessors-in-titleandpermittedassigns).
(r)"Term"shallmeantheperiodof_________(____)yearscommencingthedayaftertheexpiryoftheFitting-OutPeriod.
(s)"TOP"shallmeantheTemporaryOccupationPermitinrespectoftheBuildingissuedbytheBuildingAuthority.
(t)Wordsimportingthegenderincludeallothergendersandwordsimportingthesingularincludethepluralandviceversa
(u)AnyprovisionbytheTenantnottodoanactorthingshallbedeemedtoincludeanobligationtousebestendeavoursnottopermitorsuffersuchactorthingtobedonebyanotherperson.
2.LeaseofPremises
TheLandlordhasagreedtograntandtheTenanthasagreedtotakealeaseofthePremisesfortheTermsubjecttotheterms,covenantsandconditionscontainedintheLeaseandsubjecttotheterms,covenantsandconditionshereinafterappearing.
3.Rent
3.1TheTenantshallpaytotheLandlordRentforthedurationoftheTerm.
3.2InadditiontoRent,theTenantshallatthesametimeaspaymentoftheRentpaytotheLandlordGSTontheRent.
4.SecurityDeposit
4.1TheTenantshallimmediatelyuponacceptanceoftheLetterofOfferpaytotheLandlordtheSecurityDeposit.TheSecurityDepositshallbeasecurityforthedueperformanceofthetermscovenantsandconditionsinthisAgreementandtheLeaseandshallatalltimesduringtheTermbemaintainedbytheTenantatthesumequivalenttothree(3)months'Rent.
4.2Upontheoccurrenceofanyoftheundermentionedevents,theLandlordshallbeentitledtotreatthisAgreementashavingbeenrepudiatedbytheTenantandinsuchevent,withoutprejudicetoanyotherrightorremedyoftheLandlordatlaworinequity,theSecurityDepositshallbeforfeitedtotheLandlordabsolutely:

(a)IftheTenantshallgivenoticetotheLandlordthattheTenantdoesnotintendtoproceedwiththeleaseofthePremisesonthetermsandconditionssetouthereinandintheLeaseortheTenantotherwiserepudiatesthisAgreement.
(b)IftheTenantshall,foranyreason,failtodulyexecuteandreturntheLeasetotheLandlordwithinthetimeprovidedinthisAgreement.
(c)IftheTenant,beingacompany,shallbeunabletopayitsdebtsorshallgointoliquidation(whethercompulsoryorvoluntary)orhaveanyordermadeorresolutionpassedforitswinding-uporshallotherwisebecomeinsolventormakeanyproposal,assignmentorarrangementforthebenefitofitscreditorsorhaveareceiverormanagerappointedoveritsaffairsorhaveanapplicationmadetocourtfortheappointmentofajudicialmanagerorbeplacedunderajudicialmanagementorder.
(d)IftheTenant,beingasoleproprietororpartnership,shallfailtorenewitsCertificateofRegistrationorifanyofitspartnersshalldie,becomeofunsoundmindorshallnotbelocatedorshallbeunabletopayhisdebtsorshallhaveabankruptcypetitionpresentedorbankruptcyordermadeagainsthimorshallhaveanapplicationundertheBankruptcyAct(Cap.20)(oranyamendmenttheretoorre-enactmentthereof)foraninterimordermadeagainsthimorshallmakeanyproposal,assignmentorarrangementforthebenefitofhiscreditorsorshallenterintoaschemeofarrangementofhisaffairsorhaveareceiverappointedinrespectofanyofhisproperty.
(e)IftheTenant,beinganaturalperson,shalldie,becomeofunsoundmindorshallnotbelocatedorshallbeunabletopayhisdebtsorshallhaveabankruptcypetitionpresentedorbankruptcyordermadeagainsthimorshallhaveanapplicationundertheBankruptcyAct(Cap.20)(oranyamendmenttheretoorre-enactmentthereof)foraninterimordermadeagainsthimorshallmakeanyproposal,assignmentorarrangementforthebenefitofhiscreditorsorshallenterintoaschemeofarrangementofhisaffairsorhaveareceiverappointedinrespectofanyofhisproperty.
4.3Inadditiontotheaforesaid,theLandlordshallbeentitledtorecoverfromtheTenantonafullindemnitybasisanydamages,costsorexpensessufferedorincurredbytheLandlordarisingfromtheTenant'sFitting-OutWorkorotherdamagesdonetotheBuildingand/orthePremisesbytheTenant,itsservants,agents,contractorsoremployees,andthecostsandexpensesincurredinrestoringthePremisestoitsoriginalstateandcondition.
5.Lease
5.1ThecovenantsandconditionsoftheLeaseshallbeincorporatedintothisAgreementandtheLandlordandtheTenantshallbeboundbyandbesubjecttothesaidcovenantsandconditionsnotwithstandingthattheLeasemaynothavebeenexecutedormayotherwisebeunenforceableforanyreasonwhatsoever.
5.2TheLandlordmaypriortothecommencementoftheTermservewrittennoticeontheTenanttoexecutetheLeaseandtheTenantshalldulyexecuteandreturntheLeasetotheLandlordbeforetheexpirationoffourteen(14)daysfromthedateofsuchnoticeorbeforetakingpossessionofthePremises,whicheverisearlier.
6.Fitting-OutPlans
6.1PriortoanysubmissionofFitting-OutPlanstotheLandlordandtherelevantauthoritiesforapprovalandthecommencementofanyFitting-OutWork,theTenantshallsubmittotheLandlordforapproval,theconc
