CONFIDENTIALITYAGREEMENT

ThisCONFIDENTIALITYAGREEMENT（the"Agreement"）isbyandbetween:

CCCCSecondHighwayEngineeringCo.Ltd.（hereinafterreferredtoas"theRecipient"）,situatedatNo.262,ZhangbaEastRoad,YantaDistrict,Xi'anChina710065

Whereas,theRecipienthasrequestedinformationfromtheDisclosingPartyinconnectionwithconsiderationofapossibletransactionorrelationshipbetweentheRecipientandtheDisclosingParty.

Whereas,inthecourseofconsiderationofthepossibletransactionorrelationship,theDisclosingPartymaydisclosetotheRecipientconfidential,important,and/orproprietarytradesecretinformationconcerningtheDisclosingPartyandhis/itsactivities.

Therefore,thepartiesagreetoenterintoaconfidentialrelationshipwithrespecttothedisclosurebytheDisclosingPartytotheRecipientofcertaininformation.

1.Definitions.

ForpurposesoftheAgreement,"ConfidentialInformation"shallincludeallinformationormaterialthathasorcouldhavecommercialvalueorotherutilityinthebusinessorprospectivebusinessoftheDisclosingParty.ConfidentialInformationalsoincludesallinformationofwhichunauthorizeddisclosurecouldbedetrimentaltotheinterestsoftheDisclosingPartywhetherornotsuchinformationisidentifiedasConfidentialInformationbytheDisclosingParty.ForthepurposeofthisAgreement,ConfidentialInformationshallmeanallinformationormaterialasdefinedaboverelatedto_ZimbabweRoadBoTProject.

ForpurposesofthisAgreement,theterm"theRecipient"shallincludetheRecipient,thecompanyheorsherepresents,andallaffiliates,subsidiaries,andrelatedcompaniesoftheRecipient.

ForpurposesofthisAgreement,theterm"Representative"shallincludetheRecipient'sdirectors,officers,employees,agents,andfinancial,legal,andotheradvisors.

2.Exclusions.

ConfidentialInformationdoesnotincludeinformationthattheRecipientcandemonstrate:

（a）wasintheRecipient'spossessionpriortoitsbeingfurnishedtotheRecipientunderthetermsofthisAgreement,providedthesourceofthatinformationwasnotknownbytheRecipienttobeboundbyaconfidentialityagreementwithorothercontinual,legalorfiduciaryobligationofconfidentialitytotheDisclosingParty,

（b）isnow,orhereafterbecomes,throughnoactorfailuretoactonthepartoftheRecipient,generallyknowntothepublic,

（c）isrightfullyobtainedbytheRecipientfromathirdparty,withoutbreachofanyobligationtotheDisclosingParty,or

（d）isindependentlydevelopedbytheRecipientwithoutuseoforreferencetotheConfidentialInformation.

3.Confidentiality.

TheRecipientanditsRepresentativesshallnotdiscloseanyoftheConfidentialInformationinanymannerwhatsoever,exceptasprovidedinparagraphs4and5ofthisAgreement,andshallholdandmaintaintheConfidentialInformationinstrictestconfidence.TheRecipientherebyagreestoindemnifytheDisclosingPartyagainstanyandalllosses,damages,claims,expenses,andattorneys'feesincurredorsufferedbytheDisclosingPartyasaresultofabreachofthisAgreementbytheRecipientoritsRepresentatives.

4.PermittedDisclosures.

TheRecipientmaydisclosetheDisclosingParty'sConfidentialInformationtotheRecipient'sresponsibleRepresentativeswithabonafideneedtoknowsuchConfidentialInformation,butonlytotheextentnecessarytoevaluateorcarryoutaproposedtransactionorrelationshipwiththeDisclosingPartyandonlyifsuchemployeesareadvisedoftheconfidentialnatureofsuchConfidentialInformationandthetermsofthisAgreementandareboundbyawrittenagreementorbyalegallyenforceablecodeofprofessionalresponsibilitytoprotecttheconfidentialityofsuchConfidentialInformation.

5.RequiredDisclosures.

TheRecipientmaydisclosetheDisclosingParty'sConfidentialInformationifandtotheextentthatsuchdisclosureisrequiredbycourtorderorapplicablelaw,providedthattheRecipientprovidestheDisclosingPartyareasonableopportunitytoreviewthedisclosurebeforeitismadeandtointerposeitsownobjectiontothedisclosure.

6.Use.

TheRecipientanditsRepresentativesshallusetheConfidentialInformationsolelyforthepurposeofevaluatingapossible,transactionorrelationshipwiththeDisclosingPartyandshallnotinanywayusetheConfidentialInformationtothedetrimentoftheDisclosingParty.NothinginthisAgreementshallbeconstruedasgrantinganyrightstotheRecipient,bylicenseorotherwise,toanyoftheDisclosingParty'sConfidentialInformation.

7.ReturnandDestructionofDocuments.

Ifonepartydoesnotproceedwiththepossibletransactionwiththeotherparty,thepartyshallnotifytheotherpartyofthatdecisionandtheRecipientshall,atthattimeorat
