经甲、乙双方本着互惠互利、友好协商的原则，订立如下合同条
款，双方共同遵守执行。
第一条销售权代理品种：
铅精粉。
第二条销售代理权年限：
长期
第三条销售权归属：
甲方所生产的所有铅精粉归乙方销售。
甲
方未经乙方同意不得私自对外销售铅精粉及原矿石。
第四条质量要求：
铅pb≥60%,锌Zn≤2%,铁Fe≤8%,硅si≤5%,
砷As≤0.1%,锑sb≤0.1%,钴co≤0.1%。
第五条计价要求:
1、20XX年11月10日至20XX年11月10日计价标准
p代表交货当月上海有色金属网1#铅锭现货平均价，m代表交货金
属吨结算价格（m／p=59%）。

p>15000元/吨时m=p-6200元/吨-（p-15000）×41%
p p 2、20XX年11月11日至20XX年11月11日计价标准
p代表交货当月上海有色金属网1#铅锭现货平均价，m代表交货金
属吨结算价格（m／p=62%）。

p>15000元/吨时m=p-5700元/吨-（p-15000）×38%
p p 3、20XX年11月12日以后计价标准
p代表交货当月上海有色金属网1#铅锭现货平均价，m代表交货金
属吨结算价格（m／p=64%）。
p=15000元/吨时m=p-5400元/吨
p>15000元/吨时m=p-5400元/吨-（p-15000）×36%
p p 4、计价标准铅pb=60%，当铅pb＞60%时，每增1%铅金属单价加
20元/金属吨；当58%≤铅pb＜60%时，每降1%铅金属单价减20元/金属吨；当铅pb在55%≤铅pb＜58%时，每降1%铅金属单价减30元/金属吨；当铅pb在53%≤铅pb＜55%时，每降1%铅金属单价减50元/金属吨；当铅pb在53%≤铅pb＜45%时，降低收购系数3%（m/p-3%，逐年根据系数变动）；当铅pb在45%≤铅pb＜40%时，降低收购系数6%（m/p-6%，逐年根据系数变动）；铅pb＜40%时，乙方拒收。
5、铅精矿中Fe超出8%,每增加0.1%铅金属单价减3元/金属吨，
其他杂质均符合国家铅精矿冶炼标准。
第六条供货要求及计价时间：
甲、乙双方约定发货时间，即乙方在甲方铅矿石精选后确定品位
及供货量后，同时满足乙方运输和销售条件时即可发货。
发货日既为计价日。
第七条交货地点：
皋兰天宇矿业有限公司选矿厂（位于皋兰县
黑石川乡三和村一社区域内）选矿厂。
第八条货物运杂费承担：
铅精粉在计量过磅之前的一切费用由甲方承担，交付以后的其他
一切费用由乙方承担。
第九条包装：
散装
第十条验收标准、方式及提出异议期限：
1、取样、水份化验、过磅在皋兰天宇矿业有限公司选矿厂（位于皋兰县黑石川乡三和村一社区域内）选矿厂进行，计量、取样、制样、水份化验双方共同参与。
待双方化验结果出来后，误差在0.5以内按甲方的化验结果进行结算，超过0.5则双方协商或者将仲裁样封寄到白银市进行仲裁化验，并以此化验结果作为最终结算依据。
第十一条、付款方式、结算方式：
乙方在保证甲方正常运转的情况下，经双方协商乙方可提前支付
部分货款，但甲方须按乙方指定的货场堆放的价值大于预付款的原矿石作为抵押。
第十二条违约责任：
甲、乙双方有任何一方违约，违约方要赔偿另乙方所有损失。
第十三条未尽事宜：
本合同的未尽事宜，按《合同法》处理或友好协商解决。
如协商
未成，由合同签订地人民法院管辖。
第十四条本合同一式伍份，甲方四份、乙方一份。

根据《中华人民共和国合同法》和有关规定，经双方协商一致，特订立本合同。
第一条：
甲方自年月日起委托乙方为甲方生产加工产品。
第二条：
加工方式
（1）（乙方自备材料），乙方必须依照合同规定选用原材料，并接受甲方检验。
乙方隐瞒原材料的缺陷或用不符合合同规定的原材料而影响定作质量的，甲方有权要求重作、修理、减少价款或退货，并由乙方承担相关全部损失。
如甲方有指定材料供应商的，乙方必须按指定采购，否则甲方将拒收货品，并有权利向乙方索取一切相关损失的赔偿。
（2）（甲方提供材料，明确规定原材料的消耗定额）甲方按合同规定的时间、数量、质量、规格提供原材料，乙方对甲方提供的原材料不得擅自更换，对返修的产品不得偷工换料。
否则甲方将拒收货品，并有权利向乙方索取一切相关损失的赔偿。
第三条：
乙方受甲方委托为甲方生产加工鞋类产品，乙方必须严格按照确认样品和甲方
质检人员的合理要求来组织生产。
如品质达不到要求，甲方将拒收货品，并有权利向乙方索取一切相关损失的赔偿。
第四条：
甲方需要乙方生产之产品的品名、型号、规格、数量、包装、交货期等要求由
甲方另行提供，双方确认后乙方必须按期出货，如延期出货，乙方需承担所有损失。
第五条：
甲方提供给乙方用于生产的所有资料（包括楦头、款式、材料、包装、商标等）
乙方必须妥善保管和使用，以免给其他个人或公司所利用，更不能用甲方提供的资料修改或直接生产给甲方以外的个人或公司，否则乙方必须赔偿给甲方每组鞋人民币十万元的损失。
第六条：
付款：
每月的货款甲、乙双方在次月6日前对账，甲方在对账当月15日前付
清。
第七条：
甲、乙任何一方如确因战争或严重自然灾害等不可抗力的原因,不能履行本合同
时,应及时向对方通知不能履行或须延期履行,部分履行合同的理由,经双方协商确认一致后，免予承担违约责任。
第八条：
本合同在执行中，如发生争议，双方应本着友好方式协商解决。
如未能协商解
决，向广州市仲裁委员会申请仲裁或向广州市人民法院提起诉讼。
第九条：
本合同自签订之日起生效，合同执行期内，甲乙双方均不得随意变更或解除合
同。
合同未尽事项，双方协商解决，具有本合同同等效力。
本合同一式二份，甲乙双方各执一份。

monthofshipment（“m+2”）,asevidencedbytheonboarddateofbillofLading.
6.A.2subjecttoreceiptoffullyworkableLetterofcredit,buyershall,priortothelastLme
tradingdaybeforeQpstarts,pricethetotalmaterialatanytime,basisQpLmepricefor
zinc.Theminimumquantityforwhichbuyerisallowedtofixapriceeachtimeis500mt.
6.A.3however,ifthematerialisnotpricedpriortothecommencementoftheQp,thentheprice
forthatportionshallbefixedasper6.A.1above.
6.A.4FurthermoreanymaterialpricedpriortocommencementofthecontractualQpcanbe
unpricedatanytime.Allvalidpricingorunpricingorderswillhavetobeissuedinwriting
andsigned.suchpricing/unpricingorderscanbecarriedoutifLetterofcreditvalue
coverstheoutstandingvalueofthematerialatthemarketpriceofthepricingorderandthe
unpricingorderswillbecarriedoutonlyif90%letterofcreditvaluecoverstheoutstanding
valueofthematerialatthemarketpriceatthetimeoftheunpricingorder.
6.A.5eachtimematerialisunpricedinaccordancewithclause6.A.4above,sellerwillbe
entitledtoearnacommissionofDollars8.00permetrictonofmaterialunpricedor15%
ofthegrossunpricingprofit,whicheveristhegreater.sellershallremitanyremaining
profit,afterdeductingthecommission,tobuyerwithin7bankingdaysafterfinalisationof
thiscontract.
6.A.6Thefinalpriceofthematerialshallbetheweightedaverageofeachofthepricesfixedas
pertheaboveprovisionsaftertakingintoaccountanyofthematerial,whichhasbeen
unpricedandanyover/underpricingovertheQp.

quantitypriortopresentation,theprovisionalpriceshallthenreflectthetonnagepriced.

sellershallaskforanamendmentoftheLetterofcredit.Ifsuchamendmentisnot
receivedwithin3daysorifLmepriceincreaseinsuchawaythatthemarketvalueofthe
deliveredgoodsexceed100%ofthe100%Letterofcreditvalue,whicheverisearlier,
sellerhastherightbutnottheobligationtopricethematerialwithoutanyfurthernotice.If
finalsettlementinfavorofbuyer,sellershallpaythebalanceduetobuyerlatestfive
workingdaysafterreceivedoffinaldebitnote.
7.A.3TheLetterofcreditshallbeavailablefordrawingbyselleronthefinalsettlementwhen
alldetailsrelatingtofinalweight,priceandqualityareknown,againstpresentationof
seller’sfinalinvoice.
Thefinalsettlementshallbethevaluedeterminedinaccordancewiththerelative
clausesinthiscontractregardingweight,assaysandprices,lessprovisionalpayments
effected.
7.A.4FordeferredpaymentLetterofcredit,buyershallpaysellerfinancecharges,atthe
publishedFinancialTimesofLondonthreemonthsLIboR（quotedononboarddateof
billofLading）plus1.5%,calculatedfor90calendardays,basis90%provisionalinvoice
amount.suchchargesshallbeallowedforintheLetterofcreditandshallbeincludedin
firstprovisionaldrawing.
7.A.5IfduedatefallsonasaturdayornewYorkbankingholidayotherthanmonday,payment
shallbemadeontheprecedingnewYorkbankingday.Ifpaymentduedatefallsona
sundayormondaybankholidayinnewYork,paymenttobemadeonthenextnewYorkbankingday.
