Art.184

A.Rightsandobligationsofthepartiesingeneral

1 Acontractofsaleisacontractwherebythesellerundertakestodelivertheitemsoldandtransferownershipofittothebuyerinreturnforthesaleprice,whichthebuyerundertakestopaytotheseller.

2 Unlessotherwiseprovidedbyagreementorcustom,thesellerandthebuyerareobligedtodischargetheirobligationssimultaneouslyquidproquo.

3 Thepriceisdeemedsufficientlydeterminedwhereitcanbedeterminedfromthecircumstances.

Art.185

B.Benefitsandrisks

1 Thebenefitandriskoftheobjectpasstothebuyeronconclusionofthecontract,exceptwhereotherwiseagreedordictatedbyspecialcircumstance.

2 Wheretheobjectsoldisdefinedonlyingenericterms,thesellermustselecttheparticularitemtobedeliveredand,ifitistobeshipped,musthanditoverfordispatch.

3 Inacontractsubjecttoaconditionprecedent,benefitandriskoftheobjectdonotpasstothebuyeruntiltheconditionhasbeenfulfilled.

Art.186

C.Reservationofcantonallaw

Cantonallawmaylimitorexcludetherighttobringclaimsinconnectionwithretailsalesofalcoholicbeverages,includinghotelbills.

TheChattelSale

Art.187

A.Object

1 Anysaleinwhichtheobjectisnotland,propertyorarightinrementeredinthelandregisterisachattelsale.

2 Whereconstituentpartsofland,suchascrops,architecturalsalvagematerialsorquarryproducts,areseparatedtherefromfortransfertotheacquirer,theirsaleconstitutesachattelsale.

Art.188

B.Seller’sobligations

I.Transfer

1.Transfercosts

Unlessotherwiseprovidedbyagreementorcustom,thesellerbearsthecostsoftransferandinparticularthoseofmeasuringandweighing,whilethebuyerbearsthoseofdocumentationandreceipt.

Art.189

2.Transportcosts

1 Unlessotherwiseprovidedbyagreementorcustom,iftheobjectsoldmustbetransportedtoaplaceotherthantheplaceofperformance,thebuyerbearsthecostsofsuchtransport.

2 Thesellerispresumedtohavebornethetransportcostswherefreedeliveryhasbeenagreed.

3 Wheredeliveryfreeofshippingcostsanddutieshasbeenagreed,thesellerisdeemedtohaveassumedtheexport,transitandimportdutiespayableduringtransportbutnottheconsumertaxleviedonreceiptoftheobject.

Art.190

3.Deliverydefault

a.Withdrawalfromcommercialtransactions

1 Whereincommercialtransactionsthecontractspecifiesatimelimitfordeliveryandthesellerisindefault,thepresumptionisthatthebuyerwillforegodeliveryandclaimdamagesfornon-performance.

2 However,ifthebuyerpreferstodemanddelivery,hemustinformthesellerwithoutdelayonexpiryofthetimelimit

Art.191

b.Liabilityforandcomputationofdamages

1 Asellerwhofailstodischargehiscontractualobligationisliablefortheresultantlossordamagetothebuyer.

2 Thebuyerinacommercialtransactionisentitledtocompensationofthedifferencebetweenthesalepriceandthepricehehaspaidingoodfaithtoreplacetheobjectthatwasnotdeliveredtohim.

3 Inthecaseofgoodswithamarketorstockexchangeprice,thebuyerneednotbuythereplacementobjectbutisentitledtoclaimasdamagesthedifferencebetweenthecontractualsalepriceandthemarketpriceatthetimeofperformance.

Art.192

II.Warrantyoftitle

1.Warrantyobligation

1 Thesellerisobligedtotransferthepurchasedgoodstothebuyerfreefromanyrightsenforceablebythirdpartiesagainstthebuyerthatalreadyexistatthetimethecontractisconcluded.

2 Whereonconclusionofthecontractthebuyerwasawareoftheexistenceofsuchrights,thesellerisnotboundunlessbyanyexpresswarrantygiven.

3 Anyagreementtoexcludeorlimitthewarrantyobligationisvoidifthesellerhasintentionallyomittedtomentiontherightofathirdparty.

2.Procedure

a.Third-partynotice

1 Therequirementsforandeffectsofthethird-partynoticearegovernedbytheCivPC2.

2 Intheeventoffailuretoservethethird-partynoticeforreasonsnotattributabletotheseller,heisreleasedfromhiswarrantyobligationtotheextentthathecanprovethattheoutcomewouldhavebeenmorefavorablehadthethird-partynoticebeenservedpromptly.
