ADVISORYAGREEMENT

CONFIDENTIALINFORMATIONOMMITTEDANDFILEDSEPARATELYWITHTHE

SECURITIESANDEXCHANGECOMMISSION

ASTERISKSDENOTESUCHOMISSION

ThisAgreementisenteredintoasof_________（M,D,Y）（the"EFFECTIVEDATE"）byandamong_________（"_________（NAME）"）,AAA（"AAA"）andBBB,INC.,a_________（STATE）CORPORATION（"BBB"）andprovidesasfollows:

BBBdesirestocontractwith_________（NAME）forcertainservicesandtoobtainfrom_________（NAME）certaincontentfordistributionthroughitssports-orientedonlineservicecurrentlylocatedatuniversalresourcelocator"http:

//_________"（the"BBBSERVICE"）,and_________（NAME）iswillingtorendersuchservices,onthetermsandconditionssetforthherein.ForandinconsiderationofthemutualtermsandconditionssetforthinthisAgreement,thereceiptandadequacyofwhichisherebyacknowledged,thepartiesagreeasfollows:

1.TERM.ThetermofthisAgreementshallbeassetforthinEXHIBIT"A"（the"TERM"）.

2.SERVICES,RIGHTS&CONTENT.BBBend_________（NAME）agreetocreateadesignatedareaoftheBBBServiceastheexclusive_________（NAME）-authorizedwebsitethatfeaturescontenttobeprovidedbyoronbehalfof_________（NAME）（hereinafter,the"_________（NAME）WEBSITE"）.The_________（NAME）WebSitewillbehostedandoperatedbyBBBonBBB'sserversataWorldWideWebaddress（the"_________（NAME）URL"）mutuallyagreeduponbythepartiesasmaybeadoptedfromtimetotime（tentatively,"_________（NAME）.com"）,andshallcontainprominentlinkstotheBBBService.Asmorefullysetforthherein,_________（NAME）agreestofullyprovidethecontentandperformtheservicesoutlinedhereinincludingbutnotlimitedtotheservicesandcontentsetforthonEXHIBIT"B."

3.EXCLUSIVITY.DuringtheTerm,andsubjecttoanyrightsgrantedtotheNBApursuanttotheNBA'sGroupLicensingAgreement（_________（NAME）andAAAherebyacknowledgethat,asoftheEffectiveDate,_________（NAME）hasoptedoutofandisnotcurrentlysubjecttotheNBAGroupLicensingAgreement）oranyotherrightsgrantedtotheNBApursuantto_________（NAME）'scontractwiththeChicagoBulls,_________（NAME）shallnotbeemployedby,actasaconsultantto,provideanycontent,chatsessions,information,products（includingbutnotlimitedtomerchandiseandmemorabilia）orservicesto,orotherwiserenderservicesofanynaturefororonbehalfof,anyinternetorWorldWideWeb（includingbutnotlimitedtoESPNSportsZone,CNN/Si,SportingNews,NBCSports,FoxSports,etc.）,commercialonline（includingbutnotlimitedtoMicrosoftNewtork,FFF,CompuServe,etc.）,electronicorsimilarservice（regardlessofwhethersuchserviceisaccessiblethroughtheInternetorotherwise）.Inaddition,asmorefullysetforthherein,_________（NAME）herebygrantsBBBanexclusive,world-widelicensebothonlineandoff-line,tocreatetheofficial_________（NAME）FanClubs（asdefinedherein）;however,thattheforegoingshallnotprohibitanyofthesponsorslistedonEXHIBIT"D"attachedhereto（each,a"_________（NAME）ENDORSEMENTCOMPANY"）fromdistributinginformation,advertising,orproductsamplesto_________（NAME）fanssolongassuchactivitiesarenotreasonablyconstruedtobeinthenatureofFanClubactivitiesinordertoavoidconfusioninthemarketplaceandtoavoidadverselyaffectingtheeffectivenessofthe_________（NAME）FanClubs._________（NAME）understandsandagreesthatBBBshallnotbepreventednorbarredfromretainingotherpersonsorentitiestoprovideservicesofthesamenatureorsimilarnatureasthosedescribedhereinorofanynaturewhatsoever.BBBacknowledgesthatthe_________（NAME）EndorsementCompanies,WorldCom（inparticular,withrespecttoInternetaccessservices）andtheNBAmayhavecertainmarketingrightsthatmayextendtotheInternetandwhichrightsshallnotbeconsideredabreachofthisAgreement;provided,however,undernocircumstancesmaythoserightsincludethecreationofaWebsitecontainingandcontentsimilartothe_________（NAME）Informationorhavethesamelookandfeelofthe_________（NAME）WebSitenoranyinterviews,chatsessions,orotherservicesasprovidedherein.

4.PROMOTION._________（NAME）shallusehisbesteffortsto（i）securefromhiscorporatesponsorsandendorserspromotionofthe_________（NAME）WebSiteinallprint,directmail,radioandtelevisionadvertisements,infomercials,andothertraditional,electronicandonlinemarketingandpromotionalvehiclesusedbysuchsponsorsandendorserstopromote_________（NAME）,includingarrangingtohavethe_________（NAME）URLdisplayedonhangingtagson_________（NAME）'sendorsers'orlicensees'signaturelineofappareland/orequipment,andanybooksanddocumentaries;and（ii）mentionthe_________（NAME）WebSiteand_________（NAME）URLinallappropriateinterviewsandappearancesof_________（NAME）（the"PROMOTIONALEFFORTS"）.ThePromotionalEffortsshallprominentlyfeaturethelordanURLfollowedbythepromotionalstatement"aBBBPoweredWebSite"orothersimilarlanguagedesignatedbyBBB,anddisplaythe_________（NAME）URL,asmaybeadoptedfromtimetotime.BBBwillactivelypromotethe_________（NAME）WebSitebothwithintheBBBserviceandonotherWebsitesconsistentwithBBB'spromotionofitsothersuperstarWebSites.

5.SPONSORSHIP/ENDORSEMENTCONFLICTS.

（a）BBBagreesandacknowledgesthatAAAand_________（NAME）shallhavetherighttoapprove,intheirabsolutediscretion,anythird-partycorporatesponsorshipsforthe_________（NAME）WebSite,andthatanyuseof_________（NAME）'snameandlikenessinconnectionwithanythird-partycorporationorsponsorissubjecttopriorwrittenapprovalby_________（NAME）andAAA,basedupon_________（NAME）'spre-existingAgreementswith_________（NAME）EndorsementCompanies.IntheeventAAAor_________（NAME）disapprovesanythird-partycorporatesponsorship,AAAor_________（NAME）,asapplicable,shallprovideBBBwithAAA'sand/or_________（NAME）'sreasonsinwriting.However,BBBacknowledgesthattherewillbecertainsituationswhere,duetopre-existingthirdpartyagreementsorin_________（NAME）'ssolediscretion,_________（NAME）cannotorwillnotgrantapprovaltocertainproducts,sponsorshipsand/oradvertisinginconnectionwiththe_________（NAME）WebSite.Further,BBBagreesthatitwillnotunderanycircumstancesnegotiatewith,enterintoanyAgreementwithorotherwiseconsultwithanyofthe_________（NAME）EndorsementCompanyMajorDirectCompetitorslistedonExhibit"E"attachedheretotoadvertise,promoteormarketthe_________（NAME）WebSite.BBBagreestoworkwith_________（NAME）andAAAtoensurethatthereshallbenoambushmarketingbyotherthan_________（NAME）EndorsementCompanythird-partycorporatepartnersinconnectionwiththe_________（NAME）WebSite;

（b）BBBacknowledgesthat_________（NAME）hasenteredintoandwillenterintocertainthirdpartyagreementswith_________（NAME）EndorsementCompaniesrelatingtothefoodandbeverage,sportinggoods,telecommunicationsandapparelindustries（collectivelythe"_________（NAME）THIRDPARTYAGREEMENTS"）.NotwithstandinganyprovisioncontainedinthisAgreementtothecontrary,BBBagreesthatitwillnottakeanyactionnorfailtotakeanyaction,asapplicableunderthecircumstances,inconnectionwithmarketing,promoting,advertisingandoperatingthe_________（NAME）WebSiteandmarketing,promoting,advertisingandselling_________（NAME）Merchandisewhichwouldviolateorotherwiseinterferewiththetermsandconditionsofanyexistingoranyfuture_________（NAME）ThirdPartyAgreement（a"MARKETINGCONFLICT"）,butonlytotheextentthatBBBhasbeengivenpriorwrittenfulldisclosureofthematerialtermsandconditionsthatcreateanysuchMarketingConflict._________（NAME）andBBBwillmutuallyagreeuponproceduresforthedisclosureby_________（NAME）toBBBofsuchinformationasisnecessary,forBBBtocomplywiththeforegoing.BBBwill,assoonastechnologicallyandcommerciallyfeasiblefollowingBBB'sreceiptofnoticeofaMarketingConflict,takeorrefrainfromtakingsuchaction,asapplicableunderthecircumstances,soastootherwisecomplywiththetermsandconditionsofthe_________（NAME）ThirdPartyAgreements;provided,however,thatBBBshallhaveareasonableperiodoftimewithinwhichtodepleteanyexistinginventoryorinventorytowhichBBBiscontractuallyobligatedasofthedateofreceiptofnoticeofanyMarketingConflict.TotheextentthatBBBviolatesarestrictionina_________（STATE）（NAME）ThirdPartyAgreementbecauseBBBdidnothavewrittennoticeofsuchrestriction,BBBshallnotbedeemedinbreachofthisAgreementtotheextentthatitpromptlycomesintocompliancewithsuchrestriction,subjecttoBBB'srighttodepleteinventoryasdescribeabove,followingwrittennoticeofsuchviolationandsuchotherdisclosuresasrequiredbythissection.BBBshallbesolelyresponsibleforcontractingwiththeappropriatepartieshavingrightsunderany_________（NAME）ThirdPartyAgreementintheeventthatBBBdesirestopurchase_________（NAME）Merchandisefromsuchthirdparty,and_________（NAME）shallhavenoobligationsinconnectiontherewithexceptasotherwiseexpresslyprovidedherein.

6.CONSIDERATION.Infullconsiderationfor_________（NAME）'sservicesunderthisAgreement,BBBwillpay_________（NAME）pursuanttothetermsoutlinedinEXHIBIT"C."

7.GRANTOFLICENSE._________（NAME）herebygrantstoBBBthefollowinglicenses:

a）CONTENT.SubjecttoanyrightsgrantedtotheNBApursuanttotheGroupLicensingAgreementandanyrightsgrantedby_________（NAME）to_________（NAME）EndorsementCompanies________
