AGREEMENTFORMANUFACTURINGSERVICES

ThisAgreement（"Agreement"）ismadeasofthis_________,_________,_________（M,D,Y）between:

AAA,Inc.,_________（ADDRESS）（"AAA"）andBBB,Inc.,_________（ADDRESS）（"Customer"）

1.DEFINITIONS.

a."Days"meanscalendardaysunlessotherwisespecified.

b."Product（s）"meanstheAAApartnumber（s）orassembly（ies）identificationnumbersspecifiedfortheCustomer.

c."Services"meansthemanufacturingservicestobeprovidedbyAAAandotherservicesasmaybeagreeduponbytheparties.

d."NRE"meansthenon-recurringexpensesincluding,butnotlimitedto,engineeringeffort,tooling,fixturesorothersimilarappurtenances.

2.TERM.

2.1ThisAgreementcommenceson_________,_________,_________（M,D,Y）andendson_________,_________,_________（M,D,Y）unlessendedearlierinaccordancewiththisAgreement.AAAwillinformCustomerinadvanceoftheexpirydateoftheinitialtermofthisAgreement.

2.2ThisAgreementmayberenewedforadditionaloneyeartermsuponninetydayswrittennoticepriortotheendoftheinitialtermorrenewedtermsubjecttomutuallyagreeduponmodifications,ifany.

3.SCOPEOFTHEWORK.

3.1UponreceiptofapurchaseorderfromCustomer,AAAwillsellProductsandprovideServicestoCustomerinaccordancewiththisAgreement.

3.2EachpurchaseorderwillspecifythequantityofProductrequired,theServicestobeprovided,ifapplicable,thepricesagreedupon,andtherequireddeliverydates.AAAwilluseitsbesteffortstoacknowledgeCustomer'spurchaserorderwithinfive（5）businessdaysandindicatetheshipdateforProduct（s）.

3.3CustomerwillprovideAAAallrequiredinformationincludingalldrawings,specifications,billsofmaterial,andtheApprovedVendorsList,ifapplicable,foruseinperformanceoftheService.AAAshallnotmakeorincorporateanychangeintheProductswithoutthepriorwrittenapprovalofCustomer.

3.4IfCustomerprovidesanytestequipmentorsoftware,AAAwillperformtestsusingsuchequipmentorsoftwareaccordingtoCustomer'sinstructions.AAAassumesnoliabilityfordefectsinProduct（s）wherefailuretoisolatethedefectisattributabletosuchequipmentorsoftware.

3.5CustomermaycontractwithAAAtodeveloptherequiredunitfunctionaltestproceduresandprovidethenecessarytestequipmentonmutuallyagreeduponterms.

4.SHIPPING.

4.1AllProductswillbeshippedF.O.B.AAA'splant,844DonMillsRoad,NorthYork,OntarioorotherAAAauthorizedlocations.AAAwilluseitsbesteffortstomeetCustomerdeliveryrequirements.AAAwillnotbeliableforanycostsorexpenseswhichmightbeincurredbyCustomerasaresultofdelaysindelivery.

4.2TitleandriskoflosstoProductswillpasstoCustomerupondeliverytothecarrierforshipmenttoCustomer,irrespectiveofwhetherornotAAAhasarrangedfortransportationaccordingtoCustomerinstructions.

4.3AAAwillacceptpurchaserordersfordifferentshiplocationsprovidedthateachshiplocationisidentifiedonthepurchaseorderandprovidedthataminimumquantityofProductasagreedtobythepartiesisshippedtoeachdesignatedlocation.CustomermaychangeashiplocationbyprovidingaminimumsevendayspriornoticetoAAA.

5.PRICINGANDPAYMENTTERMS.

5.1CustomeragreestopayAAAfortheProductsandServicesatthepricesidentifiedinScheduleA.AllpricesrefertoU.S.dollars.Servicechargeswillincludeone-timenon-recurringexpenses（NRE）.PaymentofNREchargesdonotconferanyrightsinortitletosuchtooling,fixtures,orotherappurtenancesunlessotherwiseindicatedinScheduleA.Paymenttermsarenetthirtydaysandaresubjecttoa18%annuallatepaymentcharge.

5.2Customeragreestopayanytaxes,dutiesorgovernmentleviesresultingfromthisAgreementexcludinganytaxesonAAA'sincome.

5.3Pricingwillbereviewedandmaybeadjustedonacalendarquarterlybasis.AnypricingchangeswillbereflectedinrevisedScheduleAdocuments.

5.4Costreductionsinmaterialormanufacturingvalue-addorassemblyandtestprocesseswillbesharedequallybetweenAAAandCustomer.CostreviewswillbeconductedquarterlyonceProductshipmentscommencewithidentifiedreductionstobeimplementedinthesubsequentquarterasreflectedinrevisedScheduleAdocuments.

6.PURCHASERORDER（S）/FORECAST.

6.1CustomerwillprovidetoAAApurchaseordersforaminimumofsixmonthsoforderactivity.Customerwillalsoprovideaforecastforanadditionaltwelvemonthsoforderactivitywhichwillbeupdatedonamonthlybasis.AAAwillpurchasematerialtofulfillpurchaseordersandforecastsbasedonmaterialleadtimeandpricingconsiderations.

6.2AnyincreaseintotalquantityofProductorderedconstitutesanunplannedordertowhichnormalleadtimesapply.IfCustomerrequestsandAAAacceptsshortleadtimeorder（s）,CustomerisresponsibleforanypremiumcostsincurredbyAAAinfulfillingsuchorders.

7.PURCHASEORDERCANCELLATION.

7.1Customermaynotcancelanyorderscheduledtobeshippedwithinthirtydays.Inaddition,Customermaynotcancelanyordersforprototypes,pre-productionpilotorders,orone-timeordersforproductsunlessotherwiseagreedtoinwritingbyAAA.

7.2UponwrittennoticetoAAA,CustomermaycancelpurchaseordersforProductsinwholeorinpart.Cancellationchargesapplytoordersscheduledtoshipbetween31daysand90daysfromdateoftheorder.AAAwillusereasonableeffortstocancelanycomponentsonorderandusenon-cancelablecomponentstofulfillothercustomerordersrequiringthesamecomponentsinanattempttomitigatechargestoCustomer.Followingsuchefforts,AAAwilladviseCustomerofthecancellationchargesdue.Anycancellationchargeswouldnotexceedthemaximumamountsstatedbelow:

7.3Intheeventofcancellation,inadditiontothecancellationchargesstatedin7.2,CustomerwillberesponsibleforthecostsoflongleadtimecomponentspurchasedonbehalfofCustomerwhichAAAisunabletomitigate.AAAwillprovideasummaryofsuchcoststoCustomerwithinthirty（30）daysofnoticeofcancellation.

8.PURCHASEORDERRESCHEDULING.

8.1Orderswhicharescheduledwithinthirtydaysofthescheduledshipmentdatecannotberescheduled.

8.2Forordersscheduledtoshipwithin31to60days,[*]ofthetotalquantityofProductmayberescheduledoncebutnotformorethan60daysfromtheoriginalscheduledshipdate.

8.3Forordersscheduledtoshipwithin61to90days,[*]ofthetotalquantityofProductmayberescheduledoncebutnotformorethan60daysfromtheoriginalscheduledshipdate.

8.4Fororderswithmultipleshipdates,reschedulingreferstoeachdatedesignedonthepurchaseorder（s）.Customerwillberesponsiblefora[*]permonthcarryingchargeformaterialcostsincurredbyAAAtomeettheoriginalshipdateandwhichAAAisunabletomitigate.

8.5Ifareschedulerepresentsanaccelerationorincrease.AAAwilluseitsbesteffortstomeettherequestsubjecttomaterialandcapacityavailability.AnyextracostsincurredtomeettherequestwillbetheresponsibilityoftheCustomerandwillbemutuallyagreedtoinwritingpriortoAAAtakinganyactionconcerningCustomer'srequest.

8.6IntheeventthatAAAisunabletosupplytheProductduetoconditionsoutsideofAAA'scontrolandthescheduledshipmentdatecannotbemet,AAAwillreducethequantitiessuppliedtoCustomerproportionatelyinrelationtothequantitiesorderedbyCustomerandtothereductionsinquantitiesgiventootherCustomers.

9.ENGINEERINGCHANGES.

9.1Eitherpartymayrequestanengineeringchangebysubmittingawrittenrequest.Thereceivingpartywillreviewtherequestandadviseonitspositionwithinareasonabletime,butnomorethanfivedaysafterreceivingthewrittenrequest.Awrittenacknowledgmentsignedbybothpartiesisrequiredtoimplementanengineeringchange.

*CertaininformationonthispagehasbeenomittedandfiledseparatelywiththeCommission.Confidentialtreatmenthasbeenrequestedwithrespecttotheomittedportions.

AAAwillprovidearesponsetoanyengineeringchange（"EC"）issuedbyCustomerrequiringa"StopBuild"or"StopShip"withinoneworkingdayofreceivingtherequest.

9.2ShouldAAAencountermanufacturingproblemswhicharerelatedtoCustomer'sdesign,AAAwillnotifyCustomer.WheresuchproblemsareattributabletothedesignprovidedbyCustomer,AAAwillreviewtheproblemswithCustomerandbasedonsuchexplanation,CustomerwillberesponsibleforthecostsincurredbyAAAtocorrectsuchproblems.AAAwillnotimplementanychangestoCustomer'sdesignwithoutCustomer'spriorwrittenapproval.WheresuchchangesdelaythescheduledshipmentdatesforProduct,CustomermaynotcancelanyordersforProductaffectedbythedelay.

10.WARRANTY.

10.1Prototypesandpre-production/pilotproductsareprovided"ASIS"withoutwarrantyofanykind.

10.2Forallotherproducts,AAAwarrantsthattheProduct（s）soldunderthisAgreementwillbefreefromdefectsinworkmanshipforaperiodofthirtydaysorsuchlongerperiodasmaybestatedinScheduleAcommencingf
