ThePresidentoftheGermanRepublic,thePresidentoftheArgentineRepublic,HisMajestytheKingoftheBelgians,thePresidentoftheRepublicofChile,thePresidentoftheRepublicofCuba,HisMajestytheKingofDenmarkandIceland,HisMajestytheKingofSpain,theHeadoftheEstonianState,thePresidentoftheUnitedStatesofAmerica,thePresidentoftheRepublicofFinland,thePresidentoftheFrenchRepublic,HisMajestytheKingoftheUnitedKingdomofGreatBritainandIrelandandoftheBritishDominionsbeyondtheSeas,EmperorofIndia,HisMostSupremeHighnesstheGovernoroftheKingdomofHungary,HisMajestytheKingofItaly,HisMajestytheEmperorofJapan,thePresidentoftheLatvianRepublic,thePresidentoftheRepublicofMexico,HisMajestytheKingofNorway,HerMajestytheQueenoftheNetherlands,thePresidentoftheRepublicofPeru,thePresidentofthePolishRepublic,thePresidentofthePortugueseRepublic,HisMajestytheKingofRomania,HisMajestytheKingoftheSerbs,CroatsandSlovenes,HisMajestytheKingofSweden,andthePresidentoftheRepublicofUruguay,

HAVINGRECOGNIZEDtheutilityoffixingbyagreementcertainuniformrulesoflawrelatingtobillsoflading,

HAVEDECIDEDtoconcludeaconventionwiththisobjectandhaveappointedthefollowingPlenipotentiaries:

WHO,dulyauthorizedthereto,haveagreedasfollows:

第一条Article1

本公约所用下列各词,涵义如下:

InthisConventionthefollowingwordsareemployedwiththemeaningssetoutbelow:

(a)“承运人”涉及与托运人订有运送合同船舶所有人或租船人。

(a) "Carrier"includestheownerorthechartererwhoentersintoacontractofcarriagewithashipper.

(b)  “运送合同”仅合用于以提单或任何类似物权凭证进行关于海上货品运送合同;在租船合同下或依照租船合同所签发提单或任何物权凭证,在它们成为制约承运人与凭证持有人之间关系准则时,也涉及在内。

(b)  "Contractofcarriage"appliesonlytocontractsofcarriagecoveredbyabillofladingoranysimilardocumentoftitle,insofarassuchdocumentrelatestothecarriageofgoodsbysea,includinganybillofladingoranysimilardocumentasaforesaidissuedunderorpursuanttoacharterpartyfromthemomentatwhichsuchbillofladingorsimilardocumentoftitleregulatestherelationsbetweenacarrierandaholderofthesame.

(c)  “货品”涉及货品、制品、商品和任何种类物品,但活牲口以及在运送合同上载明装载于舱面上并且已经这样装运货品除外。

(c)   "Goods"includesgoods,wares,merchandiseandarticlesofeverykindwhatsoeverexceptliveanimalsandcargowhichbythecontractofcarriageinstatedasbeingcarriedondeckandissocarried.

(d)“船舶”是指用于海上货品运送任何船舶。

(d)  "Ship"meansanyvesselusedforthecarriageofgoodsbysea.

“货品运送”是指自货品装上船时起,至卸下船时止一段期间。

(e)  "Carriageofgoods"coverstheperiodfromthetimewhenthegoodsareloadedontothetimetheyaredischargedfromtheship.

第二条Article2

除遵循第六条规定外,每个海上货品运送合同承运人,对关于货品装载、搬运、积载、运送、保管、照顾和卸载,都应按照下列规定承担责任和义务,并享有权利和豁免。

SubjecttotheprovisionsofArticle6,undereverycontractofcarriageofgoodsbyseathecarrier,inrelationtotheloading,handling,stowage,carriage,custody,careanddischargeofsuchgoods,shallbesubjecttotheresponsibilitiesandliabilities,andentitledtotherightsandimmunitieshereinaftersetforth.

第三条Article3

1.承运人须在开航前和开航时谨慎解决:

1. Thecarriershallbeboundbeforeandatthebeginningofthevoyagetoexerciseduediligenceto:

(a) 使船舶适航;

(a)  Maketheshipseaworthy.

(b)恰本地配备船员、装备船舶和供应船舶;

(b)  Properlyman,equipandsupplytheship.

(c)使货舱、冷藏舱和该船其她载货处所能适当和安全地收受、运送和保管货品。

(c)  Maketheholds,refrigeratingandcoolchambers,andallotherpartsoftheshipinwhichgoodsarecarried,fitandsafefortheirreception,carriageandpreservation.

2.除遵循第四条规定外,承运人应恰当和谨慎地装卸、搬运、积载、运送、保管、照顾和卸载所运货品。

2. SubjecttotheprovisionsofArticle4,thecarriershallproperlyandcarefullyload,handle,stow,carry,keep,carefor,anddischargethegoodscarried.

3.承运人或船长或承运人代理人在收受货品归其照管后,经托运人祈求,应向托运人签发提单,其上载明下列各项:

3.  Afterreceivingthegoodsintohischargethecarrierorthemasteroragentofthecarriershall,ondemandoftheshipper,issuetotheshipperabillofladingshowingamongotherthings:

(a)与开始装货前由托运人书面提供者相似、为辨认货品所需重要标志,如果这项标志是以印戳或其她方式标示在不带包装货品上,或在其中装有货品箱子或包装物上,该项标志普通应在航程终了时仍能保持清晰可认。

(a) Theleadingmarksnecessaryforidentificationofthegoodsasthesamearefurnishedinwritingbytheshipperbeforetheloadingofsuchgoodsstarts,providedsuchmarksarestampedorotherwiseshownclearlyuponthegoodsifuncovered,oronthecasesorcoveringsinwhichsuchgoodsarecontained,insuchamannerasshouldordinarilyremainlegibleuntiltheendofthevoyage.

(b)托运人用书面提供包数或件数,或数量,或重量。

(b) Eitherthenumberofpackagesorpieces,orthequantity,orweight,asthecasemaybe,asfurnishedinwritingbytheshipper.

(c)货品表面状况。

(c) Theapparentorderandconditionofthegoods.

但是,承运人、船长或承运人代理人,不一定必要将任何货品标志、号码、数量或重量表白或标示在提单上,如果她有合理依照怀疑提单不能对的代表实际收到货品,或无恰当办法进行核对话。

Providedthatnocarrier,masteroragentofthecarriershallbeboundtostateorshowinthebillofladinganymarks,number,quantity,orweightwhichhehasreasonablegroundforsuspectingnotaccuratelytorepresentthegoodsactuallyreceived,orwhichhehashadnoreasonablemeansofchecking.

4.依照第3款(a)、(b)、(c)项所载内容这样一张提单,应作为承运人收到该提单中所载货品初步证据。

4.Suchabillofladingshallbeprimafacieevidenceofthereceiptbythecarrierofthegoodsasthereindescribedinaccordancewithparagraph3(a),(b)and(c).

5.托运人应被视为已在装船时向承运人保证,由她提供标志、件数、数量和重量均对的无误;并应补偿给承运人由于这些项目不对的所引起或导致一切灭失、损坏和费用。

承运人这种补偿权利,并不减轻其依照运送合同对托运人以外任何人所承担责任和义务。

5.Theshippershallbedeemedtohaveguaranteedtothecarriertheaccuracyatthetimeofshipmentofthemarks,number,quantityandweight,asfurnishedbyhim,andtheshippershallindemnitythecarrieragainstallloss,damagesandexpensesarisingorresultingfrominaccuraciesinsuchparticulars.Therightofthecarriertosuchindemnityshallinnowaylimithisresponsibilityandliabilityunderthecontractofcarriagetoanypersonotherthantheshipper.

6.在将货品移送给依照运送合同有权收货人之前或当时,除非在卸货港将货品灭失和损害普通状况,已用书面告知承运人或其代理人,则这种移送应作为承运人已按照提单规定交付货品初步证据。

6.Unlessnoticeoflossordamageandthegeneralnatureofsuchlossordamagebegiveninwritingtothecarrierorhisagentattheportofdischargebeforeoratthetimeoftheremovalofthegoodsintothecustodyofthepersonentitledtodeliverythereofunderthecontractofcarriage,or,ifthelossordamagebenotapparent,withinthreedays,suchremovalshallbeprimafacieevidenceofthedeliverybythecarrierofthegoodsasdescribedinthebilloflading.

如果灭失或损坏不明显,则这种告知应于交付货品之日起三天内提交。

Ifthelossordamageisnotapparent,thenoticemustbegivenwithinthreedaysofthedeliveryofthegoods.

如果货品状况在收受时已经进行联合检查或检查,就不必再提交书面告知。

Thenoticeinwritingneednotbegivenifthestateofthegoodshas,atthetimeoftheirreceipt,beenthesubjectofjointsurveyorinspection.

除非从货品交付之日或应交付之日起一年内提出诉讼,承运人和船舶在任何状况下都免除对灭失或损害所负一切责任。

Inanyeventthecarrierandtheshipshallbedischargedfromallliabilityinrespectoflossordamageunlesssuitisbroughtwithinoneyearafterdeliveryofthegoodsorthedatewhenthegoodsshouldhavebeendelivered.

遇有任何实际或推定灭失或损害,承运人与收货人必要为检查和清点货品互相予以一切合理便利。

Inthecaseofanyactualorapprehendedlossordamagethecarrierandthereceivershallgiveallreasonablefacilitiestoeachotherforinspectingandtallyingthegoods.

7.货品装船后,如果托运人规定,签发“已装船”提单,承运人、船长或承运人代理人签发给托运人提单,应为“已装船”提单,如果托运人事先已获得这种货品物权单据,应交还这种单据,换取“已装船”提单。

但是,也可以依照承运人决定,在装货港由承运人、船长或其代理人在上述物权单据上注明装货船名和装船日期。

通过这样注明上述单据,如果载有第三条第3款所指项目,即应成为本条所指“已装船”提单。

7.  Afterthegoodsareloadedthebillofladingtobeissuedbythecarrier,master,oragentofthecarrier,totheshippershall,iftheshippersodemands,bea"shipped"billoflading,providedthatiftheshippershallhavepreviouslytakenupanydocumentoftitletosuchgoods,heshallsurrenderthesameasagainsttheissueofthe"shipped"billoflading,butattheoptionofthecarriersuchdocumentoftitlemaybenotedattheportofshipmentbythecarrier,master,oragentwiththenameornamesoftheshiporshipsuponwhichthegoodshavebeenshippedandthedateordatesofshipment,andwhensonoted,ifitshowstheparticularsmentionedinparagraph3ofArticle3,shallforthepurposeofthisArticlebedeemedtoconstitutea"shipped"billoflading.

8.运送合同中任何条款、商定或合同,凡是解除承运人或船舶对由于疏忽、过错或未履行本条规定责任和义务,因而引起货品或关于货品灭失或损害责任,或如下同于本公约规定减轻这种责任,则一律无效。

有助于承运人保险利益或类似条款,应视为属于免除承运人责任条款。

8.  Anyclause,covenant,oragreementinacontractofcarriagerelievingthecarrierortheshipfromliabilityforlossordamageto,orinconnexionwith,goodsarisingfromnegligence,fault,orfailureinthedutiesandobligationsprovidedinthisArticleorlesseningsuchliabilityotherwisethanasprovidedinthisConvention,shallbenullandvoidandofnoeffect.Abenefitofinsuranceinfavourofthecarrierorsimilarclauseshallbedeemedtobeaclauserelievingthecarrierfromliability.

第四条Article4

1.无论承运人或船舶,对于因不适航所引起灭失或损坏,都不负责,除非导致因素是由于承运人未按第三条第1款规定,克尽职责;使船舶适航;保证恰本地配备船员、装备和供应当船,以及使货舱、冷藏舱和该船其他装货处所能适当并安全地收受、运送和保管货品。

凡由于船舶不适航所引起灭失和损害,对于已克尽职责举证责任,应由依照本条规定规定免责承运人或其她人承担。

1.   Neitherthecarriernortheshipshallbeliableforlossordamagearisingorresultingfromunseaworthinessunlesscausedbywantofduediligenceonthepartofthecarriertomaketheshipseaworthyandtosecurethattheshipisproperlymanned,equippedandsupplied,andtomaketheholds,refrigeratingandcoolchambersandallotherpartsoftheshipinwhichgoodsarecarriedfitandsafefortheirreception,carriageandpreservationinaccordancewiththeprovisionsofparagraph1ofArticle3.Wheneverlossordamagehasresultedfromunseaworthinesstheburdenofprovingtheexerciseofduediligenc
