　　甲.乙双方依据《中华人民共和国合同法》及其他有关法律.法规的规定，在平等.自愿.协商一致的根底上，就买卖汽车事宜，订立本合同。

　　1.乙方在年月日前，向甲方支付全车款的%的定金（此比例不得超过全车款的20%），计人民币元，车辆交接后可充抵车款。

　　第四条售后效劳Article4.After-salesService

　　ManufacturerorpartyAshallentrusttheauthorizedmaintenancestation（addressisandtelephone）providesale-afterserviceofrepair,maintenanceandsoon.OthermaintenancestationsshallbeinformedtopartyBbypartyAinadditiontodeliveryoflistofmaintenancestations.

　　第五条违约责任Article5.LiabilityforBreachofContract

　　1.乙方不能按时支付车款的，自延期之日起至实际付款日止，每日按逾期应付款的%向甲方支付违约金。

逾期付款超过日的，甲方有权解除合同，乙方无权要求返还定金。

　　ProvidedthatifpartyBfailtoeffectthevehiclepaymentonscheduletime,shouldmakepaymentofbreachfineonthebaseofeachday%oftheoverduesumpayabletopartyA.WhereandiftheoverduesumexceeddayspartyAisentitletorescindthiscontractandpartyBhasnorighttowithdrawearnestmoney.

　　2.甲方不按时交付车辆的，自延期之日起至实际交付日止，每日按乙方已付款的%向乙方支付违约金，如遇汽车降价的按降价执行，价格上调的按合同原价执行。

延期交付车辆超过日的，乙方有权解除合同，甲方应当双倍返还定金。

　　ShouldpartyAfailtoeffectdeliveryofvehicle，theliquidateddamagesshouldbepaidtopartyBonthebasisofeachday%ofthesumwhichhavebeenpaidbypartyA.WhereapartyAdelaysindeliveringthesubjectmatter,theoriginalpriceshallbeadoptedifthepricerises;andthenewpriceshallbeadoptedifthepricefalls.Incaseoffailureofdeliveryoverduedays,partyBisentitletorescindthiscontractandpartyAshouldrefundthesumwhichisequaltodoubleearnestpaidbypartyB.

　　3.一方无正当理由单方面解除合同的，应按的标准向对方支付违约金或适用定金条款。

　　本合同项下发生的争议，双方应协商解决，也可向有关部门申请调解，协商或者调解不成的，按以下第种方式解决：

　　第九条合同生效Effectiveness

　　本合同的未尽事宜及需变更的事宜，双方应通过订立补充条款或补充协议进展约定。

本合同的补充条款.补充协议及附件均为本合同不可分割的部分。

　　Anymatternotbecoveredorneededtobemodifiedshouldbeagreedwithconclusionofplementarytermsoragreementbypartieshereto.Anyandallplementaryterms,agreementandannexshallbeanintegralpartofthiscontract.

　　本合同自双方签字或盖章之日生效，本合同一式三联，甲方执二联，乙方执一联,具有同等效力。

　　双方约定AGREEMENT

　　1.质量Quality

　　1.1甲方出售的车辆，质量符合国家关于汽车产品的强制性标准，没有强制性标准的,应符合保障人身财产平安的要求，并到达产品说明书载明的技术标准。

　　ThequalityofthevehiclesoldbypartyAshouldbeinconformitywiththemandatorystandardsinrespecttotheproductsofvehicle,wherewithoutsuchstandard,shouldsatisfytherequirement

　　toguaranteesofthesecurityofpersonalandproperties,andreachthetechnicalstandardintheproductintroduction.

　　1.2甲方出售的车辆，保证经国家有关部门公布.备案的汽车产品目录上的标明的产品或合法进口的产品，并能通过公安交通管理部门的检测，可以上牌行驶。

否那么，乙方有权退车并可要求甲方赔偿损失。

　　PartyAshallmakewarrantyofthatthevehicleundersaleofpartyAistheproductindicatedontheVehicleProductContentwhichispromulgatedandputtedonrecordsbypetentauthoritiesorbeinglegalimport,couldpassthetestofpublictrafficmanagementandhavelicensefordriving.OtherwisepartyBmaybeentitletorefuseorreturnthevehicleandrequirepartyAtopensatethelossanddamagearisingtherefrom.

　　1.3甲方提供办理汽车牌证的随车资料，应附有中文使用说明书和供必要的使用维修指引。

　　DocumentsprovidedbypartyAfordealingwithlicenseshouldbepaniedbyOperationManualandMaintenanceDirectioninChineselanguage.

　　1.4双方对车辆质量问题有争议的，依据法律规定或者直观观察等日常生活经历能够直接确认的事实，可以直接作为判定问题的依据;需要进展鉴定的,以具有法定资质汽车检验机构出具的书面鉴定意见为准。

鉴定费由主张方垫付，由责任方承担;经鉴定无法明确责任的，由双方各半分担。

　　Intheeventofanydispute,controversyarisingoutoforrelatingtothequalityofvehicle,thefactormatterwhichcanbedirectlyaffirmedbythestipulationoflaworeverydayexperiencesuchasvisualobservationect.canbetakenasthebasisofdeterminant,ifnecessaryforqualityauthentication,shallbesubjecttothewrittentestopinionissuedbyvehicletestauthoritywithlegalqualification,thefeesthereofshallbemadeofadvancepaymentbyclaimpartyandundertakenbyliableparty.Whereandifnoclearresponsibilitybeingdecidedthroughtest,thefeesrelatedtothetestshallbebornbypartiesheretohalfbyhalf.

　　2.车辆交付及验收方式VehicleDelivery&Aeptance

　　2.1车辆交接时甲方应配合乙方对车辆进展当场验收，乙方应对所购车辆外观和根本使用功能等进展认真检查.确认，如有异议，应当场向甲方提出，由双方进展确认。

对确属质量问题的，乙方有权要求更换车辆。

　　PartyAshould,atthetimeofdeliveryandaeptance,takecooperationwithpartyBtocheckandaeptthevehicleandpartyBshouldcarefulcheckandaffirmfortheappearanceandbasicusefunctionofthepurchasedvehicle,anydemur,ifany,shouldbesubmittedatpottopartyAandaffirmedbypartieshereto.ProvidedthatifauthenticqualitydefectswiththevehicleisaffirmedpartyBisentitletorequiretochangevehicle.

　　2.2乙方验收车辆无误后，甲方向乙方交付汽车及随车文件，双方签署商品车辆交接书，即为该车辆正式交付。

　　PartyAshall,subsequencetoaeptancebypartyB,delivervehicleanddocumentstherewith.ThesignatureofAFFIRMATIONOFDELIVERY/RECEIPTOFVEHICLEFORSALEshallbedeemedtobedeliveredindueform.

　　2.3自车辆正式交付之时起，该车辆的.风险责任由乙方承担。

　　Therisksofobligationconcerningthesaidvehicleshall,menceonthetimeofformaldelivery,bebornbypartyB.

　　3.售后效劳After-salesService

　　3.1车辆售后效劳及保修参照生产厂商关于车辆的说明书和保养手册执行。

　　After-salesserviceandwarrantyshallbeexecutedbyreferencetothevehicleintroductionandmaintenancemanualfrommanufacturer.

　　3.2甲方除自身按照保修手册进展维修、保养外，同时有责任催促车辆维修站按照保养、保修手册和用户手册规定的内容对所售车辆进展维修、保养。

　　InadditiontodorepairandmaintenanceinaordancetoMaintenanceManualbyitself,partyAisliabletosuperviseandurgetherepairstationtodorepair/maintenancebythecontentsstipulatedintheManualofMaintenance/RepairandUserManual.

　　3.3乙方使用车辆前应仔细阅读说明书、用户使用手册或保修和保养手册等相关资料。

车辆由于乙方或第三方的人为破坏、使用、保养不当或擅自改装、装潢不当，或到生产厂商认定范围以外的修理点进展修理造成质量问题，导致车辆出现故障，甲方不承担责任。

　　PartyBshould,priortodrivethevehicle,carefullyreadIntroduction,UserManual,Guarantee/MaintenanceManualandotherlikedocuments.PartyAshallnotbeliableforthefailureandtroubleduetoqualityproblemarisingtoortheman-madedestruction,improperuseormaintenance,modificationbyhimself,improperdecorationand/ortakingrepairintherepairshopbeyondthemaintenancestationsauthorizedbythemanufacturerofvehicle.

　　3.4乙方所购汽车如在保修期内出现质量问题，应凭保修凭证到生产厂家（或甲方）授权的特约维修站进展维修、保养。

　　ThevehiclepurchasedbypartyBshould,iffindqualityproblem,berepairedandmaintained,bytheGuaranteeCertificate,intheauthorizedrepairstationbymanufacturerorpartyA.

　　3.5保修期内出现质量问题，乙方所购车辆用于生活消费的,双方按《浙江
