Article1ProgramandObjectiveoftheCollaboration

1.1Inconsiderationofequityandmutualbenefit,thetwopartieshavereachedanagreementonaneducationalprogramlistedbelow;

1.2TheobjectiveofthiscooperationagreementistoestablishaninternationalpartnershiptoprovidefirstclasshighereducationtoqualifiedChinesecandidatesthroughcombinedeffortsofbothparties.

Article2EffectiveDate

2.1ThisagreementshallbeeffectivewhensignedbybothpartiesandtherelevantgovernmenteducationauthoritieshaveapprovedthedeliveryoftheprograminN0.3MiddleSchool.

Article3StudentsRecruitment

3.1TheprogramwillrecruitstudentsfromChineseJuniorMiddleSchoolandwillstrictlyfollowthestudentrecruitmentplanapprovedbyHubeiProvincialEducationCommission;

Article4SubjectandNumberofstudents

4.1Theproposednumberofeachyear’srecruitmentisnolessthan100students.Shouldtherecruitmentbeunder100,twopartieswillhaveafurtherdiscussionanddecidetoproceedwiththisjointprogramornot.

Article5InstructionandAdministration

5.1AlltheinstructorsprovidingcourseinstructionintheEnglishlanguageshallbeapprovedbyXXXandNo.3MiddleSchoolfortheirqualification;

5.2Thebothpartieswillresponsiblefortheteachingtask,shalltogetherdiscussthecurriculumandteachingplan.XXXwillrecognizeallthecreditsthatstudentsobtainedinNo.3MiddleSchool;

5.3EachsubjectwillbetaughtattheNo.3MiddleSchoolfacility.Thesubjectconsistsofobligatorycoursesandoptionalcourses.Thestudentswillbeabletocompletetheentirecoursewithinthreeyear;

5.4StudentswhosuccessfullycompletethejointprogramwillbegrantedtheGraduateCertificatefromxxxandNo.3MiddleSchool.

Article6Fees

6.1TheactualtuitionlevelwillbewithintherangeapprovedbytheChinesegovernmentauthorities;

6.2Additionaleachstudentshouldpay$xxxperyeartocovertheextracostsofthisinternationalprogram；

6.3Alltheprogramcostsshouldbepaidfromthetuitionincomesmentionedinarticle6.2.Theremainedprofitshouldbeutilizedonthefuturedevelopmentoftheprogram,foreducationandteachingpurposesaswellasfortheimprovementoftheprogramoperationconditions;

6.4Eachpartyisresponsibleandliablefortaxationissueswithintheirowncountry.Anytaxespayablecannotbemetfrommoniesownedandremittedundertheprogram.

Article7ResponsibilitiesofXXX

7.1Formulatetheprogramcurriculumandprovidesampleteachingmaterials;

7.2Providefullsyllabusregularlyupdated;

7.3Allcoretrainingmaterials-includingindividuallessonplan,presentationslidesandstudentlearningmaterials;

7.4Supportingfullpackageacademic,administrativemanagement;

7.5Instructor’straining,andguidancetoteachingandqualityassurane;

7.6XXXwillresponsibleforteachinguptol/3oftheacademiccoursesforthisprogram;

7.7Submitallnecessarydocumentsforlocaleducationauthority’sapprovalinChina;

7.8Besidesthisprogram,bothpartiesshouldworktogethertosupportstaffexchanges,staffdevelopment,jointresearch,oranysimilaracademicactivitiesthatfurthertheobjectsofthiseducationalprogramandthesuccessfulrunningoftheteachingprogram.

7.9XXXshouldawardtheGraduateCertificateforthequalifiedstudents.

Articles8ResponsibilitiesofNo.3MiddleSchool

8.1Chinarelatedlegalandregulatorycoverageandapplicationfordeliveringtheprogram；

8.2Programmarketingandconsultation.

8.3Numberofeachyear’srecruitmentis100students;

8.4Studentsadministration;

8.5Provideclassrooms,teachingfacilitiesandstudentsaccommodation;

8.6Administrationofcurrentprogram,withexistingcapability;

meanwhileretainseniorlecturestoteachcoremodules;

8.7Providenecessaryfacilitiesandresourcesincludingcomputer,library,etc;

8.8No.3MiddleSchoolwillreceivetheinternationalteachersfromxxx,providinghelpfortheinternationalteacherstoobtainvisaandresidencepermit,alsoarrangetheaccommodationforinternationalteachers;

8.9No.3MiddleSchoolshouldawardtheGraduateCertificateforthequalifiedstudents.

Article9Regulation

9.1TheStructureandsettingoftheprogramshouldbeevaluatedbyNo.3MiddleSchoolandXXX;

StudentsshouldobeyregulationssetbyNo.3MiddleSchool.

Article10OwnershipofIntellectualProperty

10.1AllIntellectualPropertyownedbyorlicensedtoeitherpartypriortotheCommencementDateandwhichisusedinconnectionwiththisagreementremainsthepropertyoforlicensedtothatpartynotwithstandingtheperformanceofthatparty’sobligationsunderthisagreement;

10.2Allcopiesofmaterialcontainingaparty’sIntellectualPropertyinthepossessionorcontroloftheotherparty,mustberetunedimmediatelytothefirstpartyifthisAgreementexpiresoristerminated.

Article11TermsandTerminationoftheAgreement

11.1ThisAgreementshallbevalidforfiveyearsfromthedateofapproval,unlesseitherpartywishestoreviseorterminateit;

11.2Withinthedurationortheagreement,ifthereisaneedtochangepartofthecontentsduetothechangeofsituationofeitherpartyortwo，eithersubjectiveorobjective,twopartiescandiscussandnegotiatetosignanagreementofalteration;

11.3Theintentiontoterminatetheagreementshallbecommunicatedtotheotherpartywithatleastsixmonths’notice.Suchintentiontoterminateshallbegivenattheendoftheacademicyearsothattheperiodofnoticewilloperatefromthebeginningofthefollowingacademicyear.Arrangementsfortheterminationmustincludeprovisionforcontinuingstudentstocompletetheirprogramofstudent.

Uponterminationofthisagreement,bothpartiesshallceasetouseanydocumentsormaterialsprovidedtoitbytheotherparty,andshallceasetoadvertiseitselfas,havinganyconnectionwiththeotherparty,inrespectofthisagreement.

Article12Dispute

12.1Anydisputerelatingtothisagreementshouldberesolvedbycooperationnegotiation.Intheunlikelyeventofthisapproachfailing,thedisputeshouldberesolvedintercessionorarbitrationinaccordancewiththelawofPeople’sRepublicofChina.

Article13ScopeoftheResponsibilities

13.1Bothpartiesshouldberesponsiblefortheirownemployees.

Article14GeneralProvisions

14.1AnyotherissuesnotcoveredbythisAgreementcanbeaddedasasupplementaryagreementtothisagreement

14.2ThisagreementsareconsistentcontentwritteninbothChineseandEnglish,withfouridenticalcopiesineachlanguage.XXXandNo.3MiddleSchooleachretaintwocopiesinChineseandEnglish,eachcopybeingequallyauthoritative.

InwitnesswhereofthepartieshavecausedthisAgreementtobesignedbytheirdulyauthorizedrepresentativesasfollows:
