NOW,THEREFORE,inconsiderationoftheexecutionanddeliverybyAAAoftheMergerAgreementandthemutualcovenants,conditionsandagreementshereincontained,thepartiesheretoherebyagreeasfollows,effectiveasoftheCommencementDate（asdefinedbelow）:

1.DEFINITIONS.

1.1Affiliatemeansanycorporationorotherentitythatisdirectlyorindirectlycontrolling,controlledbyorunderthecommoncontrolwithapartyheretoforsolongassuchcontrolexists.ForthepurposeofthisAgreement,controlshallmeanthedirectorindirectownershipoffiftypercent（50%）ormoreoftheoutstandingsharesorothervotingrightsofthesubjectentitytoelectdirectors,orifnotmeetingthepreceding,anyentityownedorcontrolledbyorowningorcontrollingatthemaximumcontrolorownershiprightpermittedinthecountrywheresuchentityexists.

1.2LicenseemeansathirdpartytowhomAAAhasgrantedalicenseorsublicenseundertheBBBPatents,tomake,havemade,import,use,sell,offerforsaleorotherwiseexploitaProduct.LicenseeincludesathirdpartytowhomAAAhasgrantedtherighttodistributeaProduct.

1.3BBBPatentsmeans（i）allpatentsownedbyBBBorlicensedtoBBB（totheextentBBBmaygrantalicenseorsublicensetosuchpatent）asofthedatehereofwiththerighttograntsublicenses;

and（ii）allpatentsissuedtoBBBclaiminganinventionfirstreducedtopracticepriortotheexpirationoftheRDPeriod.

1.4BBBTechnologymeanstechnologicalmodels,algorithms,manufacturingprocesses,designdrawings（whethermanualorelectronic）,designprocesses,prototypes,behavioralmodels,schematics,testvectors,know-how,computerandelectronicdataprocessingandotherapparatusprogramsandsoftware,databasesanddocumentationthereof,tradesecrets,technicalinformation,specifications,drawings,records,documentation,worksofauthorshiporothercreativeworks,ideas,knowledge,dataorthelikethatisownedbyorlicensedtoBBB（totheextentBBBmaygrantalicenseorsublicensetosuchintellectualproperty）asofthedatehereof,includingwithoutlimitationinformationusefultothepracticeoftheinventionsclaimedintheBBBPatents.

1.5NetSalesmeanstheamountsreceivedbyAAAoritsAffiliatesorLicenseesfortheuseorsaleofProductstobonafideindependentthirdparties,less（i）normalandcustomaryrebates,andcash,tradeandquantitydiscounts;

（ii）sales,useand/orotherexcisetaxesorduties;

（iii）theactualcostofanypackagingandshipping,includinginsurance;

and（iv）amountsactuallyallowedorcreditedduetodefects,returns,rejections,wholesalechargebacksorretroactivepricereductions.

1.6Productsmeansanyequipment,products,processesormethodscoveredbyorthatexploitormakeuseofoneormoreValidClaimsorthatexploitormakeuseoftheBBBTechnology.

1.7RDPeriodmeanstheperiodbeginningonthedatehereofandcontinuingforoneyearhereafter.

1.8ValidClaimmeansaclaimofanyBBBpatentthathasnotexpired,lapsed,orbeenheldinvalid,unpatentableorunenforceable.

2.LICENSEGRANTS.

2.1BBBTechnology.SubjecttotheprovisionsofSection6,BBBherebygrantsAAAanon-exclusive,worldwide,perpetual,irrevocablelicense,withtherighttograntnon-exclusivesublicenses,touse,reproduce,translate,distribute（byanymeansknownorhereafterdeveloped,includingelectronicdistribution）,market,makederivativeworksofandotherwiseexploittheBBBTechnology.

2.2BBBPatents.SubjecttotheprovisionsofSection6,BBBherebygrantsAAAanon-exclusive,worldwide,perpetual,irrevocablelicense,withtherighttograntnon-exclusivesublicenses,undertheBBBPatents,tomake,sell,offerforsale,importanduseproducts,andtoperformprocessesandmethods,thatembodytheinventionsdescribedintheBBBPatents.

3.CONSIDERATION.

3.1RoyaltyonNetSales.AAAshallpaytoBBBaroyaltyoffive（5%）ofNetSalesofProducts.

3.2ComputationofRoyalties.AllsalesofProductsbetweenAAAandanyofitsAffiliates（otherthanforendusewithpatientsorcustomers）willbedisregardedforpurposesofcomputingNetSalesandroyaltiesdueBBBunderthisSection3,andinsuchinstancesroyaltieswillbepayableonlyuponsalesorlicensesto,orotheruseby,independentthirdparties.NothinghereinshallobligateAAAtopayBBBroyaltiesmorethanonceonanyunitofaProduct.

4.PAYMENTS;

REPORTSANDRECORDS.

4.1TimingofPayments.AllamountsdueBBBpursuanttoSection3shallbepaidevery3months（QuarterlyPeriod）within30daysafterthelastdayofeachQuarterlyPeriod.

4.2RoyaltyReports.AAAshalldelivertoBBBwitheachroyaltypaymentareportsettingforththetotalNetSalesoftheProductsfortheQuarterlyPeriodandthecomputationoftheroyaltyamount.SuchreportsshallbeconfidentialinformationofAAA.

4.3InspectionofBooksandRecords.Notmorethanonceinany12monthperiod,BBBmayhaveAAA’sanditsAffiliates’relevantbooksandrecordsfortheprior12-monthperiodaudited,byanindependentcertifiedpublicaccountingfirmofBBB’schoosingandreasonablyacceptabletoAAA,toverifytheaccuracyofAAA’sroyaltypayments.TheindependentcertifiedpublicaccountingfirmmustenterintoaconfidentialityagreementreasonablyacceptabletoAAAandmaynotdiscloseanyinformationlearnedinthecourseofsuchauditotherthantheexistenceandamountofunderpayment,ifany.SuchauditmustbeconductedduringAAA’snormalbusinesshoursinamannerthatdoesnotundulyinterferewithAAA’snormalbusinessactivities.Ifanyauditdisclosesunderpaymentofroyalties,AAAshallpromptlypayBBBtheroyaltiesdueplusinterestatanannualrateof6%.BBBisresponsibleforallexpensesitincursinconnectionwithanyauditunlesstheauditdisclosesanunderpaymentofroyaltiesinexcessof15%,inwhichcase,AAAshallpromptlyreimburseBBBforallofsuchauditexpenses.

4.4Taxes.AllroyaltyamountsrequiredtobepaidtoBBBpursuanttothisAgreementmaybepaidwithdeductionforwithholdingfororonaccountofanytaxes（otherthantaxesimposedonormeasuredbynetincome）orsimilargovernmentalcharge（WithholdingTaxes）.AtBBB’srequest,AAAshallprovideBBBacertificateevidencingpaymentofanyWithholdingTaxeshereunderandshallreasonablyassistBBBtoobtainthebenefitofanyapplicabletaxtreaty.

5.TERM.ThisAgreementshallcommence（thedateofsuchcommencementbeinghereinreferredtoastheCommencementDate）uponterminationoftheMergerAgreementinaccordancewiththeapplicableprovisionsandcircumstancesdescribedinSection7.3（a）oftheMergerAgreement,andwillcontinueinfullforceandeffectuntiltheexpirationofthelasttoexpireoftheBBBPatents;

provided,however,thatAAA’slicensetotheBBBTechnologywillsurvivetheexpiration（butnottheearliertermination）ofthisAgreementifthisAgreementwereotherwiseineffectonthedateofthelastoftheBBBpatentstoexpire.

6.BREACH.IfAAAshallbreachanyofitsmaterialobligationshereunder,whichbreachshallcontinueuncuredformorethan30daysafterwrittennoticethereof,thelicensesgrantedunderSection2shallimmediatelyterminate.TerminationshallnotaffectAAA’sobligationstopayanyamountsdueorpayabletoBBBforNetSalesmadepriortothedateoftermination.

7.MISCELLANEOUSPROVISIONS.

7.1GoverningLaw.ThisAgreement,andanydisputearisingfromtheperformanceorbreachhereof,willbegovernedbyandconstruedandenforcedinaccordancewiththelawsoftheStateofCalifornia,withoutreferencetoconflictsoflawsprinciples.TheprevailingpartyinanylegalactiontoenforceorinterpretthisAgreementshallbeentitledtoreasonablecostsandattorneys’feesandexpensesinconnectiontherewith.

7.2IndependentContractors.Therelationshipofthepartiesheretoisthatofindependentcontractors.Thepartiesheretoarenotdeemedtobeagents,partnersorjointventurersoftheothersforanypurposeasaresultofthisAgreementorthetransactionscontemplatedhereby.

7.3Assignment.NeitherpartymayassignthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptthateitherpartymayassignthisAgreementwithoutsuchconsenttoanentitythatacquiresallorsubstantiallyallofthebusinessorassetsofsuchpartypertainingtothesubjectmatterhereof,whetherbymerger,reorganization,acquisition,saleorotherwise.AnyotherattemptedassignmentofthisAgreementwillbevoid.Subjecttotheforegoing,thisAgreementwillbebindinguponandinuretothebenefitofthepartiesandtheirsuccessors,heirsandassigns.

7.4Notices.Allnotices,requestsandothercommunicationshereunderwillbeinwritingandwillbepersonallydeliveredorsentbytelecopyorotherelectronicfacsimiletransmissionorbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid,orovernightcourier,ineachcasetotherespectiveAddressappearingbeloweachparty’ssignature,orsuchotherAddressasmaybespecifiedinwritingtotheotherpartyhereto.
