TheAssigneehasagreedattherequestoftheAssignorand/ortheBorrowertograntorcontinuegrantingtotheAssignorand/ortheBorrower,generalbankingfacilitiesincludingbutnotlimitedtoadvances,revolvingcreditfacilities,loans,guaranteefacilitiesandtermfacilitieswhetherinSingaporeDollarsand/orinforeigncurrenciesandsuchothergeneralbankingandcreditfacilitiesorotheraccommodation,uptosuchamountoramountsandtosuchextentastheAssigneemayfromtimetotimeagree,on,interalia,thesecurityashereinafterprovidedandontermsandconditionshereinafterappearing.

NOWTHISDEEDWITNESSETHasfollows:

1.INTERPRETATION

（A）Definitions:

InthisAssignment,excepttotheextentthatthecontextrequiresotherwise:

includesthepersonalrepresentativesoftheAssignor（ifanindividual）andthesuccessorsandassignsoftheAssignor（ifacompany）;

BankingFacilities"

meansthegeneralbankingfacilitiesincludingbutnotlimitedtoadvances,revolvingcreditfacilities,loans,guaranteefacilitiesandtermfacilitieswhetherinSingaporeDollarsand/orinforeigncurrenciesandsuchothergeneralbankingandcreditfacilitiesorotheraccommodationmadeand/ortobemadeavailablebytheAssigneeto,orattherequestoftheAssignorand/ortheBorrower,uptosuchamountoramountsandtosuchextentastheAssigneemayfromtimetotimeagree;

includestherespectivepersonalrepresentativesoftheBorrower（ifanindividual）andthesuccessorsandassignsoftheBorrower（ifacompany）;

means（a）allsums（whetherprincipal,interest,fee,commissionorotherwise）whichareoratanytimemaybeorbecomeduefromorowingbytheAssignorand/ortheBorrowertotheAssignee,orwhichtheAssignorand/ortheBorrowerhas/havecovenantedtopayordischarge,whetheractuallyorcontingently,underorinconnectionwithanyoftheFacilityDocumentsand/orthisAssignmentand（b）allotherliabilitiesandmoneys（whetherprincipal,interest,fee,commissionorotherwise）whichnowareoratanytimehereaftermaybecomeduefromorowingby,orbeincurredby,theAssignorand/ortheBorrowertotheAssignee,inwhatevercurrencythesameshallbedenominatedorowing,whetheraloneorjointlywithanyotherpersonandonanyaccountwhatsoever,whethercurrentorotherwise,andwhetherpresent,future,actualorcontingent,andwhetherasprincipaldebtor,guarantor,suretyorotherwisehowsoever,including（withoutlimitation）interestandallliabilitiesinconnectionwithforeignexchangetransactions,paying,accepting,endorsingordiscountinganycheques,notesorbills,orunderbonds,guarantees,indemnities,documentaryorothercreditsoranyinstrumentswhatsoeverfromtimetotimeenteredintobytheAssignee,fororattherequestoftheAssignorand/ortheBorrower;

（B）ThisAssignment:

sObligations:

Allcovenants,terms,warranties,undertakings,representations,stipulationsandotherprovisionshereinexpressedtobemadebytheAssignorandtheBorrowershallbedeemedtobemadeby,andshallbebindingon,themjointlyandseverally.

（D）Assignor’sObligations:

WheremorethanonepersonconstitutestheAssignor,allcovenants,terms,warranties,undertakings,representations,stipulationsandotherprovisionshereinexpressedtobemadebytheAssignorshallbedeemedtobemadeby,andshallbebinding,onthemjointlyandseverally.

（E）Borrower'

WheremorethanonepersonconstitutestheBorrower,allcovenants,terms,warranties,undertakings,representations,stipulationsandotherprovisionshereinexpressedtobemadebytheBorrowershallbedeemedtobemadeby,andshallbebindingon,themjointlyandseverally.

（F）ReferencestoAssignor:

WheremorethanonepersonconstitutestheAssignor,allreferenceshereinto“theAssignor”shallwherethecontextsoadmits,includereferencestoanyorallofthem.

（G）ReferencestoBorrower:

WheremorethanonepersonconstitutestheBorrower,allreferenceshereinto“theBorrower”shallwherethecontextsoadmits,includereferencestoanyorallofthem.

（H）HeadingsandClauses:

TheheadingsinthisAssignmentareinsertedforconvenienceonlyandshallbeignoredinconstruingthisAssignment.Unlessthecontextotherwiserequires,wordsdenotingthesingularnumberonlyshallincludethepluralandviceversaandwordsimportingthemasculinegendershallincludethefeminineandneutergender.Referencestothe"

2.COVENANTTOPAY

TheAssignorandtheBorrowerherebycovenant:

（a）topayanddischargeupondemand（inrespectoftheBankingFacilitieswhichareexpressedtobepayableondemand）orontheduedatethereof,allmoneys,obligationsandliabilitieswhatsoeverwhichnowareoratanytimehereafter（whetheronorafteranysuchdemandorotherwise）maybeduefromorowingorpayableby,ortobeincurredby,theAssignorand/ortheBorrowertotheAssignee,inwhatevercurrencythesameshallbedenominatedorowingwhetheraloneorjointlywithanyotherpersonandonanyaccountwhatsoever,whethercurrentorotherwise,andwhetherpresent,future,actualorcontingentandwhetherasprincipaldebtor,guarantor,suretyorotherwisehowsoeverorinanymannerwhatsoeverandallotherliabilities,whethercertainorcontingent,whetherornotunder,pursuanttoorinconnectionwithanyoftheFacilityDocumentsincluding（withoutlimitation）allliabilitiesinconnectionwithpaying,accepting,endorsingordiscountinganycheques,notesorbills,orunderguarantees,documentaryorothercreditsoranyinstrumentwhatsoeverfromtimetotimeenteredintobytheAssigneefororattherequestoft
