买方和卖方以下合称为“双方”，单称为“一方”。
TheBuyerandtheSellerarehereinaftercollectivelyreferredtoas“Parties”andindividuallyas“Party”.
双方经友好协商，并确认在完全了解本销售合同的全部内容后，于上述地点按照下列条款和条件，自愿签订本销售合同（“本合同”）如下：
ThisSalesContract（“Contract”）iswillinglymadeandenteredintothroughfriendlynegotiationbytheParties,whereastheBuyerandtheSellerstatedthattheyhaveexactlyunderstoodandjointlyagreedtoalltermsandconditionsofthisContractasstipulatedbelow.
1．合同价格和供货范围
ContractPriceandSupplyScope
1.1合同总价：

ThetotalcontractpriceisRMB__
合同总价包括17％的增值税、设备价格、按照卖方标准包装的包装费、货物运输至本合同项下指定地点所产生的运费和保险费、指导安装费和指导调试费。
为避免疑问，合同总价不包括现场卸货费、安装调试费用、政府机构征收的任何费用以及在本合同项下额外产生的费用。
Thetotalcontractpriceincludes17%VAT,equipmentprice,packingchargesinaccordancewiththestandardpackagingoftheSeller,transportationandinsurancechargesinrelationtotransportingtheProducttothedesignatedplaceundertheContract,andcostsforsupervisionofinstallationandcommissioning.Fortheavoidanceofanydoubt,thetotalcontractpricedoesnotincludeon-siteunloadingfee,installationandcommissioningfee,allchargesandexpensesleviedbygovernment,andanyotheradditionalcostincurredunderthisContract.
1.2卖方向买方供应的产品（“产品”）范围如下

本合同中未列明的产品不在卖方的供货范围内。
ProductsnotexpresslysetoutinthisContractshallnotbesuppliedbytheSeller.
2．付款方式

2.1买方以划帐（或电汇）方式向卖方支付合同款项。

2.2
（1）合同总价的30%作为预付款在本合同签订后十五日内支付。
30%oftotalcontractvalueshallbepaidasdownpaymentbytheBuyerwithin15daysaftersignatureofthisContract.
（2）合同总价的70%在产品交付后十五日内或者年月_日支付，以先到的日期为准。
70%oftotalcontractvalueshallbepaidbytheBuyerwithin15daysafterdeliveryoftheProduct,ornolaterthan__D/___M/Y（whicheveristheearlier）.
3．原产地和供货商

4．包装
Packing
4.1本合同项下货物应按卖方标准正确包装。
TheProducttobedeliveredundertheContractshallbeproperlypackedaccordingtotheSeller’sstandard.
4.2由于买方要求变更上述包装标准而发生的费用，由买方负责承担。
买方应当在根据本合同第2.2
（2）款支付合同总价时将该产生的费用一并支付。
AnyexpensesarisingoutoforresultingfromanychangestosuchstandardsasrequestedbyBuyershallbechargedinBuyer’saccount.TheBuyershallpaysuchexpensestogetherwithpaymentaccordingtoArticle2.2

4.3卖方应当在每件包装上用不褪色的油墨清楚地标出件号、尺码、毛重、净重、起吊位置、“向上”、“小心轻放”、“切勿受潮”字样，并刷有下列唛头：

5．交付
Delivery
5.1本合同项下货物的交货时间为_20_年月_日。
如双方同意分批交货，双方另外约定分批交货时间。
如买方要求提前交货的，买方应当考虑产品正常的生产周期，且事先取得卖方的同意。
卖方有权利拒绝买方提前交货的要求。
在任何情况下，产品的正常生产周期为合同签定生效、双方确认技术图纸（如有）且卖方收到卖方根据本合同第2.2
（1）条支付的预付款后__周。

Inanycircumstance,thenormalproductionperiodshallbe_weeksafterthiscontracttakeseffect,bothPartiesconfirmthetechnicaldrawingsandtheSellerreceivesdownpaymentpaidbytheBuyeraccordingtotheArticle2.2

5.2文件资料
Documentation
卖方在交货时应提供如下文件资料：
1）装箱单3份，注明毛重、净重、尺寸和货物品名及数量；
2）由制造厂商签发的质量证明书。

i）Packinglistin3copieswithindicationofbothgrossandnetweights,measurementandquantityofeachitem.
ii）CertificateofQualityissuesbytheManufacturers.
5.3交货地点及交付方式
DeliveryPoint/ModeofDelivery
交货地点：
___或买方在交货时间前【７】个工作日书面通知卖方的其他交货地点。
DeliveryPoint:
__ortheBuyershallmakewrittennoticetotheSeller7daysbeforethedeliveryaboutthenewDeliveryPoint.
卖方应当将货物运送至交货地点，由此产生的运输费和保险费由卖方承担。
但是，由于买方变更交货地址所产生的额外费用，包括但不限于运输费用和保险费由买方承担。
TheSellershalldelivertheProducttotheDeliveryPoint,thetransportationand,insurancearisingfromtransportingtheProducttothedesignatedplaceundertheContractisontheSeller’saccount.ButtheadditionalcostsarisingfromchangingthedeliveryaddressbytheBuyer,includingbutnotlimitedto,transportationcostsandinsurancecostsisontheBuyer’saccount.
5.4货物备运通知
DeliveryNotes
卖方必须在货物完成装运准备后，以传真形式通知买方合同号、货物数量、货物启运时间。
TheSellershallnotifytheBuyeroftheequipmentdeliveryspecificationsincludingContractNo.,QuantityandDateofreadytodeliveryinwritinguponcompletionofloading.
5.5货物在交货地点被移交至买方或买方指定的第三人，且经买方或买方指定的第三人签收收货凭证后视为交付完成。
AftercompletionoffactoryinspectionandacceptancebytheBuyer,theContractEquipmentsaredeliveredsafelytotheBuyerorOwnerattheplaceasstipulatedinthisContract.ThentheContractEquipmentisregardedasbeingdelivered.
AftertheProducthasbeendeliveredtotheBuyerorthirdpartyappointedbytheBuyerintheDeliveryPiont,andtheBuyeroritsappointedthirdpartysignsthereceiptprotocoloftheProduct,theProductisregardedasbeingdelivered.
5.6交货期的顺延
DeliveryPostpone
（1）卖方按照本合同第5.１条交货将基于以下条件：
买方及时履行了其在本合同项下的义务，包括但不限于i）支付合同预付款项（如有的话），ii）及时提供所有必须的许可证及批文（如有的话），以及iii）图纸确认（如有的话）。
如果上述条件未能及时得到满足，交货期应当延长由于上述原因耽误的相同天数并且卖方毋须承担延期的责任，买方应支付卖方因此发生的额外费用和开支，包括但不限于仓储和运输费用。
DeliveryofProductbySelleraccordingtoArticle5.1hereinissubjecttotheBuyer’sfulfillmentofitsobligationsundertheSalesContract,inatimelymanner,includingbutnotlimitedtoi）makingdownpayment（ifany）;
andii）obtainingallnecessarylicensesandapprovals（ifany）;
iii）confirmationoftechnicaldrawing（ifany）.Iftheforesaidconditionsarenotsatisfied,theTimeofDeliveryshallbeextendedaccordingly,andSellershallnotberesponsibleforsuchdelayindelivery,andSellershallbereimbursedbyBuyerfortheadditionalcostsandexpensesarisingtherefrom,includingbutnotlimitedtofeeforstorageandfreight.
（2）如果由于本合同规定的不可抗力，或卖方无法合理控制的其他原因致使卖方无法送货，交货期应相应延长。
卖方在此情况下不承担延期的违约责任。
IfanydelayisattributabletoForceMajeureoranyothercausesbeyondthereasonablecontrolofSeller,theTimeofDeliveryshallbeextendedaccordingly.Underthiscircumstance,theSellerdoesnotassumeresponsibilityforbreachofthisContract.
6．无法送货
UnabletoDeliver
对于已经通过出厂试验的货物，如因买方原因不能按照本合同规定的时间送货，买方应在本合同规定的交货时间起3个工作日内支付合同总价的剩余款项。
在收到上述款项的前提下，卖方同意自本合同规定的交货时间起15天（日历日）内免费仓储该货物。
该15天届满后如因买方原因仍然无法送货，买方应当每天按照合同总价的【0.1%】向卖方支付违约金，直至货物送货为止。
卖方在收到买方支付的上述违约金后方才送货。
IncasetheProductisunabletobedeliveredduetothereasonattributabletotheBuyeraftercompletionoffactoryinspection,theBuyershallpaytheremainingvalueofthetotalcontractvaluewithin3workingdaysafterthescheduleddeliverytime.TheSelleragreestostoreandmaintainthecontractProductfreeforthefirstfifteendaysontheconditionsthattheabovepaymentisreceivedbytheSeller.IftheProductisstillunabletobedeliveredafterexpirationofsuch15days,theBuyershallpayliquidateddamagesonadailybasiscalculatedat[0.1%]ofthetotalContractvalueuntiltheProductisabletobedelivered.TheSellershalldelivertheProductonlyafterreceivingtheaboveliquidateddamagesfromtheBuyer.
卖方因上款所述原因导致不能交付货物的，不视为卖方违约。
WheretheSellercannotdelivertheProductresultingfromtheabovereasons,theSellershallnotbedeemedasbreachingthisContract.
7．风险转移
RiskTransfer
货物发生灭失或损坏的一切风险，自货物根据本合同交付给买方或买方指定的第三方时起由卖方转移至买方。
如发生本合同第6条所述的因买方原因卖方不能送货的情形，该货物的灭失或损坏的风险自本合同规定的交货日期的第二天（日历日）起转移给买方。
AllriskoflossofordamagetotheProductshallbetransferredfromSellertoBuyerwhentheProducthasbeendeliveredtotheBuyerortheappointedthirdpartyaccordingtothisContract.IntheeventtheSellercannotdelivertheProductduetothereasonstipulatedinrticle6herein,allriskoflossofordamagetotheProductshallbetransferredfromSellertoBuyerontheseconddateofthescheduleddeliverydate.
8．验收
Inspection&
Acceptance
货物到达交货地点后【７】个工作日内，买方需在卖方代表在场的情况下共同进行开箱装箱检验。
如买方在未通知卖方或在卖方代表未在场的情况下单独开箱，则卖方对货物的缺损不负任何责任。
在双方开箱检验确认确系卖方运输或产品质量问题或数量存在短缺，由卖方负责解决。
ThepackagesshallbeopenedbyBuyerinthepresenceoftherepresentativesofBuyerandSellerwithin7daysaftertheProductisdeliveredtotheDeliveryPoint.ShouldtheBuyerunpackthepackagealonewithoutnotifyingtheSellerorwithoutpresenceofrepresentativesoftheSeller,theSellerwillnotbeliableformissingordamagedparts.Ifdamagescausedbytransit,shortageofquantityordefectiveinqualityarefoundandconfirmedbybothPartiesduringopeningpackageinspection,theSellerisresponsibleforresolvingit.
货物到达交货地点2周后，因买方原因仍不进行开箱验收，视为买方已接受货物且货物符合本合同的规定。
ShouldBuyerfailtocarryoutopeningpackageinspectionwithin2weeksaftertheProductisdeliveredtotheDeliveryPoint,theProductherebyisregardedasbeingacceptedbytheBuyerandashavingfulfilledthestandardofthisContract.
