WHEREAS,priortothetimeoftheHoldCoMerger,theEEEGroupandtheDDDGroupmaintainedindependentpropertyandbusinessinterruptioninsurancepolicies.Othertypesofinsurance,suchasgeneralliability,employer’sliability,aircraftliability,automobileliability,workers’compensationandexecutiverisk,werepurchasedandheldbyOldAAA,forthebenefitofOldAAAandallofitsSubsidiaries;

WHEREAS,followingtheHoldCoMerger,separatepoliciesofinsuranceforcertaingeneralliability,employer’sliability,automobileliability,workers’compensation,boilerandmachinery,andaircraftseataccidentwereissuedtocover（i）AAA,EEEanditsSubsidiaries,ontheonehand,and（ii）SteelCoanditSubsidiaries,ontheotherhand.TheremainingpoliciesofinsuranceheldbyOldAAAweremaintainedforthebenefitofAAAanditsSubsidiaries;

and

WHEREAS,thepartiesdesiretoenterintothisAgreementtosetforththeparties’understandingwithrespecttotheirrespectiveresponsibilitiesandrightswithrespecttovariousinsurancepoliciesandclaimsassociatedtherewith,bothpriortoandaftertheSeparation.

NOW,THEREFORE,infurtheranceoftheforegoingandinconsiderationofthemutualpromisesandundertakingscontainedhereinandinanyotherdocumentexecutedinconnectionwiththisAgreement,thepartiesagreeasfollows:

IntellectualPropertyAgreement知识产权协议-

ForthepurposeofthisAgreement,thefollowingcapitalizedtermsaredefinedinthisArticle1andshallhavethemeaningspecifiedherein:

Actionmeansanydemand,claim,suit,action,arbitration,inquiry,investigationorotherproceedingbyorbeforeoranyregulatoryorgovernmentalagencyorauthorityoranyarbitrationormediationtribunal.

AffiliatehasthemeaningsetforthintheDistributionAgreement.

Agreementhasthemeaningsetforthinthepreamblehereto,assuchagreementmaybeamendedandsupplementedfromtimetotimeinaccordancewithitsterms.

AncillaryAgreementmeanseachoftheDistributionAgreement,theTaxSeparationAgreement,theTransitionServicesAgreement,theCanadaResellerAgreement,theManagementServicesResellerAgreement,theVendorFinancingAgreement,theAssignmentandNovationAgreements,theSubleaseAgreements,andtheSubleaseandLicenseAgreements.

AssignedCopyrightsmeanstheCopyrightsasownedbyAAAandusedsolelywithintheBBBbusinesstobetransferredtoBBBonaquitclaimbasispursuanttothetermsofthisAgreement.

AssignedMarksmeanstheMarkssetforthonScheduleA-1hereto.

AssignmentandNovationAgreementshasthemeaningsetforthintheDistributionAgreement.

AuthorizedDealermeansanydistributor,dealer,OEMcustomer,systemsintegratororotheragentthatonoraftertheDistributionDateisauthorizedtomarket,advertise,sell,lease,rent,serviceorotherwiseofferBBBBusinessProducts.BBBwillperiodicallyprovideAAAwithalistofthethencurrentAuthorizedDealerswithinareasonableperiodafterAAA’request.

AuthorizedManufacturermeansanyoriginalequipmentmanufacturer,producer,dealerorotheragentthatonoraftertheDistributionDateisauthorizedtobuild,create,design,compileorotherwisebuildforSaleBBBBusinessProducts.BBBwillperiodicallyprovideAAAwithalistofthethencurrentAuthorizedManufacturerswithinareasonableperiodafterAAA’request.

CanadaResellerAgreementhasthemeaningsetforthintheDistributionAgreement.

ChangeofControlmeans（i）thedirectorindirectacquisition（bymerger,consolidation,businesscombinationorotherwise）byanyPersonorgroupofPersonsofbeneficialownership（asdefinedinRule13d-1andRule13d-5undertheSecuritiesExchangeActof1934）of40%ormoreoftheTotalVotingPowerofBBB,（ii）anymerger,consolidationorotherbusinesscombinationofBBBoraSubsidiaryofBBBwithanyPersonaftergivingeffecttowhich（x）theshareholdersofBBBimmediatelypriortosuchtransactiondonotownatleast60%oftheTotalVotingPoweroftheultimateparententityofthepartiestosuchtransactionor（y）individualswhoweredirectorsofBBBimmediatelypriortosuchtransaction（ortheirdesignees）donotconstituteamajorityoftheboardofdirectorsofsuchultimateparententityand（iii）thedirectorindirectacquisitionbyanyPersonorgroupofPersonsofallorsubstantiallyalloftheassetsofBBB.

CollateralMaterialsmeansallpackaging,tags,labels,advertising,promotions,displayfixtures,instructions,warrantiesandothermaterialsofanyandalltypesassociatedwiththeBBBBusinessProductsthataremarkedwithatleastoneoftheLicensedMarks.

ConfidentialInformationmeansanynon-public,confidentialorproprietaryinformationrelatingtoadisclosingparty,whetherornottechnicalinnature,includinganyinformationthatisdesignatedbythedisclosingpartyasConfidentialInformationatthetimeofitsdisclosure,eitherbyawrittenorvisualconfidentialitydesignation,ororally,providedthat（i）writtenconfirmationofsuchconfidentialstatusisprovidedtothereceivingpartywithinten（10）daysthereafteror（ii）suchinformationwould,underthecircumstances,appeartoareasonablepersontobeconfidentialorproprietary.

Notwithstandingtheforegoing,ConfidentialInformationdoesnotincludeinformation,technicaldataorknow-howwhich:

（i）isinthepublicdomainatthetimeofdisclosureorbecomesavailablethereaftertothepublicwithoutrestriction,andineithercasenotasaresultoftheactoromissionofthereceivingparty;

（ii）isrightfullyobtainedbythereceivingpartyfromathirdpartywithoutrestrictionastodisclosure;

（iii）islawfullyinthepossessionofthereceivingpartyatthetimeofdisclosurebythedisclosingpartyandnototherwisesubjecttorestrictionondisclosure;

（iv）isapprovedfordisclosurebypriorwrittenauthorizationofthedisclosingparty;

or（v）isdevelopedindependentlyandseparatelybyeitherpartywithoutuseofthedisclosingparty’sConfidentialInformation.

Copyrightmeans（i）anycopyrightinanyoriginalworksofauthorshipfixedinanytangiblemediumofexpressionassetforthin17U.S.C.Section101etseq.,whetherregisteredorunregistered,includinganyapplicationsforregistrationthereofand（ii）anycorrespondingforeigncopyrightsunderthelawsofanyjurisdiction,ineachcase,whetherregisteredorunregistered,andanyapplicationsforregistrationthereof.

CreditAgreementhasthemeaningsetforthintheDistributionAgreement.

Distributionhasthemeaningsetforthinthepreamble.

DistributionAgreementmeanstheDistributionAgreementbetweenAAAandBBBdatedthedatehereof.

DistributionDatehasthemeaningsetforthintheDistributionAgreement.

FinallyDeterminedmeans,withrespecttoanyActionorothermatter,thattheoutcomeorresolutionofsuchActionormatterhasbeenjudiciallydeterminedbyjudgmentorordernotsubjecttofurtherappealordiscretionaryreview.

Groupmeans,asthecontextrequires,theBBBGrouportheAAAGroup.

BBBhasthemeaningsetforthinthepreamble.

BBBBusinessmeansthebusinessofBBB.

BBBBusinessProductsmeansanyandallproductsandrelatedservicesoftheBBBBusinesscommerciallyreleasedorpracticedpriortotheDistributionDateandsimilarproductsandservicescommerciallyreleasedorpracticedaftertheDistributionDate.

BBBGrouphasthemeaningsetforthintheDistributionAgreement.

LicensedCopyrightsmeanstheCopyrightsownedbyAAAatthetimeoftheDistributionandusedbybothAAAandBBBandlicensedtoBBBpursuanttothetermsofthisAgreement.

LicensedMarksmeanstheMarkssetforthonScheduleA-2hereto.

LicensedPatentsmeansthePatentssetforthonScheduleBhereto.

LicensedTechnologymeansAAA’Technologyandrelatedtechnicalknow-howasusedintheBBBBusinesspriortotheDistributionDateandlicensedtoBBBpursuanttothetermsofthisAgreement.
