ReleaseandIndemnificationAgreement让渡与补偿条约doc@#@ReleaseandIndemnificationAgreement让渡与补偿协议-@#@Section2.01.IndemnificationbyBBB.@#@ @#@@#@（a）BBBandanyBBBSubsidiaryObligorjointlyandseverallyagreetoindemnifyandholdharmlessAAAanditspast,presentorfutureSubsidiariesandAffiliatesandanyoftheirpast,presentorfutureRepresentatives,heirs,executorsandanyoftheirsuccessorsandassignsagainstanyandallpayments,losses,liabilities,damages,claims,andexpenses（includingwithoutlimitation,attorney’sfeesandexpensesincurredingoodfaith）andcostswhatsoever（Losses）,asincurred,arisingoutoforrelatingto:

@#@（i）allassets,businessesandoperationsconducted,operated,managedorowned,inwholeorinpart,by（A）BECoranyPersonthatwasanyattimeaSubsidiaryorAffiliateofBEC,（B）AAAoranyPersonthatwasanyattimeaSubsidiaryorAffiliateofAAAthatweretheresponsibilityofthechiefexecutiveofficeroftheBBBEntertainmentoperatingunitofAAA,（C）BBBoranyPersonthatwasatanytimeaSubsidiaryorAffiliateofBBB,or（D）anysuccessor,assignorRepresentativeofanyoftheforegoingatanytime,whetherbefore,atoraftertheIPO（includingwithoutlimitationanyassets,businessesoroperationsthatwerepurchased,newlystarted,discontinuedorsold）oranytransactionrelatedtheretoorcausesofactionarisingtherefrom（collectively,theBBBBusinessand（ii）theTransferCosts;@#@providedthat,incaseofclause（i）above,assets,businessesandoperationsreferredtothereinshall（A）include,withoutlimitation,homevideoretailing（whethervideocassette,laserdisc,digitalversatiledisc,digitalvideoexpressorotherwiseandwhetherrentalorsaleorinaphysicalstoreorovertheInternet）,videogameretailing（whetherrentalorsale）,musicretailing,theoperationofchildrenandadultentertainmentcenters（butthisindemnificationshallnotapplytoassets,businessesandoperationsconductedbyParamountParks）andthedevelopment,marketing,saleandmanagementoffranchisesrelatedtotheforegoingassets,businessesandoperationsandtheAAAGuaranteesand（B）excludeallassets,businessesandoperationsofSpellingEntertainmentGroupInc.anditsSubsidiaries（includingRepublicEntertainmentInc.andWorldVisionInc.）,ShowtimeNetworksInc.,VirginInteractiveEntertainmentLimitedandVirginInteractiveEntertainmentInc.@#@ @#@@#@（b）TotheextentthataSubsidiaryofBBBbecomesaBBBSubsidiaryObligor,BBBshallcausesuchSubsidiarytobecomeapartytothisAgreementthroughanamendmentheretopursuanttowhichsuchBBBSubsidiaryObligorwillexpresslyassumealloftheobligations,andacquirealloftherights,ofBBBunderthisAgreement.SuchassumptionofobligationsandacquisitionofrightsshallinnowaydischargeBBBfromanyofitsobligationshereunderordiminishanyofBBB’srightshereunder,asthecasemaybe.Suchamendmentshallbe（i）executedanddeliveredtoAAA（andshallbecomeeffective）simultaneouslywiththeexecutionanddeliverybysuchBBBSubsidiaryObligor（andtheeffectiveness）ofthedocumentationpursuanttowhichitbecameaBBBSubsidiaryObligorand（ii）containprovisionsreasonablysatisfactorytoAAAtomaximizethelikelihoodthatsuchamendmentwouldnotbesubjecttoattackunderapplicablefraudulentconveyanceorsimilarlaws.@#@ @#@@#@（c）TheobligationsofthepartiesunderthisSection2.01shallbeinadditiontoanyliabilitywhichanypartymayhavetotheotherparty.@#@ @#@@#@Section2.02.IndemnificationbyAAA.@#@ @#@@#@（a）AAAagreestoindemnifyandholdharmlessBBBanditspast,presentorfutureSubsidiariesandAffiliatesandanyoftheirpast,presentorfutureRepresentatives,heirsandanyoftheirexecutors,successorsandassignsagainstanyandallLosses,asincurred,arisingoutoforrelatingtoallassets,businessesandoperationsconducted,operated,managedorowned,inwholeorinpart,byAAAoranyPersonthatwasatanytimeaSubsidiaryorAffiliateofAAAoranypredecessor,successor,assignorRepresentativeofanyoftheforegoingatanytimewhetherbefore,atoraftertheIPO（including,withoutlimitation,anyassets,businessesoroperationsthatwerepurchased,newlystarted,discontinuedorsold）oranytransactionrelatedtheretoorcausesofactionarisingtherefromotherthantheBBBBusinessandTransferCostswhichBBBandanyBBBSubsidiaryObligoragreetoindemnifyAAApursuanttoSection1.01）（theAAABusiness）.@#@ @#@@#@（b）TheobligationsofthepartiesunderthisSection2.02shallbeinadditiontoanyliabilitywhichanypartymayhavetotheotherparty.@#@ @#@@#@Section2.03.CertainTaxMatters.Notwithstandinganythingtothecontraryherein,therightsandobligationsofthepartieswithrespecttoindemnificationforthetaxmattersthatarethesubjectmatteroftheTaxMattersAgreementdatedasofthedatehereofbetweenthepartiestheretoshallbegovernedsolelybysuchagreement.@#@ @#@@#@Section2.04.RegistrationIndemnification.@#@ @#@@#@（a）BBBandanyBBBSubsidiaryObligorjointlyandseverallyagreetoindemnifyandholdharmlessAAAandeachPerson,ifany,whocontrolsAAAwithinthemeaningoftheSecuritiesActandAffiliatesandRepresentativesofeachoftheforegoingfromandagainstanyandallLosses（including,withoutlimitation,anylegalorotherexpensesincurredinconnectionwithdefendingorinvestigatinganysuchactionorclaim）,asincurred,arisingoutoforrelatingtoanyuntruestatementorallegeduntruestatementofamaterialfactcontainedin,orincorporatedbyreferenceinto（i）anyBBBRegistrationStatementfiledatorpriortothedateoftheSplit-Off,including,withoutlimitation,theIPORegistrationStatementand（ii）anySplit-OffRegistrationStatementoranyomissionorallegedomissiontostatethereinamaterialfactrequiredtobestatedthereinornecessarytomakethestatementsthereinnotmisleading,exceptthatBBBandanyBBBSubsidiaryObligorshallnotbeliableinanysuchcasetotheextentthatanysuchLossesarearisingoutoforrelatingtoanysuchuntruestatementoromissionorallegeduntruestatementoromissionbaseduponinformationrelatingtoAAAfurnishedtoBBBinwritingbyAAAexpresslyforusetherein.SuchindemnityshallremaininfullforceandeffectregardlessofanyinvestigationmadebyoronbehalfofAAAandshallsurvivethetransferofsuchsecurities.InthecaseofanofferingwithrespecttowhichAAAhasdesignatedtheleadormanagingunderwriters（orAAAisofferingsecuritiesofBBBdirectly,withoutanunderwriter）,thisindemnitydoesnotapplytoanyLossarisingoutoforrelatingtoanyuntruestatementorallegeduntruestatementoromissionorallegedomissioninanypreliminaryprospectusorofferingmemorandumifacopyofafinalprospectusorofferingmemorandumwasnotsentorgivenbyoronbehalfofanyunderwriter（orAAA）tosuchPersonassertingsuchLossatorpriortothewrittenconfirmationofthesaleofthesecuritiesofBBBasrequiredbytheSecuritiesActandsuchuntruestatementoromissionhadbeencorrectedinsuchfinalprospectusorofferingmemorandum.@#@ @#@@#@（b）AAAagreestoindemnifyandholdharmlessBBBandeachPerson,ifany,whocontrolsBBBwithinthemeaningoftheSecuritiesActandAffiliatesandRepresentativesofeachoftheforegoingfromandagainstanyandallLosses（including,withoutlimitation,anylegalorotherexpensesincurredinconnectionwithdefendingorinvestigatinganysuchactionorclaim）,asincurred,arisingoutoforrelatingtoanyuntruestatementorallegeduntruestatementofamaterialfactcontainedin,orincorporatedbyreferenceinto,（i）anyBBBRegistrationStatementfiledatorpriortothedateoftheSplit-Off,including,withoutlimitation,theIPORegistrationStatement,（ii）andanySplit-OffRegistrationStatement,oranyomissionorallegedomissiontostatethereinamaterialfactrequiredtobestatedthereinornecessarytomakethestatementsthereinnotmisleading,butonlywithreferencetoLossesarisingoutoforrelatingtoanyuntruestatementoromissionorallegeduntruestatementoromissionbasedoninformationrelatingtoAAAfurnishedtoBBBinwritingbyAAAexpresslyforusetherein.SuchindemnityshallremaininfullforceandeffectregardlessofanyinvestigationmadebyoronbehalfofBBBandshallsurvivethetransferofsuchsecurities.InthecaseofanofferingwithrespecttowhichBBBhasdesignatedtheleadormanagingunderwriters（orBBBisofferingsecuritiesofBBBdirectly,withoutanunderwriter）,thisindemnitydoesnotapplytoanyLossarisingoutoforrelatingtoanyuntruestatementorallegeduntruestatementoromissionorallegedomissioninanypreliminaryprospectusorofferingmemorandumifacopyofafinalprospectusorofferingmemorandumwasnotsentorgivenbyoronbehalfofanyunderwriter（orBBB）tosuchPersonassertingsuchLossatorpriortothewrittenconfirmationofthesaleofthesecuritiesofBBBasrequiredbytheSecuritiesActandsuchuntruestatementoromissionhadbeencorrectedinsuchfinalprospectusorofferingmemorandum.@#@ @#@@#@（c）IftheindemnificationprovidedforinthisSection2.04shallforanyreasonbeunavailable（otherthaninaccordancewithitsterms）toanIndemnifiedPartyinrespectofanyLossreferredtotherein,theneachIndemnifyingPartyshall,inlieuofindemnifyingsuchIndemnifiedParty,contributetotheamountpaidorpayablebysuchIndemnifiedPartyasaresultofsuchLossasbetweenBBBontheonehandandAAAontheother,insuchproportionasisappropriatetoreflecttherelativefaultofBBBandofAAAinconnectionwithsuchstatementsoromissionswhichresultedinsuchLossaswellasanyotherrelevantequitableconsiderations.Th
