3.REPAYMENT

3.1.Repayment.Exceptasotherwiseexpresslyprovidedherein，theBorrowershallre-payeachLoaninninesemiannualinstallments，eachsuchinstallmentinanamountequaltoone-ninthofsuchLoan;

provided，however，thatthefirsteightsuchinstallmentsshalleachberoundeddowntothenearestintegralmultipleof$1andthelastsuchinstallmentshallbeintheamountnecessarytorepayinfulltheoutstandingbalanceofsuchLoan.TheinstallmentsofeachLoanshallbepayableonsuccessiveInterestPaymentDatescommencingwiththeeighthIntetestPaymentDate.

3.2.OptionalPrepayment.TheBorrowermayprepaytheLoansinwholeorinpartinanintegralmultipleof＿＿＿＿＿onanyInterestPaymentDate，if，notlaterthan5:

3.3.Illegality.IfanyBankdeterminesatanytimethatanylaw，regulationortreatyoranychangethereinorintheinterpretationorapplicationthereofshallmakeitunlawfulforsuchBanktomakeormaintainitsLoanortoclaimorreceiveanyamountotherwisepayablehereunder，suchBankshallgivenoticeofsuchdeterminationtotheBorrower.IfsuchnoticeisgivenbeforethedisbursementofsuchLoan，theobligationsofsuchBankunderthisA-greementshallterminateuponthegiveingofsuchnotice.Ifsuchnoticeisgivenafterthedis-bursement

ofsuchLoan，theBorrowershallprepaysuchLoaninfullontheInterestPay-mentdateDatenextsucceedingthedateofsuchnoticeor，ifsuchBankdeterminesthatsuchpre-paymentisrequiredpriortosuchInterestPaymentDate，ondemandofsuchBank，withoutpreminumbuttogetherwithinterestaccruedtothedateofprepaymentonsuchLoanandallotheramountsthenpayabletosuchBankbytheBorrowerhereunder.

4.INTEREST

4.1.BasicRate.（a）ExceptsasotherwiseexpresslyprovidedinSection4.2orSection4.3，interestshallaccrueoneachLoanduringeachInterestPeriod，fromandincludingthefirstdayofsuchInterestPeriod，tobutexcludingthelastdaythereof，atarateperannume-qualtothesumoftheMarginandLIBORforsuchInterestPeriod.

（b）Exceptasotherwiseexpresslyprovidedherein，accruedinterestontheLoansshallbepayableoneachInterestPaymentDate.

（c）TheAgentshallgivenoticetotheBorrowerandtheBanksofLIBORpromptly
