NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantsandagreementshereincontained,AAA,BBB,TheTrust,SeedmanandCCCagreeasfollows:

SECTION1.01.Position.

（a）AgreementtoActasDirector.SubjecttoSection11.01,BBBagreestocauseSeedmantobeelectedtotheBoardsofDirectorsofBBBandCCCandSeedmanherebyagreestoserveasadirectoronBBB'

sandCCC'

sBoardofDirectors.

（b）TermofPositionasDirector.SeedmanshallserveasdirectorpursuantheretocommencingontheClosingDate（asdefinedintheRedemptionandPurchaseAgreement）andcontinuinguntilterminatedpursuanttoSection11.01（the"

Term"

（c）CompensationandBenefits.SeedmanshallnotbeentitledtoreceiveanycompensationorbenefitsfromAAA,BBB,CCCoranyoftheirAffiliatesasaconsequenceofservingasadirectorofBBBorCCC."

SECTION2.01.EquityInvestment.

（a）

（i）Subjectonlytothesatisfactionoftheconditionsprecedentsetforthinclauses（ii）and（iii）below,BBBherebyagreestoissueandselltoTheTrust,andTheTrustherebyagreestopurchasefromBBB,immediatelypriortotheClosing（asdefinedintheRedemptionandPurchaseAgreement）,_________sharesofBBBClassACommonStockatapriceof$,_________pershareincash.AttheclosingofthepurchaseandsaleofthesharesofBBBClassACommonStockpursuanttothisSection2.01（a）（the"

CommonStockClosing"

）,TheTrustshalltransfertoanaccountdesignatedbyBBB$,_________incashinimmediatelyavailablefundsandBBBshalldelivertoTheTrustadulyexecutedstockcertificateevidencing_________sharesofBBBClassACommonStock.

（ii）TheobligationofTheTrusttopurchasethe_________sharesofBBBClassACommonStockpursuanttoclause（i）aboveissubjectonlytothefollowing:

（A）therepresentationsandwarrantiesofBBBcontainedinSection13.01（a）shallbetrueandcorrectinallmaterialrespectsasofthedatehereofandasoftheClosingDate,（B）BBBshallhavedeliveredtoTheTrustacertificateoftheVicePresidentofBBBtotheeffectthatthetransactionstooccurontheClosingDateundertheRedemptionandPurchaseAgreementwilloccurimmediatelyaftertheCommonStockClosingonsubstantiallythesametermsreflectedintheRedemptionandPurchaseAgreementandthatBBBhasnotknowinglywaivedinanymaterialrespectanymaterialclosingconditionsundertheRedemptionandPurchaseAgreement,and（C）definitiveagreementsshallhavebeenexecutedprovidingforthefinancingcontemplatedbytheCommitmentLetter（asdefinedintheRedemptionandPurchaseAgreement）onsubstantiallythesametermssetforthintheCommitmentLetter.

（iii）TheobligationofBBBtoissueandsellthe_________sharesofBBBClassACommonStockpursuanttoclause（i）aboveissubjectonlytothefollowing:

（A）therepresentationsandwarrantiesofTheTrustcontainedinSection13.01（b）shallbetrueandcorrectinallmaterialrespectsasofthedatehereofandasoftheClosingDateand（B）allconditionsprecedenttotheClosingundertheRedemptionandPurchaseAgreementshallhavebeensatisfiedorwaivedbytheapplicablepartiestotheRedemptionandPurchaseAgreement.

（b）SubjecttotheCommonStockClosingsimultaneouslyoccurring,CCCherebyagreestoissuetoTheTrustattheCommonStockClosingwarrants（the"

InitialWarrants"

）topurchase_________sharesofClassACommonStock.TheInitialWarrantswillbeintheformofExhibitAhereto.

（c）SubjecttotheCommonStockClosingsimultaneouslyoccurring,CCCherebyagreestoissuetoTheTrustattheCommonStockClosingwarrants（the"

（d）SubjecttotheCommonStockClosingsimultaneouslyoccurring,CCCherebyagreestoissuetoTheTrustattheCommonStockClosingwarrants（the"

10xWarrants,"

and,collectivelywiththeInitialWarrantsandthe5xWarrants,the"

Warrants"

）topurchase_________sharesofMUXClassACommonStock.The10xWarrantswillbeintheformofExhibitChereto.

（e）SeedmanagreestocauseTheTrusttoperformitsobligationsunderSection2.01（a）.

SECTION3.01.ExclusiveBasis,Nonsolicitation.DuringtheTermandforoneyearthereafter,Seedmanshallnot,andshallcausehisAffiliatesnotto,directlyorindirectly（otherthanasanemployeeoforconsultanttoBBBand/orCCC）:

（a）solicitorattempttosolicitanybusinessfromanyofBBBorCCC（oranyoftheirrespectivesubsidiaries'

）customersorclients,including,withoutlimitation,activelysoughtprospectivecustomersorclients,forpurposesofprovidingproductsorservicesthatarecompetitivewithBBB'

sorCCC'

s（oranyoftheirrespectivesubsidiaries'

）productsorservices;

or

（b）（i）solicitforemploymentorforuseasaconsultantanyemployeesofAAA,BBB,CCCoranyoftheirrespectiveAffiliates,（ii）solicitorencourageanyemployeeofAAA,BBB,CCCoranyoftheirrespectiveAffiliatestoleavetheemploymentofAAA,BBB,CCCoranysuchAffiliateor（iii）otherwiseintentionallyinterferewiththerelationshipofAAA,BBBCCCoranyoftheirAffiliateswithanypersonorentitywhoorwhichisemployedbyorotherwiseengagedtoperformservicesforAAA,BBB,CCCoranysuchAffiliate.TheprovisionsofthisSection3.01（b）shallnotpreventSeedmanoranyofhisAffiliatesfromhiringanypersonwhocontactsSeedmanorsuchaffiliateonanon-solicitedbasisorwhorespondstoahelpwantedorsimilaradnotspecificallytargetedtosuchperson.

SECTION4.01.ConfidentialInformation.DuringthetermofthisAgreementandforoneyearthereafter,exceptasmayberequiredbylaw,Seedmanshallnot,andshallcausehisAffiliatesnotto,useordisclose,orknowinglypermitanyrepresentativeofSeedmanoranyofhisAffiliatestouseordiscloseanyinformation（whetherornotinwrittenform）whichrelatestoAAA,BBB,CCCoranyoftheirAffiliatesoranyoftheirrespectivebusinessesorproductsorthisAgreementandwhichisnotknowntothepublicgenerally,exceptintheconductofthebusinessofBBB.

SECTION5.01.OptiontoPurchaseSharesandWarrants.

（a）IfSeedman'

spositionasadirectoristerminatedpursuanttoSection11.01（a）or（c）,BBBandCCC,jointlyandseverally,shallhaveanoptiontopurchasealloranyportionof（i）theCommonStock（the"

Shares"

）thenheldbyTheTrustatapurchasepriceequaltotheFairMarketValueofsuchShares（determinedinaccordancewithSection5.01（b））asofthedateofsuchterminationand（ii）theWarrantsthathavenotterminatedandarethenheldbyTheTrustatapurchasepriceequaltotheproductof（x）theFairMarketValueperShare（determinedinaccordancewithSection5.01（b））asofthedateofsuchtermination）minustheexercisepricepershareofCommonStockpursuanttotheWarrantsbeingpurchasedmultipliedby（y）thenumberofsharesofCommonStockissuableuponexerciseoftheWarrantsbeingpurchased.BBBorCCC,asthecasemaybe,shallwithin90daysofsuchdateo
