Whereas,theprojectcontemplatedbythisAgreementisofmutualinterestandbenefittoUniversityandtoSponsorandwillfurtherinstructionalandresearchprojectobjectivesofUniversityinamannerconsistentwithitsstatusasanon-profit,tax-exempteducationalinstitution.

Now,therefore,thepartiesheretoagreeasfollows:

1.STATEMENTOFWORK.?

TheUniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinAppendixAhereof.

2.PRINCIPALINVESTIGATOR/PROJECTDIRECTOR.?

Theprojectwillbedirectedby（PI/PDName）.?

If,foranyreason,（s）heisunabletocontinuetoserveasprincipalinvestigator/projectdirectorandamutuallyacceptablesuccessorisnotavailable,Universityand/orSponsorshallhavetheoptiontoterminatesaidprograminaccordancewithClause15-TERMINATION.

3.PERIODOFPERFORMANCE.?

Theprojectshallbeconductedduringtheperiodof（StartDateandEndDate）andwillbesubjecttorenewalonlybymutualagreementoftheparties.

4.PROJECTCOSTSANDPAYMENT.?

Inconsiderationoftheforegoing,SponsorwillpayUniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccounting.Paymentshallnotexceedthetotalestimatedcostof（EnterAmount）.?

Sponsorshallmakepayment（withinthirty（30）daysofthereceiptofaninvoicefromUniversity）or（shallpay$___________uponthefullexecutionofthisagreementand$__________onorabout[date]）.

5.REPORTS.?

BriefprogressreportsoftheprojectwillbemadeperiodicallybyUniversitytoSponsorandafinalreportwillberenderedoncompletionoftheproject.?

DuringthetermofthisAgreement,representativesofUniversitywillconsultand/ormeetwithrepresentativesofSponsortodiscussprogressandresults,aswellasongoingplansoftheprojectandUniversitywillprovideprojectinformationtoSponsorasreasonablyrequested.

6.FACILITIES.?

TheUniversitywillprovidetheutilitiesandoffice,laboratoryandfieldspaceneededfortheproject.

7.PROPERTY.?

AllequipmentdetailedintheprojectbudgetandpurchasedfromthisfundshallbethepropertyoftheUniversity.

8.PUBLICITY.?

SponsorwillnotusethenameofUniversity,norofanymemberofUniversity'

sprojectstaff,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofanauthorizedrepresentativeofUniversity.?

UniversitywillnotusethenameofSponsor,noranyemployeeofSponsor,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofSponsor.

9.INSURANCE.?

Universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyUniversity.?

TheUniversityhasnoliabilityinsurancepolicyassuchthatcanextendprotectiontoanyotherperson.

10.BACKGROUNDINTELLECTUALPROPERTY.?

BackgroundIntellectualProperty"

meanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisAgreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembodyingproprietarydatasuchastechnicaldataandcomputersoftware.

BothpartiesagreetoprovidetheBackgroundIntellectualPropertynecessarytocompletetheobjectivesoftheproject.?

BothpartiesshallretainallrightstotheirrespectiveBackgroundIntellectualPropertyprovidedforthispurpose.?

Neitherpartyshallassumeanyrightsintheotherparty'

sBackgroundIntellectualPropertyprovidedforthisprojectotherthantherighttousesaidBackgroundIntellectualPropertytoachievetheobjectivesofthisproject.

11.PROJECTINTELLECTUALPROPERTY.?

ProjectIntellectualProperty"

meansthelegalrightsrelatingtoinventions（includingSubjectInventionsasdefinedin37CFR401）,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingcomputersoftware,firstmadeorgeneratedduringtheperformanceofthisAgreement.

OwnershipofProjectIntellectualPropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursuedreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense.?

JointlymadeorgeneratedProjectIntellectualPropertyshallbejointlyownedbythePartiesunlessotherwiseagreedinwriting.ThePartiesagreetodisclosetoeachother,inwriting,eachandeveryInventionwhichmaybepatentableorotherwiseprotectableundertheUnitedStatesPatentlawsinTitle35,UnitedStatesCode.ThePartiesacknowledgethattheywilldiscloseInventionstoeachotherandtheawardingagencywithintwo

（2）monthsaftertheirrespectiveinventor（s）firstdisclosetheinventioninwritingtotheperson（s）responsibleforpatentmattersofthedisclosingparty.?

AllwrittendisclosuresofsuchInventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35U.S.C.205.

SponsorshallreceivethefirstoptiontonegotiateforalicensetocommercializetheProjectIntellectualPropertyofUniversity,subjecttoanyrightsoftheGovernmenttherein.?

SponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoProjectIntellectualPropertyofUniversity,foraninitialoptionperiodofthree（3）monthsaftersuchinventionhasbeenreportedtoSponsor.?

ThetermsofsubsequentlicensingagreementsforUniversityownedand/orJointlyownedIntellectualPropertywillbenegotiatedingoodfaithandbymutualagreementbythePartiestothisAgreement.

12.CONFIDENTIALITY/PUBLICATIONS.?

DuringthetermofthisAgreement,andforaperiodoffive（5）yearsthereafter,eachpartywillmaintaininconfidenceallconfidentialBackgroundIntellectualPropertyandProjectIntellectualPropertyofaparty,aswellasallotherConfidentialInformationofapartydisclosedbythatpartytotheotherinconnectionwiththisProject.?

Neitherpartywilluse,discloseorgrantuseofsuchConfidentialInformationexceptasrequiredtoperformunderthisAgreement.?

EachpartywilluseatleastthesamestandardofcareasitusestoprotectitsownConfidentialInformationtoinsurethatstudents,interns,employees,agentsandconsultantsdonotdiscloseormakeanyunauthorizeduseofsuchConfidentialInformation.?

Anystudent,intern,employee,agentorconsultantofthereceivingpartymustbenotifiedoftherestrictionsontheuseofthedisclosingparty'

sConfidentialInformationandmustagreewiththoserestrictionsbeforebeingallowedaccesstotheConfidentialInformation.?

EachpartywillpromptlynotifytheotherupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformation.

Eitherpartymaypublishitsresultsfromthisproject.?

However,thepublishingpartywillprovidetheotherpartyathirty（30）dayperiodinwhichtoreviewproposedpublications,identifyproprietaryorconfidentialinformation,andsubmitcomments.?

Thepublishingpartywillnotpublishorotherwisediscloseproprietaryorconfidentialinformationinaccordancewiththeproceduresdescribedinthisarticleandthepublishingpartywillgivefullconsiderationtoallcommentsbeforepublication.?

Furthermore,uponrequestofthereviewingparty,publicationwillbedeferredforuptosixty（60）additionaldaysforpreparationandfilingofaPatentapplicationwhichthereviewingpartyhastherighttofileortohavefiledatitsrequestbythepublishingparty.

13.MODIFICATION.?

AnyagreementtochangethetermsofthisAgreementinanywayshallbevalidwhenthechangeismadeinwritingandapprovedbyauthorizedrepresentativesofthepartieshereto.

15.TERMINATION.?

PerformanceunderthisAgreementmaybeterminatedbySponsoruponathirtydayadvance,writtennotice.?

IntheeventofearlyterminationofthisAgreementbySponsor,SponsorshallpayallcostsaccruedbyUniversityasofthedateofthenoticeoftermination,includingnon-cancelableobligations,whichshallincludeallnon-cancelablecontractsandfellowshipsorpostdoctoralassociateappointmentscalledforinAppendixA.?

Inaddition,SponsorwillpayallotherreasonablecostsincurredbytheUniversityduringthetimeperiodbetweenthenotificationdateandtheterminationdate,whicharenecessarytoterminatetheproject.?

AnyobligationofsponsorforfellowshipsorpostdoctoralassociatesshallendnolaterthantheendofUniversity'
