甲、乙双方本着互利互惠，诚实守信，优势互补的原则，经过友好协商，就甲方对于xxxxxxx合作事宜，达成如下协议：

如果一方不能按照本协议执行而给另一方造成了损失，受害方有权利要求对方给予相应的赔偿。

Ifanypartyisunabletoperformthisagreementandcausedthelossoftheotherparty,thevictimhastherighttoaskforthecorrespondingcompensation.

5.违约救济

RemediesforBreachofContract

Exceptasotherwiseprovidedherein,ifaParty（“breachingparty”）failstoperformanyofitsmaterialobligationsunderthisContact,thentheotherParty（“aggrievedparty”）mayatitsoption:

除本合同其他条款另有规定外，如果一方（“违约方”）未履行其在本合同项下某项主要义务，则对方（“受损害方”）除享有有关法律赋予的权利外，还可选择采取以下救济措施：

（a）givewrittennoticetothebreachingpartydescribingthenatureandscopeofthebreachanddemandthatthebreachingpartycurethebreachatitscostwithinareasonabletimespecifiedinthenotice（“CurePeriod”）;

and

向违约方发出书面通知，说明违约的性质以及范围，并且要求违约方在通知中规定的合理期限内自费予以补救；

并且

（b）ifthebreachingpartyfailstocurethebreachwithintheCureperiod,theninadditiontoitsotherrightsunderArticle.1（c）（i）（Termination）orApplicableLaws,theaggrievedpartymayclaimdirectandforeseeabledamagesarisingfromthebreach.

如果违约方未在该书面通知中规定的补救期内予以补救，则受损害方可就违约引起的可以预见的直接损失提出索赔。

6.不可抗力的后果

ConsequencesofForceMajeure

（1）“不可抗力”指超出本合同双方控制范围的、无法预见并且无法避免或无法克服的事件，该事件使得本合同一方部分或者完全不能履行本合同。

这类事件包括但不限地地震、台风、洪水、火灾、战争、罢工、暴动、政府行为、法律规定或者其适用发生变化，或者其他任何无法预见、避免或者控制的事件，包括在国际商务初中中通常认定为不可抗力的事件。

（a）“ForceMajeure”shallmeanalleentswhicharebeyondthecontrolofthePartiestothisContract,andwhichareunforeseen,unavoidableorinsurmountable,andwhichpreventtotalorpartialperformancebyeitheroftheParties.Sucheventsshallincludeearthquakes,typhoons,flood,fire,war,strikes,riots,actsofgovernments,changesinlawortheapplicationthereoforanyotherinstanceswhichcannotbeforeseens,preventedorcontrolled,includinginstanceswhichareacceptedasForceMajeureingeneralinternationalcommercialpractice.

（2）如果发和不可抗力事件，一方在本合同项下受不可抗力影响的义务在不可抗力造成的延误期间自动中止，并且其履行期限应自动延长，延长期间为中止的期间，该方无须为此承担违约责任。

（b）ifaneventofForceMajeureoccurs,aParty’scontractualobligationsaffectedbysuchaneventunderthisContractshallbesuspendedduringtheperiodofdelaycausedbytheForceMajeureandshallbeautomaticallyextended,withoutpenalty,foraperiodequaltosuchsuspension.

（3）提出受不可抗力影响的一方应及时书面通知对方，并且在随后的[十五（15）]日内向对方提供不可抗力发生以及持续期间的充分证据。

提出受不可抗力影响的一方还应尽一切合理的努力排除不可抗力。

（c）ThePartyclaimingForceMajeureshallpromptlyinformtheotherPartiesinwritingandshallfurnishwithin[fifteen（15）]daysthereaftersufficientproofoftheoccurrenceanddurationofsuchForceMajeure.ThePartyclaimingForceMajeureshallalsouseallreasonableendeavourstoterminatetheForceMajeure.

（4）发生不可抗力的，双方应立即进行磋商，寻求一项公正的解决方案，并且要尽一切合理的努力将不可抗的的影响降至最小。

（d）IntheeventofForceMajeure,thePartiesshallimmediatelyconsultwitheachotherinordertofindanequitablesolutionandshalluseallreasonableendeavourstominimizetheconsequencesofsuchForceMajeure.

7.转让和保密

Assignmentandconfidentiality

（1）未经过对方同意不得将本协议规定的责任、义务向第三方转让；

Withouttheagreementoftheotherparty,theresponsibilityandobligationofthiscooperationagreementshouldnotbetransferredtothirdparty.

（2）合作项目的有关信息、各种资料文件和价格等，甲、乙双方应对第三方保密，不得以任何理由或方式泄密，因泄密造成的一切经济损失由泄密方负责。

Bothpartiesshouldkeepsecretsaboutallkindsofinformation,documentsandpriceof52MWcooperationproject.Thepartywhodivulgesecretshouldtaketheresponsibilityofeconomiclosscausebytheleak.

（3）甲乙双方的应互相保守双方的商业秘密，不得随意透漏给第三方。

Bothpartiesshouldkeepbusinesssecretsanddonotreleasetothethirdparty.

8.合同条例和争议

Dispute

（1）本合同的订立、解释及争议的解决适用于中华人民共和国相关法律；

Theformationandexplanationofthiscontract,settlementofdisputesisapplicablelawsrelatedtoPeople'

sRepublicofChina;

（2）所有因中、英文版本引起的矛盾及争议，以中文版本为准。

AnycontradictionbetweenChineseandEnglishversion,Chineseversionshallprevail.

（3）甲、乙双方将本着友好协商的原则解决由本协议所引发的一切争端,如果通过协商不能达成共识，上诉甲方所在地法院裁决。

Bothpartieswillnegotiatealldisputeswiththeprincipleoffriendlyprinciple.Ifnotbeingreachedanagreement,bothpartiescanappealtoPartyADistrictCourt,P.R.C.

9.合同份数和合同生效

CopyNumbersandEffectionofContract

本协议书一式四份，双方各持有两份，附件及相关的其他条款均具有同等法律效力。

Thisagreementisinquadruplication,bothsidesholdtwocopies,andaccessoriesandrelatedtermshavetheequallegaleffect.

10.未尽事项FurtherMatter

本协议中的未尽事宜，双方将友好协商解决并签署补充协议或其它书面文件。

Bothpartiesexpecttosignadditionalsupplementarycontractsonfutureissuesrelatingtothiscontract.
