MASTERPURCHASEAGREEMENT

本总采购协议（下称“协议”）于2015年9月1日签署：

ThisMASTERPURCHASEAGREEMENT（the“Agreement”）isexecutedonthe[First]dayof[September]201[5],

太美薯业有限公司，一家在中华人民共和国设立的公司，主要营业地址是内蒙古乌兰察布市商都县轻工业园区（省际通道北）（下称“太美”）。

TaiMeiPotatoIndustryLimited,acompanyestablishedinthePeople’sRepublicofChina,withitsprincipalofficeatLightIndustryPark（ProvincialPassNorth）,ShangduCounty,Ulanqab,InnerMongolia（“TaiMei”）;

和

AND

[国际纸业（呼和浩特）包装有限公司]，一家依据中华人民共和国法律设立的有限责任公司，其注册地址为[内蒙古自区呼和浩特市金山经济技术开发区]，已于商业登记处或类似登记机构进行注册，注册号码为[150********1341]（下称“供货商”），其正式授权代表为[李伟峰总经理]；

[InternationalPaper（Hohhot）Packagingco.,ltd]a[Limitedliabilitycompany]underthelawsof[ThePeople'sRepublicofChina],withitsprincipalorlegaladdressat[JinshanEconomic-TechnologicalDevelopmentZone,Hohhot,InnerMongolia,China],registeredintheCommercialRegisteroritsequivalentunderthenumber[150********1341]（the“Company”）representedby[GM,Mr.LiWeifeng],dulyauthorizedtorepresentCompany;

（上述各方分别称为“一方”，合称为“双方”）。

鉴于：

WHEREAS:

太美薯业希望根据本协议的条款和条件向供货商购买产品（及相关服务），而供货商同样希望根据该等条款和条件向太美提供产品（及相关服务）。

TaiMeidesirestopurchasefromtheCompanyandtheCompanydesirestosupplytoTaiMeicertainProductitems（andrelatedservice）onanongoingbasispursuanttothetermsandconditionsofthisAgreement.

因此，双方约定如下：

1.释义

INTERPRETATION

在本协议及与之相关的任何其他通信中，除非文意另有所指，标题仅为便于查考而设，不影响其释义；任何短语使用“包括”、“尤指”、“例如”或类似词语进行解释时，应视为举例说明，未包括所有情形。

InthisAgreementandinanyothercommunicationsentinrelationhereto,unlessthecontextotherwiserequires,theheadingsareforeaseofreferenceanddonotaffectitsinterpretationandanyphraseintroducedbytheterms"including,”"include,”"inparticular,”“forexample”oranysimilarexpressionshallbeconstruedasillustrativeandnotasexhaustive.

2.定义

DEFINITIONS

2.1在本协议及任何其他相关通信中，除非文意另有所指，所有定义的术语，其含义依下文所述（下称“定义”）。

未定义的术语，其含义参见本协议他处作出的解释。

InthisAgreementandanyothercommunicationinrelationhereto,unlessthecontextotherwiserequires,alldefinitionsshallhavethemeaningsetoutbelow（the“Definitions”）.TermsotherwiseundefinedshallhavethemeaninggiventothemelsewhereinthisAgreement.

2.1.1“关联方”是指控制一方、受其控制或与之共同受控的实体。

由任何个人或实体“控制”，是指经表决、特许、私人协议或安排，处理他方事项的权力。

“AffiliatedCompanies”meansanyentitywhichcontrols,iscontrolledbyorisundercommoncontrolwithaparty.“Control”byanypersonorentityshallmeanthepower,whetherbyvoting,underthecharter,byprivateagreementorarrangement,toconducttheaffairsofanotherparty.

2.1.2“日”是指任何日历日。

“Day”meansacalendarday.

2.1.3“指定场所”是指太美在采购订单中指定的的产品交付地点。

“Facility”meanstheplaceofdeliveryforProductsdesignatedbyTaiMeiinthePurchaseOrder.

2.1.4“不可抗力事件”是指超出受影响方控制，妨碍其履行本协议项下主要义务，且不可预见的任何天灾或类似灾害、政府行为、恐怖主义、战争、破坏行动、爆炸、传染病或任何其他灾难。

“ForceMajeureEvent”meansanyunforeseeableactsofGodornature,actionsofanygovernmentalauthority,terrorism,war,sabotage,explosion,epidemicoranyothersuchcatastrophebeyondthecontroloftheaffectedPartywhichpreventsitsperformanceofanymaterialobligationunderthisAgreement.

2.1.5“知识产权”或“IP”是指i）现在正在或今后将要使用的，且ii）太美和/或其任何关联方持有或经授权使用的名称、商标、商号、商品外观、服务标记、识别符号、专利、外观设计、著作权、发明（不管可获专利与否）、商业秘密或保密信息，以及任何其他知识和/或工业产权

“IPRights”meansrightsinandtoanyintellectualpropertywhetherregistrableornotincludingnames,trademarks,tradenames,tradedress,servicemarks,insignias,designs,worksofauthorship,inventions,whetherpatentableornot,tradesecretorconfidentialinformation,andanyotherintellectualand/orindustrialproperty

2.1.6“价格”是指太美根据本协议的条款，应就附件A所列产品向供货商支付的产品款项。

“Price”meanstheamountpayablebyTaiMeitoCompanyfortheProductsunderthetermsofthisAgreementandlistedonExhibitA.

2.1.7“产品”是指符合附件A的描述和数量的物品，太美可不时对之进行变更。

“Products”meansthoseitemsofthedescriptionandquantitydescribedonExhibitA,whichfromtimetotimecanbeamendedbyTaiMei.

2.1.8“采购订单”是指太美向供货商发出的、订购本协议项下产品的书面采购订单文件，以及经引证并入该等书面采购订单文件的任何文件。

“PurchaseOrder”meansTaiMei’swrittenpurchaseorderformissuedtoCompanyforProductshereunderandanydocumentsincorporatedthereinbyreference.

2.1.9为本协议之目的，“服务”应指供货商履行的、与供货相关的服务，详见附件A。

“Services”ifusedinthisAgreementshallmeanthoseServicesperformedinfurtheranceofCompany’sobligationtosupplyProductsassetoutonExhibitA.

2.1.10“规格要求”是指双方根据太美的质量要求，以及附件B规定的与产品有关的任何计划、图纸、数据及其他信息。

“Specifications”includesthosespecificationsmutuallyagreedtobythePartiesalongwithTaiMei’squalityrequirement,anyplans,drawings,dataandotherinformationrelatingtoProductsincludedinExhibitB.

3.有效期

TERM

本协议自2015年9月1日起生效，有效期为一

（1）年，但根据第29条终止条款提前解除的除外。

协议双方可通过签署修订文本的方式续展本协议；但是，如果双方虽未签署修订文本但仍需在本协议终止之后继续进行交易，则本协议的条款将继续适用于所有该等交易。
