AGREEMENTFORSUBCONTRACTEDSERVICES

ThisAgreement（hereinafterreferredtoas“Agreement”）hasbeenmadeonthis1stdayofMay,2007

BETWEEN

XXXOy（hereinafterreferredtoas“XXX”）,acompanyincorporatedinaccordancewiththelawsofFinland,andhavingitsprincipalofficeatKaraportti3,POBox1,FI-02022XXX,Finland

AND

YYY（International）Limited（hereinafterreferredtoasthe“Subcontractor”）,aHongKongcompanyincorporatedinaccordancewiththelawsofHongKong,andhavingitsregisteredofficeat3203-3205greatEagleCenter,23HarbourRoad,Wanchai,HongKong

WITNESSETHTHAT

WHEREAS,XXXwishestosubcontractcertainservicesrelatedtoitsoritsAffiliate'stelecommunicationprojects,

WHEREAStheSubcontractoragreestoprovidesuchservicesunderthetermsandconditionssetoutinthisAgreement,

NOWTHEREFOREthepartieshereto,agreeasfollows:

ARTICLE1.DEFINITIONSANDINTERPRETATION

1.1 “Affiliate”shallmeananentity,whichisadirectorindirectsubsidiaryorJointVentureofXXXorXXXOy.

1.2“Customer”shallmeananypersonorentitywithwhichXXXoritsAffiliateshaveenteredintoagreementontheprovisionoftelecommunicationequipmentand/orservices.

1.3“Personnel”shallmeananypersonorpersonsemployedbytheSubcontractorforthepurposeofcarryingouttheSubcontractedServices.

1.4"SiteAcceptanceCertificate"shallmeanacceptanceissuedindividuallyforeachSitebyXXXtotheSubcontractorforapprovaloffullycompletedservicesandsitefolder.

1.5"PAC"shallmeanProvisional/ConditionalAcceptanceCertificateissuedbyCustomertoXXXaftersuccessfulcompletionoftheproject.

1.6"Commissioning"shallmeanallactivitiesrelatedtotheconfigurationofEquipmenttobereadytobeconnectedtootherEquipmentandincludestestingofapieceofEquipmentisolatedfromotherEquipment

1.7"Agreement"shallmeanthisSubcontractandallitsappendicesincludinganyPurchaseOrdersissuedpursuanttothisAgreementaswellasanyamendmentsthatmaysubsequentlybeagreeduponbetweentheParties.

1.8“Day”shallmeananycalendardayincludinganySaturday,Sunday,bank-andpublicholiday.

1.9“Equipment”shallmeanhardwareandsoftware（togetherwiththenecessarysoftwaremanualsandotherequipmentspecificdocumentation）providedbyXXXunderMainAgreementandtobeinstalledatSiteincludingwithoutseparateitemisationinstallationmaterialsandconsumablesthatisnecessaryforsuchInstallation.

1.10“Installation”shallmeantheinstallationoftheEquipmentasfurtherdescribedintherespectiveInstallationmanual.

1.11“Integration”shallmeantheactivitiesnecessaryfortheEquipmenttobeconfiguredandconnectedtotheSystem.

1.12"MainContractorMainAgreement"shallmeantheagreementconcludedbetweenXXXandCustomerforsupplyoftheSystem（specify）inHongKongorMacau.

1.13"XXXInformation"shallmeanXXX’sand/orCustomer'stechnical,financialandcommercialinformationanddatarelatingtotheirrespectivebusinesses,finances,planning,facilities,products,techniquesandprocessesandshallinclude,butisnotlimitedto,discoveries,ideas,concepts,know-how,techniques,designs,specifications,drawings,blueprints,tracings,diagrams,models,samples,flowcharts,data,computerprograms,disks,diskettes,tapes,marketingplans,customernamesandothertechnical,financialorcommercialinformationandintellectualproperties,whetherinwritingorothertangibleorinoralform.

1.14"Party"shallmeantheSubcontractorandXXX,respectively.

1.15"Site"shallmeanNewSiteorExpansionSiteinHongKongorMacauwheretheSubcontractedServiceswillbeperformed.

1.16"NewSite"shallmeaneachphysicallocationwhereanewsetofEquipmentwillbeentirelyimplemented.
