BothPartiesagreethatPartyAshallselltheproductsbyOEM,Meanwhile,PartyBshalldevelop、
manufactureandprovide,byOEM,Productswiththebrand
designatedbyPartyA（the“Products”）.
合作方式:
双方同意A方以OEM方式销售合作产品，B方采用
OEM方式研发、生产并提供合作产品，合作产品的商标由A方授
权。
1.2Definitions:
定义:
1.2.1Products:
合作产品:
是指B方根据A方或A方客户要求设计、研发、生
产的产品;
1.2.2OEM:
TheProductswiththebranddesignatedbyPartyAshallbetechnicallybasedontheproductsdevelopedanddesignedbyPartyBandapprovedbyPartyA.
OEM方式:
指A方授权B方在产品或产品的载体上印制A方名
称和商标，同时A方也有权禁止B方将其名称和商标印制在产品
上;
1.2.3PurchaseOrder:
订单:
指A方出具的用于向B方订购产品的正式文件。
1.3Duration:
ThisAgreementshallbeforaperiodof[]yearsfromthedateofexecutionunlessterminatedearlierinaccordancewiththeprovisionsofthisContract.
协议有效期:
本协议自签订之日起生效，有效期为年。
本协议
自有效期满时终止或本协议中约定的终止情况发生时终止。
Section2.BrandandTrademark:
第二条:
商标
2.1PartyAgrantsPartyBtousetheBrandandTrademarkontheproducts.A方授权B方在合作产品上使用A方名称和商标。
2.2PartyBundertakesnottousetheTradeMarkinanywaywithoutthe
expressedapprovalofPartyA.TheTradeMarkcanonlybeusedinproductsasapprovedbyparties.B方按双方约定范围和方式使用
A方提供的名称和商标，不侵犯A方名称或商标。
2.3PartyAwarrantsthattheBrandandTrademarkdonotinfringeanyadmissibleintellectualpropertyrightofanythirdparty,Otherwise,PartyAshallindemnifyPartyB?
slossanddamageresultfromsuchinfringement（includingbutnotlimitedtoattorneyfee,anypenalty,damageorcompensation）.A方保证其提供的名称和
商标等不侵犯任何人的权利，若B方因产品侵权而导致的一切损
失（包括但不限于直接经济损失、律师费等），A方应予以赔偿。
2.4PartyAshallprovidePartyBwiththecorrespondingbrandsymbol,brandLOGOimageandotherrelevantbrandand/ordesign.ThecostofputtingthebrandontheProductsshallbefortheaccountofPartyB.
A方应当将相应的商标、商标LOGO设计以及其他相关的商标或
设计提供给B方。
将商标印制在产品上的费用由B方承担。
Section3.Products,QualityStandards
第三条:
产品质量标准
PartyBherebyguaranteesthattheProductsprovidedtoPartyAwillcomplywiththequalitystandardsprovidedinthisAgreement,countrystandards,PartyA?
sfactorystandardorasmaybeagreeduponinwritingbybothparties.Iftheliabilityoftheproduct?
squalityiscausedbyA?
sdirections,Bwillnotbewithresponsibilityfortheliability.
B方承诺，提供给A方的产品符合本协议约定的质量标准或B
方的工厂标准或者双方书面同意的标准。
如果产品的质量责任是由A方的指示造成的，B方不承担相关
责任.
Section4.RightsandObligations
第四条:
双方的权利与义务
4.1PartyAwarrantsthatitshallnotdivulgerelevanttechnicalmaterialstoathirdparty.IncaseofviolationbyPartyAofitswarranty,PartyBshallhavetherighttoterminatethisAgreementimmediatelybygivingwrittennoticetoPartyA.
A方承诺，不会将所获悉的B方的相关技术资料泄露给第三方。
如果A方违反其承诺，B方在书面通知A方后有权立刻终止本协
议，并要求A方赔偿由此引起的一切损失。
4.2PartyAfurtherwarrantsthatitwillnotdismantleordissecttheProductsorcounterfeittheProducts.Incaseofviolationby
PartyAofitswarranty,PartyBshallhavetherighttoterminatethisAgreementimmediatelybygivingwrittennoticetoPartyA.WhentheIntellectualPropertyRightsofPartyBisviolated,PartyBshallhavetherighttoclaimthelegaland/oreconomiccompensationfromthePartyA.
A方进一步承诺，不拆解产品或者仿冒产品。
如果A方违反其承
诺，B方在书面通知A方后有权立刻终止本协议。
并且B方有权
要求A方给予经济赔偿。
4.3PartyBwarrantsthatitshallnotdirectlyorindirectlycontactwithPartyA?
scustomerorsellproduct,whetherdirectlyorindirectlytoPartyA?
scustomer.ExcepttheapprovalofPartyA.B方保证，不直接或间接和A方客户联系，并且不直接或间
接向A方客户销售产品，A方同意除外。
4.4PartyBwarrantsthattheProductdonotinfringeanyadmissibleintellectualpropertyrightofanythirdparty,including,butnotlimitedto,copyright,patentand/ortradesecret.B方保证，
OEM产品不侵犯任何第三方的知识产权，包括但不限于，著作权、
专利权或商业秘密。
4.5PartyBwarrantsandshallprovidethetechnicalmaterialscoveringtheProductsandshallhelpPartyAfinishthecorrespondingadvertisingmaterialsandmanuals.B方保证，提供有
关产品的技术资料，协助A方完成相应的说明资料和手册.
4.6PartyBwarrantsandshallprovidePartyAwithrelevantwritteninstructionscoveringtechnicalproblemsundertheUser?
sService.B方保证，在用户服务中向A方提供相关的书面的技术问
题的说明。
4.7PartyBwarrantsandshallinformPartyAofanyanewproduct.B方保证，在有任何新产品时将通知A方。
Section5.IntellectualProperty.
第五条:
知识产权
5.1TheIntellectualPropertyoftheBrandandTrademarkbelongstoPartyA，theinfringementandallexpensebecauseofthebandandtrademarkshouldbecompensatedbyA
合作产品中的商标的知识产权由A方享有,因商标产生的侵权责
任及全部损失由A方承担。
5.2TheIntellectualPropertyoftheProductsbelongstoPartyB，
excepttheBrandandTrademark.合作产品除商标权外的知识产权
由B方享有。
Section6.Order.
第六条:
订货
6.1ThePurchaseOrdersentbyPartyA,shouldincludetheproductname、price、quantity、shipment、insurance、paymentand
soon.AndPartyBshouldacceptorrefuseorrequesttochangeitin5work-days.对于每一单合作产品的订货，A方向B方发出订单，
订单内容应包括产品名称、价格、数量、装运方式、保险、付款
方式等。
对订单内容，B方在5个工作日内表示接受或拒绝或要
求变更。

文）ncePartyBacceptthepurchaseorder,PartyAcannotchangeorcancelitwithouttheapprovalofPartyB.在B方接受订单后，A方
不得随意变更或取消订单，若需变更需征得B方同意。
Section7.Payment
第七条:
付款方式
7.1ThepaymentshallbepaidbyPartyAtoPartyBunderanirrevocableletterofcreditwithinseven（7）daysafterPartyBhasreceivedPurchaseOrderfromPartyA.在B方接受订单后的7日
内，A方应向B方开出不可撤消即期信用证。
Section8.Termination
第八条:
协议终止
8.1EitherPartymayterminatethisContract,bygivinga60dayspriorwritten
noticetotheotherParty.任何一方均可以提前终止本协议，只需
提前60天书面通知对方即可。
8.2Withoutprejudicetoeitherparties?
otherremedies,eitherpartyshallhavetherighttoterminatetheContractforthwithif:
若
不影响一方采取其他补救措施时，另一方均有权根据以下条款终
止合同:
a）AnypartycommitsamaterialbreachorpersistentbreachesoftheContractandfailstoremedythebreachwithin7daysofreceivingofwrittennoticetodoso;
or一方构成重大违约或惯常违
约，且在接到对方书面通知后的7天内没有采取修正措施;
或者
b）Anypartybecomesinsolvent,ceasestotrade,compoundwithitscredits,commitsanactofbankruptcy,orabankruptcypetitionorbankruptcyorderispresentedorhasareceiverappointed,oraresolutionorpetitiontowindupthePartyispassedorpresented（otherwisethanforreconstructionoramalgamation）.一方无能力继
续履行合同、信用损毁、面临破产或受破产的申请或命令，或被
指定接管，或者结束该方的决议或申请被通过或提交（除重组和
合并之外）。
Section9.ForceMajeure
第九条:
不可抗力
9.1ForceMajeureshallmeanalleventswhicharebeyondthecontrolofthePartiestothisContract,andwhichareunforeseen,unavoidableorinsurmountable.Sucheventsshallincludeearthquakes,typhoons,flood,fire,war,strikes,riots,actsofgovernments,changesinlawortheapplicationthereoforanyotherinstanceswhichcannotbeforeseen,preventedorcontrolled,includinginstanceswhichareacceptedasForceMajeureingeneral
internationalcommercialpractice.
不可抗力事件是指不能预见、不能避免并不能克服的客观事件，
包括自然灾害、火灾、水灾、台风、海上风险和意外及其它恶劣
的天气状况、战争、动乱、暴乱、罢工、政府部门及其授权部门
的任何法律、命令、文告、法规、法令和要求及其它不能控制的
客观事件。
9.2ThePartyclaimingForceMajeureshallpromptlyinformtheotherPartiesinwritingandshallfurnishsufficientproofoftheoccurrenceanddurationofsuchForceMajeure.任何一方在发生不
可抗力事件后应及时书面通知对方该事件的开始日期和预期持续
时间。
9.3Apartycannotclaimanycompensationand/ordamagesbasedondelayornon-fulfillmentofobligationsbytheotherpartyduetoforcemajeure.由于不可抗力事件，一方迟延或未完全履行合同义
务，另一方不能因此要求任何补偿或赔偿。
Section10.Confidentiality
第十条:
保密
ThePartiesshould:
（a）maintaintheconfidentialityofConfidentialInformation;
（b）notuseConfidentialInformationforanypurposesotherthanthosespecificallysetoutinthisContract;
and
（c）notdiscloseanysuchConfidentialInformationtoanypersonor
entity,excepttoitsemployeesoremployeesofitsAffiliates,itsagents,attorneys,accountantsand
otheradvisorswhoneedtoknowsuchinformationtoperformtheirresponsibilities
双方对在合作过程中所知悉的对方的商业秘密应严格保守，不
得透露给任何第三方或利用对方的商业秘密营利。
Section11.SettlementofDisputes.
第十一条:
法律与争议解决
11.1Thevalidity,interpretationandimplementationofthisContractshallbegovernedbythelawsofthePeople&

sRepublicofChina.本协议的订立、解释和履行均适用中华人民共和
国法律。
11.2Intheeventofanydispute,controversyorclaimarisingoutoforrelatingtothisContract,thePartiesshallattemptinthefirstinstancetoresolvesuchdisputethroughfriendlyconsultations.Intheeventthatnosettlementcanbereached,suchdisputesshallthenbesubmittedtoSHANGHAIforarbitration.因履行本协议产
生的纠纷，双方应友好协商解决;
若协商不成，双方一致同意提
交上海仲裁委员会进行仲裁。
Section12.ThiscontractisissuedinbothChineseandEnglish,theclausesinwhichhavethesameeffects.
第十二条本合同以中文和英文两种文字书就，两种文字的条款
具有同等效力。
