ShareExchangeAgreement换股协议-

THISSHAREEXCHANGEAGREEMENT（theAgreement）ismadeandenteredintoasof_________,_________,_________（M/D/Y）（theEffectiveDate）byandbetweenAAA,Inc.,a_________（state）corporation（theCompany）andBBB（sb）,thesoleshareholderofCCC,inc.,a_________（state）corporation（theShareholder）.

NOWTHEREFORE,inconsiderationofthemutualpromisesandthecovenantsandpromiseshereinaftercontained,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartieshereto,intendingtobelegallyboundhereby,agreeasfollows:

SECTION1.EXCHANGEOFSHARES.

1.1Exchange.OnthetermsandsubjecttotheconditionssetforthinthisAgreement,attheClosingtheShareholderwillsell,convey,transferandassigntotheCompany,andtheCompanywillpurchaseandacceptfromtheShareholderallright,titleandinterestinandtotheissuedandoutstandingsharesofcommonstockofCCC,inc.ownedbyShareholderinexchangefor_________sharesofrestrictedcommonstockoftheCompany.

1.2Assets.AsofthedateofClosing,theassetsofCCC,inc.shallconsistoftheContracts,IntellectualProperty,TangibleandIntangibleAssetsandRecordsandDocumentsdescribedinSection1.2（a）through（d）hereof（collectively,theAssets）,freeandclearofallliens.

（a）Contracts.AllrightsandbenefitsoftheShareholderunderallagreementsassociatedwiththeAssets,anyandallotherlicenseandotheragreements（ifany）,including,withoutlimitation,thosesetforthonSchedule1.2（a）.Contractsmeansallcontracts,agreementsandotherarrangementswhetherwrittenororal,towhichCCC,inc.isapartyastowhichthebreach,non-performance,failuretorenew,orcancellationcouldhaveamaterialadverseeffectontheAssets.

（b）IntellectualProperty.Allrights,titleandinterestinandto,allUnitedStatesandforeignlicenses,copyrights（registeredandunregistered）andcopyrightapplications,andComputerSoftwareandotherrightsassociatedwiththeforegoing,existingnoworinthefuturewithrespecttotheAssets,including,withoutlimitationtherighttosueforpastinfringementthereofandallotherproprietaryrightsthatCCC,inc.owns,licenses,orpossessestherighttousewithrespecttotheAssets（collectively,theIntellectualProperty）.TheIntellectualPropertyislistedonSchedule1.2（b）.ComputerSoftwaremeansallcomputersourcecodes,programs,datafiles,andothersoftware（includingbothapplicationssoftwareandoperatingsoftware）,includingallmachinereadablecode,printedlistingsofcode,documentation,andrelatedpropertyandinformationrelatingtotheAssets.

（c）TangibleandIntangibleAssets.AlltangibleandintangiblepersonalpropertyrightsofCCC,inc.inandtotheAssets（theTangibleandIntangibleAssets）,whicharereflectedonSchedule1.2（c）.

（d）RecordsandDocuments.Allbooks,records,files,papers,databases,andotherdata（whethersuchinformationisstoredinprint,onelectronicmedia,orpursuanttoanyaudioorvideorecording）locatedatCCC,inc.’sfacilitiesorelsewhereinCCC,inc.’scustodyorcontrol（directlyorindirectly）,orpertainingtotheAssets,allofwhicharereflectedonSchedule1.2（d）,exceptthatShareholdermayretainduplicatecopiesandcomputerfilesforthesolepurposeofreference,updatingandcorrection,butfornootherpurpose.

1.3ClosingDate.Theclosing（Closing）shalloccuronorbefore_________,_________,_________（M/D/Y）（theClosingDate）.TheClosingwilltakeplaceat10:

SECTION2.PURCHASEPRICE.

2.1PurchasePrice.TheCompanyshallconvey,transfer,assign90,000unregisteredsharesofcommonstockoftheCompany（CommonStock）inexchangeforalloftheissuedandoutstandingsharesofcommonstockofCCC,inc.heldbyShareholder.ThesharesofCommonStockmayresoldinthefutureunderRules144or144AundertheSecuritiesActof1933（theSecuritiesAct）,subjecttocompliancewithalloftheprovisionsoftheRules.Rule144providesthatsecuritiesmayberesoldafteraone-yearholdingperiodfromthedateofpaymentsubjecttocompliancewiththeRule.Amongotherthings,anordertosellthesecuritiesmayonlybeplacedafterForm144hasbeenmailedtotheSecuritiesandExchangeCommission,thesecuritiesmustbesoldtoorthroughabroker-dealer,thevolumelimitationsmustbemet（i.e.,thegreaterof1%oftheoutstandingsharesortheaverageweeklytradingvolumeforthefourweeksprecedingthefilingofForm144）andtherecanbenosolicitationofanybuyorders.Rule144Aappliestosalestoinstitutionswhicharequalifiedinstitutionalbuyers.
