AdvertisingServicesAgreement广告服务条约doc

AdvertisingServicesAgreement广告服务协议-

1.1Definitions.AsusedinthisAgreement,thefollowingtermsshallhavethemeaningsspecifiedbelow:

（a）AdSalesServiceshallmeantheservicesprovidedbyAAAonbehalfofBBBinrelationtotheWebSitepursuanttoArticleIII.

（b）AdvertisershallmeanaPersonwhoprovidesAdvertising,whetherdirectlyorthroughitsadvertisingagency,topromoteitself,itsbrandsortheproductsorservicesthatitoffers.

（c）AdvertiserContractshallmeananycontractwithanAdvertiser.

（d）AdvertisingorAdvertisementshallmeanmaterialthat（i）promotesabrandorproductsorservicesand（ii）isprovidedtoBBB（whetherdirectlyorthroughAAA）fordeliverytoUsers.AdvertisingorAdvertisementshallbeclassifiedeitherasaStandardAdUnitoraBeyond-the-BannerArrangement.

（e）Affiliateshallmean,withrespecttoanyPerson,anyotherPersonthat,directlyorindirectly,controls,iscontrolledby,orisundercommoncontrolwith,suchPerson.

（f）AgreementshallmeanthisAgreementandtheschedules,exhibitsandaddendaattachedheretoasthesamemaybeamended,supplementedormodifiedinaccordancewiththetermshereof.

（g）AverageCombinedPricingshallhavethemeaningsetforthinSection4.4ofthisAgreement.

（h）AverageDARTOnlyFeeshallhavethemeaningsetforthinSection4.4ofthisAgreement.

（i）BadgeshallmeanagraphicalelementinafixedlocationonaPagedesignedforthedeliveryofAdvertisingthatis,asoftheEffectiveDate,125x125pixels（filesizeupto5Kbytes）,120x60pixels（filesizeupto2Kor3Kbytes）,100x40pixels（filesizeupto2Kbytes）,234x60pixels（filesizeupto6Kbytes）,oranyothersizeinusepriortotheEffectiveDateonanyPagethatisaAAARepresentedPageunderthisAgreement,andshall,inallcases,includeallnaturalevolutionsthereof.AcurrentsampleofaBadgeisattachedheretoasExhibitA.

（j）BadDebtshallmeanreceivablesforbilledNetRevenuesinwhichcollectionhasnotbeenmadeand,inaccordancewithcriteriasetbyBBB,isdeemeduncollectable.InnoeventshallareceivablethatislessthanOneHundredandTwenty（120）dayspastduebedeemeduncollectable.

（k）BannershallmeanagraphicalelementinafixedlocationonaPagedesignedforthedeliveryofAdvertisingthatis,asoftheEffectiveDate,468x60pixels（filesizeupto12Kbytes）,andshallincludeallnaturalevolutionsthereof.AcurrentsampleofaBannerisattachedheretoasExhibitA.

（l）BartershallmeantheexchangeortradeofanyunsoldinventoryontheWebSitefornon-monetaryconsideration.

（m）Beyond-the-BannerArrangementsshallmeananyarrangement,asnowexistingorhereafterdeveloped,forAdvertisingonaPageorPagesotherthanaStandardAdUnit.Beyond-the-BannerArrangementsinclude,butarenotlimitedto,thefollowing:

（i）adunitshereafterdevelopedotherthantheStandardAdUnits（whetherornotsuchnewly-developedadunitrequiresintegrationwiththecontentontheWebSite）;（ii）PagesontheWebSitethatarecustomizedsothattheyincludeco-brandingwith,orsponsorshipby,theAdvertiserduringthecourseofthearrangements;and（iii）PagesontheWebSitethatfeaturecontentcreatedorlicensedfromtheAdvertiseroranotherthirdpartyspecificallyfortheadvertisingcampaigninquestion.AdvertisingcampaignsmayincludebothBeyond-the-BannerArrangementsandStandardAdUnits.

（n）ButtonshallmeanagraphicalelementinafixedlocationonaPagedesignedforthedeliveryofAdvertisingthatis,asoftheEffectiveDate,88x33pixels（filessizeupto2Kbytes）,andshallincludeallnaturalevolutionsthereof.AcurrentsampleofaButtonisattachedheretoasExhibitA.

（o）CentralizedInternetAdCompanyshallmeananycompanythatisprimarilyengagedinthebusinessoftargeting,measuringanddeliveringAdvertisingontheInternetviaanetworkofwebsitesalllinkedtothecompany’scomputers.

（p）ComparableCustomershallhavethemeaningsetforthinSection4.4tothisAgreement.

（q）BBBshallhavethemeaningsetforthinthepreambletothisAgreement.

（r）BBBIndemniteeshallhavethemeaningsetforthinSection7.2tothisAgreement.

（s）ConfidentialInformationshallhavethemeaningsetforthinSection10.1tothisAgreement.

（t）ContentZoneshallmeaneither（i）anysectionoftheWebSiteexistingasofthedateofthisAgreementthatcontainseditorialcontent,whethersuchcontentisdevelopedbyBBBorlicensedfromathirdparty,providedthattheStandardAdUnitsinsuchsectionhadbeensoldbyAAApriortotheEffectiveDateofthisAgreement,or（ii）anycurrentlyexistingsectionoftheWebSitethatoffersservicestoUsers（e.g.,translationande-mailservices）otherthanservicesthatwouldbeofferedo
