THIS 

AGREEMENTismadein[],Chinaonthis[]daybyandbetweenthefollowingparties:

（1）_______（thenameoftheTransferor）,acompanydulyorganizedandvalidlyexistingunderthelawsof__________withitslegaladdressat__________________（the“Transferor”）;

and

（2）______（thenameoftheTransferee）,acompanydulyorganizedandvalidlyexistingunderthelawsof__________withitslegaladdressat__________________（the“Transferee”）.

Whereas,

A.______（thenameofthesubjectcompany）isaState-ownedenterprisedulyorganizedandvalidlyexistingunderthelawsofChina（the“Company”）;

B.theTransferorholds100%oftheownershipinterestintheCompany;

C.theTransferorhasagreedtosell80%ofitsownershipinterestintheCompanytotheTransfereeforthepriceandonthetermssetoutinthisAgreement.UpontheTransferee’sacquisitionofsuchownershipinterest,theCompanyshallbecomeaChinese-foreignequityjointventure.

NowTherefore,TheParties 

HaveAgreedasFollows:

1.Definitions

1.1InthisAgreement,thefollowingexpressionsshallhavethefollowingmeanings:

AccountsoftheCompanymeantheauditedbalancesheetofCompanydated31December[],theprofitandlossstatementandcashflowstatementoftheCompanyforthefiscalyearof[]andtheinterimaccountsoftheCompanyfortheperiodfrom1January[]to30June[].

ApprovalAuthoritiesmeanstheInvestmentApprovalAuthorityandtheStateAssetAuthority.

ArticlesmeantheArticlesofAssociationoftheJVCompanytobeexecutedbythepartiestogetherwiththisAgreement.

BusinessLicencemeansthebusinesslicenceoftheJVCompanyissuedbytheRegistrationAuthorityfollowingtheapprovalsbytheApprovalAuthoritiesofthisAgreement,theJVContractandtheArticles.

CompletionAccountsmeansthefinalbalancesheetoftheCompanydatedthedayimmediatelyprecedingtheDateofCompletion,andtheprofitandlossstatementandcashflowstatementoftheCompanyfortheperiodfromJanuary[]tothatdate.

ConversionmeanstheconversionoftheCompanyintoaChinese-foreignequityjointventurepursuanttothisAgreementandtheJVContract.

DateofCompletionmeansthedateofissuanceoftheJVBusinessLicencebytheRegistrationAuthoritytotheJVCompany.

ExcludedInvestmentsmeanallequityinterestsownedbytheCompanyincompanies,enterprisesorotherentitiesotherthananysubsidiaryoftheTransfereeincludingwithoutlimitationtheinvestmentslistedonSchedule1.

FSRmeansthefeasibilitystudyreportontheJVCompanytobesignedbythepartiestogetherwiththisAgreement.

IntellectualPropertyRightsmeanpatents,trademarks,servicemarks,tradenames,internetdomainnames,rightsindesigns,copyright（includingrightsincomputersoftwareanddatabases）,rightsinknowhowandotherintellectualpropertyrights,ineachcasewhetherregisteredorunregisteredandincludingapplicationsforthegrantofanysuchrightsandallrightsorformsofprotectionhavingequivalentorsimilareffectanywhereinChina.

InvestmentApprovalAuthoritymeans____________oranyotherauthoritywhichiscompetenttoapprovethisAgreementandthetransactioncontemplatedhereunderaccordingtotheChineselaws.

JVCompanymeanstheCompanyafterbeingconvertedfromastate-ownedenterpriseintoaChinese-foreignequityjointventurecompanypursuanttothisAgreementandtheJVContract.

JVContractmeansthejointventurecontractinrespectoftheJVCompanytobeexecutedbythepartiestogetherwiththisAgreement.

LoanGuaranteesmeanallguaranteesorothersecuritygrantedbytheCompanyinrespectoftheindebtednessofanythirdparty,includingwithoutlimitationallthoseguaranteesandothersecuritywhicharelistedonSchedule2.

MainBusinessmeansthebusinessof___________________ascurrentlycarriedondirectlybytheCompany.

OwnershipInterestmeanstheeightypercent（80%）ownershipinterestintheCompanytobetransferredbytheTransferortotheTransfereepursuanttothetermsofthisAgreement.

OwnershipTransfermeansthetransferbytheTransferortotheTransfereeoftheOwnershipInterestpursuanttothisAgreement.

RegistrationAuthoritymeansthe___________________AdministrationforIndustryandCommerce,beingthegovernmentauthorityfortheregistrationoftheJVCompanyandissuanceoftheBusinessLicence.

StateAssetAuthoritymeansthe___________________State-OwnedAssetsAdministrationortherelevantfunctionaldivisionoftheMunicipalFinanceDepartment.

1.2InthisAgreement,theheadingsareinsertedforconvenienceonlyandshallnotaffecttheconstructionofthisAgreement.

1.3TheSchedulesformanintegralpartofthisAgreementandanyreferencetothisAgreementshallincludetheSchedules.

2.OwnershipTransferandTransferPrice

2.1SubjecttothetermsofthisAgreement,theTransferorshallsellandtransfer,andtheTransfereeshallpurchase,theOwnershipInterestfreefromanymortgage,pledge,lien,securityinterestorotherencumbrancesandtogetherwithallrightsattachedthereto.

2.2ThetotalpricepayablebytheTransfereetotheTransferorfortheOwnershipInterestshallbe[]UnitedStateDollars（USD）（equivalenttoRMB）（theTransferPrice）.TheTransferPriceshallbepaidinaccordancewithClause11hereof.

3.ConditionsPrecedenttoSigningofAgreement

3.1TheexecutionofthisAgreementshallbeconditionaluponeachofthefollowingconditionsprecedentbeingfulfilled:

（a）avaluationreportontheassetsoftheCompanyhasbeenissuedbyaqualifiedappraisalfirmjointlyselectedbytheparties,andsuchreporthasbeenconfirmedinwritingbyorregisteredwiththeStateAssetAdministration;

（b）theregisteredcapitaloftheCompanyhasbeenincreasedto[RMB（USD）]inaccordancewithFSR;

（c）theCompanyhasbeenconvertedtoalimitedliabilitycompanyinaccordancewiththeCompanyLaw;

（d）theCompanyhasbeenreleasedfromalltheLoanGuarantees.

3.2TheTransferorandtheCompanyshallusetheirbestendeavourstoensurethattheaboveconditionsprecedentshallbefulfilledassoonaspracticableandinanyeventbythis____day.

3.3EachoftheconditionsprecedentshallbefulfilledinaccordancewiththeapplicablelawsandregulationsofChinaandtothesatisfactionoftheTransferee.TheTransfereeshallbeentitledinitsabsolutediscretion,bywrittennoticetotheTransferor,towaiveanyoftheconditionsprecedenteitherinwholeorinpart.

4.AgreementSigningandApplicationsforApprovalandRegistration

4.1Onorbeforethis[]dayof[],theTransferorandCompanyshallprovidetheTransfereewithcopiesofalldocumentationrelevanttothefulfilmentoftheconditionsprecedentincludinganyrequiredapprovalsfromthegovernmentauthoritiesandconsentsofthirdparties.EachpartyshallalsoprovidetheotherpartywithevidencethatithasobtainedallnecessaryinternalapprovalsandauthorizationstoenterintothisAgreementandtoperformitsobligationshereunder.Inaddition,theTransferorshallalsoprovideevidencethatithasobtainedallnecessaryapprovalsandauthorizationsfromtherelevantgovernmentauthorities.

4.2PriortothesigningofthisAgreement,theTransferorshallprovidetheTransfereewithalegalopinionfromanindependentcounselqualifiedinChinaonthelegalityandvalidityofthefulfilmentoftheconditionsprecedent,andshallbearallthecostandexpenseforobtainingsuchlegalopinion.TheselectionofsuchindependentcounselshallbesubjecttotheapprovaloftheTransferee.Unlessithasgivenawaiverinwriting,theTransfereeshallbeentitlednottosignthisAgreementonthescheduledsigningdateifanyoftheconditionsprecedenthasnotbeenfulfilledpursuanttothetermshereof.

4.3ImmediatelyaftertheyhavesignedthisAgreement,theJVContractandtheArticles,theTransferorshallsubmitthisAgreementtotheStateAssetAuthorityforapprovalorregistrationasthecasemaybeandthepartiesshallmakeajointapplicationtotheInvestmentApprovalAuthorityforapprovaloftheOwnershipTransferandtheConversion.AftertheApprovalAuthoritieshavegrantedsuchapprovals,theCompanyshallpromptlyapplytotheRegistrationAuthorityfortheregistrationoftheJVCompanyandissuanceoftheBusinessLicence.TheTransfereeshallbeentitlednottoendorseanysuchapplicationifanyconditionprecedentpreviouslywaivedbyithasnotbeenfulfilledpriortothemakingoftheapplication.

4.4TransferorandtheCompanyshallprovidetheTransfereewithcopiesofallapplicationmaterialssubmittedtotheApprovalAuthoritiesandRegistrationAuthority,andshallkeeptheTransfereeinformedofanycommunication
