1.1Engineer'

sDutiesandAuthority

1.1.1.TheEngineershallcarryoutthedutiesspecifiedintheContract.

1.1.2.TheEngineermayexercisetheauthorityspecifiedinornecessarilytobeimpliedfromtheContract,provided,thespecificapprovaloftheEmployerbeforeexercisinganysuchauthority,particularsofsuchrequirementsshallbesetoutinPartIIof

theseConditions.ProvidedfurtherthatanyrequisiteapprovalshallbedeemedtogivenbytheEmployerforanysuchauthorityexercisedbytheEngineer.

1.1.3.ExceptasexpresslystatedintheContract,theEngineershalltheEngineerand.AnysuchdelegationorrevocationshallbeinwritingandshallnottakeeffectuntilacopythereofdeliveredtotheEmployerandtheContractor.AnycommunicationgivenbytheEngineer'

sRepresentativetotheContractorinaccordancewithsuchdelegationshallgivenbytheEngineer.providedthat:

1.3.1.AnyfailureoftheEngineer’sRepresentativetodisapproveanywork,materialsorPlantshallnotprejudicetheauthorityoftheEngineertodisapprovesuchworks,materialsorPlantandtogiveinstructionsfortherectificationthereof;

1.3.2.IftheContractorquestionsanycommunicationoftheEngineer'

sRepresentative.

1.4AppointmentofAssistants

TheEngineerortheEngineer'

srepresentativemayappointanynumberofpersontoassisttheEngineer'

sRepresentativeinthecarryingoutof.Suchassistantsshallsofarassuchinstructionsmaybenecessarytoenablethemcarryouttheirdutiesandtosecuretheiracceptanceofmaterials,PlantorworkmanshipasbeinginaccordancewiththeContract,andanyinstructionsgivenbyanyofthemforthosepurposesshallbedeemedtogivenbytheEngineer'

srepresentative.

1.5InstructionsinWriting

InstructionsgivenbytheEngineershallbeinwriting,providedthatifforanyreasontheEngineerconsidersitnecessarytogiveanysuchinstructionorally,theContractorshallcomplywithsuchinstruction.ConfirmationinwritingofsuchoralinstructiongivenbytheEngineer,whetherbeforeorafterthecarryingoutoftheinstruction,shallbedeemedtobeaninstructionwithinthemeaningofthisSub-Clause.ProvidedfurtherthatiftheContractor,within7days,confirmsinwritingtotheEngineeranyoralinstructionoftheEngineerandsuchconfirmationisnotcontradictedinwritingwithin7daysbytheEngineer,itshallbedeemedtobeaninstructionoftheEngineer.TheprovisionsofthisSub-ClauseshallequallyapplytoinstructionsgivenbytheEngineer'

sRepresentativeandanyassistantsoftheEngineerortheEngineer'

sRepresentativeappointedpursuanttoSub-Clause1.4.

1.6EngineertoActimpartially

Wherever,undertheContract,theEngineerisrequiredtoexerciseby:

1.6.1.Giving,opinionorconsent,or

1.6.2.Expressingorapproval,or

1.6.3.Determiningvalue,or

1.6.4.OtherwisetakingactionwhichmayaffecttherightsandobligationsoftheEmployerortheContractorimpartiallywithinthetermsoftheContractand,opinion,consent,expressionofsatisfaction,orapproval,determinationofvalueoractionmaybeopenedup,reviewedorrevisedasprovidedinClause67.

2.AssignmentandSubcontracting

Thechangeofthedutiesandauthority

2.1AssignmentofContract

TheContractorshallnot,withoutthepriorconsentoftheEmployer（whichconsent,notwithstandingtheprovisionsofSub-Clause1.5,shallbeatthesolediscretionoftheEmployer）,assigntheContractoranypartthereof,oranybenefitorinterestthereinorthereunder,otherwisethanby:

2.1.1.AchargeinfavouroftheContractor'

sbankersofanymoniesdueortobecomedueundertheContract,or

2.1.2.AssignmenttotheContractor'

sinsurers（incaseswheretheinsurersreliefagainstanyotherpartyliable.

2.2Subcontracting

TheContractorshallnotsubcontractthewholeoftheWorks.ExceptwhereotherwiseprovidedbytheContract,theContractorshallnotsubcontractanypartoftheWorkswithoutthepriorconsentoftheEngineer.AnysuchconsentshallnotrelievetheContractorfromanyliabilityorobligationundertheContractandasfullyasiftheyweretheacts,defaultsorneglectsoftheContractor,.Providedsuchconsentfor:

2.2.1.theprovisionoflabour,or

2.2.2.thepurchaseofmaterialswhichareinaccordancewiththestandardsspecifiedintheContract,or

2.2.3.thesubcontractingofanypartoftheWorksfortheSubcontractorisnamedintheContract.

2.3AssignmentofSubcontractors'
