Majorturnkeyprojectsmayrequiredsomenegotiationbetweentheparties.Havingstudiedthevarietyofoptionsofferedbytenderers,theEmployermayconsideritessentialtomeetanddiscusswiththemthetechnicaloptionswhichtheEmployerconsiderspreferable.Undertheusualarrangementsforthistypeofcontract,theContractorcarriesouttheEngineering,ProcurementandConstruction,andprovidesafully-equippedfacility,readyforoperation(atthe“turnofthekey”)
TheguidancehereafterisintendedtoassistwritersoftheParticularConditionsbygivingoptionsforvarioussub-clauseswhereappropriate.Asfaraspossible,examplewordingisincluded,betweenlines.Insomecases,however,onlyanaide-memoireisgiven.
Beforeincorporatinganyexamplewording,itmustbecheckedtoensurethatitiswhollysuitablefortheparticularcircumstances.Unlessitisconsideredsuitable,examplewordingshouldbeamendedbeforeuse.
Whereexamplewordingisamended,andinallcaseswhereotheramendmentsoradditionsaremade,caremustbetakentoensurethatnoambiguityiscreated,eitherwiththeGeneralConditionsorbetweentheclausesintheParticularConditions.
InthepreparationoftheConditionsofContracttobeincludedinthetenderdocumentsforacontract,thefollowingtextcanbeused:
TheConditionsofContractcomprisethe“GeneralConditions”,whichfrompartofthe“ConditionsofContractforEPC/TurnkeyProjects”FirstEdition1999publishedbytheFederationInternationaledesIngenieurs-Conseils(FIDIC),andthefollowing“ParticularConditions”,whichincludeamendmentsandadditionstosuchGeneralConditions.

NotesonthePreparationofTenderDocuments
Thetenderdocumentsshouldbepreparedbysuitably-qualifiedengineerswhoarefamiliarwiththetechnicalaspectsoftherequiredworks,andareviewbysuitably-qualifiedlawyersmaybeadvisable.ThetenderdocumentsissuedtotendererswillconsistoftheConditionsofContractandtheEmployer’sRequirements,and(possibly)thepreferredfromfortheLetterofTender.Inaddition,eachoftheTenderersshouldreceivethedatareferredtoinSub-Clause4.10,andtheInstructionstoTendererstoadvisethemofanymatterswhichtheEmployerwishesthemtoincludeintheirTenderbutwhichdonotformpartoftheEmployer’sRequirementsfortheWorks.
WhentheContractAgreementissignedbytheEmployerandtheContractor,theContract(whichthencomesintofullforceandeffect)includestheTenderandanymemorandaannexedtotheContractAgreement.
TheEmployer’sRequirementsshouldspecifytheparticularrequirementsforthecompletedWorksonafunctionalbasis,includingdetailedrequirementsonqualityandscope,andmayrequiretheContractortosupplyitemssuchasconsumables.ThemattersreferredtoinsomeorallofthefollowingSub-Clausesmightbeincluded:
