THISAGREEMENT,madeandenteredintoonDec.01,2016byandbetween:

VARITRONIXLIMITED,aBVILimitedcompanyhavingitsofficeatUnitA-F,35F,LegendTower,7ShingYipStreet,KwunTong,Kowloon,HongKong.（hereinafter“BUYER”）

AND

ABCCo.,Ltd.,acompanyincorporatedin【HongKong】withlimitedliabilityandhavingitsofficeat（address:

XXX.）

（hereinafter“SELLER”）

WHEREAS

（A）BUYERisaproviderofcontractmanufacturingservicesandengagedinmanufacturing,developmentand/orsaleofliquidcrystaldisplayandotherelectronicsproducts.

（B）SELLERisaprovider/manufacturerofcomponentsand/ormaterial（s）usedorintendedtobeusedbyBUYERwhenprovidingcontractmanufacturingservicesforitscustomers.

（C）SELLERacknowledgesandagreesthatcomponentsmustbemanufacturedinhighestqualityandinaccordancewiththeagreedspecifications,andthatcomponentsmustbedeliveredtoBUYERattheagreeddeliverytimesinordertoensureuninterruptedproductionatBUYER’splants.

NOWTHEREFORETHEPARTIESAGREEASFOLLOWS

1.DEFINITIONS

“Agreement“shallmeanthisGeneralPurchaseAgreementanditsappendices;

“Components“shallmeananycomponentsand/ormaterialspurchasedbyBUYERfromSELLER;

“DateofDelivery“inrespectofapurchaserorder,shallmeanthedateofdeliverystatedinthatpurchasedorder.

“EpidemicDefect”shallmeananydefectwhichappearswithinfive（5）yearsfromthedateofdeliveryinmorethanzeropointfive（0.5%）percentofComponentsdeliveredormanufacturedinthesamedeliverylot,oranyactualoranticipatedthreatofpersonalinjuryordamagetopropertyresultingorarisingfromadefectinaComponent.

“Party”,“Parties”shallmeanBUYERandSELLERasdefinedabove;

“Price”,“Prices”shallmeanthepricesagreedbetweenthePartiesforComponentsanditspacking

2.SCOPE

2.1ThepurposeofthisAgreementistoagreeonthetermsandconditions,whichshallapplywhenBUYERpurchasescomponentsand/ormaterials（"

Components"

）fromSELLER.Components,includingthespecifications,maybelistedanddefinedinAppendix1.

2.2TheprovisionsofthisAgreement,includingitsAppendicesshallsolelygovernanypurchasesbetweentheParties.ThisAgreement,includingtheAppendices,constitutesanentireunderstandingbetweenthePartieswithrespecttothesubjectmatter.ThetermsandconditionsofthisAgreementshalloverrideanygeneraltermsorconditionsissuedwithorreferredtoinanypricelist,purchaseorder,orderconfirmationoranyothercommunicationsentbytheSELLERsaveforthoseexpresslyagreedbytheBUYER.

2.3AnyAmendmentsand/ormodificationstothisAgreementshallbemutuallyagreedbetweenthePartiesinwriting.

3.COMPONENTS

3.1ComponentsmuststrictlyconformtoallrequirementsofthisAgreementanditsAppendices,includingbutnotlimitedtoallspecifications,productdataandqualityrequirements.

3.2AnychangesindesignormanufacturingprocessofComponents,whichmayhaveeffectonthequality,reliability,interchangeability,availability,fit,formandfunctionoftheComponents,aresubjecttoBUYER’spriorwrittenapproval.

4.ORDEROFPRECEDENCE

IncaseofanyinconsistencyorconflictbetweenthisAgreementandanyoftheAppendicesattachedhereto,theprovisionsofthisAgreementshallprevail,totheextentthatthePartieshavenotexplicitlyagreedintherelevantAppendixtoalterormodifythetermsandconditionsofthisAgreement.ThealterationormodificationshallnotbevalidandbindingunlessitincludesaspecificreferencetotheClauseofthisAgreement,whichisalteredormodified.

5.ORDERING

Theordersshallbeplacedbye-mail,telefax,EDIoranyothermutuallyagreedmethodattheagreedsingleorderentrypoint.SellershallwithintwoworkingdayssendtoBUYERaPurchaseOrderacknowledgementtoconfirmacceptanceofsuchorder（s）.

6.PRICES

ThepricesofComponentsandgroundsfordiscountshallbespecifiedinAppendix1.ThePricesshallbequarterlyreviewedbytheParties.AnychangesinthepricesshallbemutuallyagreedinwritingbetweentheParties.AnychangesinthePricesshalltakeimmediateeffectandshallapplytoallsubsequentdeliveries,unlessotherwiseagreedbetweentheParties.

7.TERMSOFPAYMENTANDDELIVERY

7.1BUYERshallpayComponentswithinsixty（60）calendardaysfromthedateofSELLER’sinvoicewhichshallbedatedaftertherelevantComponentshavebeendulyacceptedbytheBUYER,providedalwaysthatBUYERhasreceivedtherespectiveComponentsintheagreedamountsandinaccept
