THISAGREEMENTismadeandenteredintoasof_____________,2013,byandbetween**PARTS**,INC.,withofficeslocatedatUSA（hereaftercalled“**”）,and**AIRLINESCO.LTD.,withofficeslocatedati,People’sRepublicofChina（hereaftercalled“Consignor”）.

WHEREAS,ConsignorownscertainengineSpareParts（asdefinedinparagraph1.A.below）whicharenotpresentlyrequiredforConsignor'

soperation;

and

WHEREAS,ConsignordesirestosellsaidSparePartsbyandthrough**asitsagentwiththeexclusiverighttoselltheSpareParts;

WHEREAS,**desirestoactasConsignor'

sagentwiththeexclusiverighttoselltheSpareParts.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesagreeasfollows:

1.Agency.

A.Consignorherebyappoints**asitsagentandgrants**theexclusiverighttosellthosecertainaircraftorengineaccessories,rotablesandparts,andothergoodsandmaterialsspecifiedinExhibitAhereto（"

SpareParts"

）,subjecttothetermsandconditionsofthisAgreement.

B.**herebyacceptstheaboveappointmentandagreestousegoodfaitheffortstomarkettheSparePartsforConsignorinaccordancewiththetermshereof.

C.ConsignorreceiveanythirdpartyinquiriesforanySparePart,Consignorwilldirectsuchinquiriesto**.

D.SalesofSparePartsby**willbeonsuchtermsandconditionsandatsuchpricesas**deemsappropriate（baseduponthethencurrentfairmarketvalueoftheSpareParts）with**designatedasthe“seller”.**willactingoodfaithindeterminingthepriceandtermsandconditionsapplicabletothesaleoftheSparePartsbasedonmarketingconditionsatthetimeofthesale.

E.**mayacceptreturnsofSparePartssoldfromitscustomersasitmaydetermineappropriate,initssolediscretion.AllsuchreturnswillbeplacedinConsignor'

sinventoryat**andtitletheretoshallthereuponvestinConsignor.

F.ForeachSparePart,ConsignorshallfurnishthedocumentationdescribedonExhibitBattachedhereto.

G.PromptlyafterexecutionofthisAgreementandateachtimethatSparePartsareaddedtothisAgreement,Consignorshallexecutea“TraceLetter”substantiallyintheformofExhibitCattachedhereto,whichTraceLetterwillbeusedtoinformSparePartscustomersoftherelationshipbetweenConsignorand**.

2.Term.ThisAgreementwillbecomeeffectiveasofthedatehereof,andtheAgreementshallcontinueforaperiodofthree（3）years,exceptasotherwiseprovidedinSection8.B.ii.herein.

3.AgencyFeesandPayment.

A.Consignorwillpay**,asconsiderationfor**'

sserviceshereunder,acommissionofthirtypercent（30%）oftheMonthlyNetSales（asdefinedbelow）ofSpareParts（the“Commission”）.

“GrossSales”meanstheamountinvoicedby**forSparePartssoldtocustomers.

MonthlyNetSales"

meanstheaggregateGrossSalesinamonthlyperiodless:

i.anyreasonableanddocumentedrepairfacilitychargesincurredby**forinspection/repair/overhaul/modificationtoSparePartssoldtocustomersduringsaidmonthlyperiodandassociatedtransportationcoststotheextentprovidedinSection3.Eherein（collectively,“RepairCharges”）;

ii.anysalesorusetaxesandtransportationcostsinvoicedby**inconnectionwiththesaleofSparePartstocustomersduringsaidmonthlyperiod;

iii.anycreditsgivenby**duringsaidmonthlyperiodinconnectionwithSparePartssoldinapriormonthlyperiodthatwerereturnedto**andreturnedtoConsignor'

sinventoryinaccordancewithSection1.E;

iv.reasonablefeeschargedby**’sfreightforwarderforimport/exportprocessingandincurredby**;

v.anycommissionspaidortobepaidtoforeignrepresentativesinconnectionwiththesaleofSparePartsduringsaidmonthlyperiod;

vi.anyRebatespaidortobepaidto**’scustomerinconnectionwiththesaleofSparePartsduringsaidmonthlyperiod,where“Rebates”means,withrespecttoSparePartssoldtoacustomer,amountsthat**isobligatedtoremittosuchcustomerinconsiderationofcustomer’spurchaseofaspecifiedvolumeofmaterialfrom**withinaspecifiedperiodoftime,pursuanttoawrittenagreementbetweensuchcustomerand**;

vii.thethen-currentbalanceofAdditionalExpenses（asdefinedbelow）.

“AdditionalExpenses”includeeachofthefollowingcharges,ifincurredby**:

（a）“EvaluationCharges”–ReasonableanddocumentedrepairfacilitychargesinconnectionwiththeinspectionofeachSparePartwhichtherepairfacilitythendeclarestobebeyondeconomicrepair（“BER”）orotherwiseunrepairable,andassociatedtransportationcoststotheextentprovidedinSection3.Eherein.SuchchargesandcostsshallbedeemedtobeAdditionalExpensesatsuchtimeastheapplicableSparePartisscrappedandmadeunsuitab
