CONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreement（“Agreement”）ismadeandeffectivethe[DATE].

BETWEEN:

[COMPANYNAME]（the“Owner”）,acorporationorganizedandexistingunderthelawsofthe[Province]of[State],withitsheadofficelocatedat:

[COMPLETEADDRESS]

AND:

[RECIPIENTNAME]（the“Recipient”）,anindividualwithhismainaddresslocatedatoracorporationorganizedandexistingunderthelawsofthe[Province]of[State],withitsheadofficelocatedat:

[COMPLETEADDRESS]

Inconsiderationofthetermsandcovenantsofthisagreement,andothervaluableconsideration,thepartiesagreeasfollows:

WHEREAS,RecipienthasrequestedinformationfromOwnerinconnectionwithconsiderationofapossibletransactionorrelationshipbetweenRecipientandOwner.

WHEREAS,inthecourseofconsiderationofthepossibletransactionorrelationship.OwnermaydisclosetoRecipientconfidential,important,and/orproprietarytradesecretinformationconcerningOwneranditsactivities.

THEREFORE,thepartiesagreetoenterintoaconfidentialrelationshipwithrespecttothedisclosurebyOwnertoRecipientofcertaininformation.

1.CONFIDENTIALINFORMATION

Ownerproposestodisclosecertainofitsconfidentialandproprietaryinformation（the“ConfidentialInformation”）toRecipient.ConfidentialInformationshallincludealldata,materials,products,technology,computerprograms,specification,manuals,businessplans,software,marketingplans,financialinformation,andotherinformationdisclosedorsubmitted,orally,inwriting,orbyanyothermedia,toRecipientbyOwner.ConfidentialInformationdisclosedorallyshallbeidentifiedassuchwithinfive（5）daysofdisclosure.NothinghereinshallrequireOwnertodiscloseanyofitsinformation.

ForpurposesofthisAgreement,theterm“Recipient”shallincludeRecipient,thecompanyheorsherepresents,andallaffiliates,subsidiaries,andrelatedcompaniesofRecipient.ForpurposesofthisAgreement,theterm“Representative”shallincludeRecipient’sdirectors,officers,employees,agents,andfinancial,legal,andotheradvisors.

2.EXCLUSIONS

ConfidentialInformationdoesnotincludeinformationthatRecipientcandemonstrate:

（a）wasinRecipient’spossessionpriortoitsbeingfurnishedtoRecipientunderthetermsofthisAgreement,providedthesourceofthatinformationwasnotknownbyRecipienttobeboundbyaconfidentialityagreementwithorothercontinual,legalorfiduciaryobligationofconfidentialitytoOwner;（b）isnow,orhereafterbecomes,throughnoactorfailuretoactonthepartofRecipient,generallyknowntothepublic;（c）isrightfullyobtainedbyRecipientfromathirdparty,withoutbreachofanyobligationtoanyobligationtoOwner;or（d）isindependentlydevelopedbyRecipientwithoutuseoforreferencetotheConfidentialInformation.

3.RECIPIENT’SOBLIGATIONS

a.RecipientagreesthattheConfidentialInformationistobeconsideredconfidentialandproprietarytoOwnerandRecipientshallholdthesameisconfidence,shallnotusetheConfidentialInformationotherthatforthepurposesofitsbusinesswithOwner,andshalldiscloseitonlytoitsofficers,directors,oremployeeswithaspecificneedtoknow.Recipientwillnotdisclose,publishorotherwiserevealanyoftheConfidentialInformationreceivedfromOwnertoanyotherpartywhatsoeverexceptwiththespecificpriorwrittenauthorizationofOwner.

b.ConfidentialInformationfurnishedintangiblefromshallnotbeduplicatedbyRecipientexceptforpurposesofthisAgreement.UpontherequestofOwner,RecipientshallreturnallConfidentialInformationreceivedinwrittenortangibleform,includingcopies,orreproductionsorothermediacontainingsuchConfidentialInformation,within[Number]daysofsuchrequest.AtRecipient’soption,anydocumentsorothermediadevelopedbytheRecipientcontainingConfidentialInformationmaybedestroyedbyRecipient.RecipientshallprovideawrittencertificatetoOwnerregardingdestructionwithin[Number]daysthereafter.

4.TERM

TheobligationsofRecipienthereinshallbeeffective[Non-disclosureperiod]fromthedateOwnerlastdisclosesanyConfidentialInformationtoRecipientpursuanttothisAgreement.Further,theobligationnottodiscloseshallnotbeaffectedbybankruptcy,receivership,assignment,attachmentorseizureprocedures,whetherinitiatedbyoragainstRecipient,norbytherejectionofanyagreementbetweenOwnerandRecipient,byatrusteeofRecipientinbankruptcy,orbytheRecipientasadebtor-in-possessionortheequivalentofanyoftheforegoingunderlocallaw.

5.CONFIDENTIALITY

RecipientanditsRepresentativesshallnotdiscloseanyoftheConfidentialInformationinanymannerwhatsoever,exceptasprovidedinArticles6and7ofthisAgreement,andshallholdandmaintaintheconfidentialInformationin
