Article1.（CorporateName）

ThenameoftheCompanyshallbeCCC,whichshallbeexpressedinEnglishasAAA-CredenceCorporation.

Article2.（Objective）

TheobjectiveoftheCompanyshallbetocarryonthefollowingbusiness:

1.Toengageinmanufacture,import,export,purchasesandsalesofautomatictestequipmentandrelatedproductsandparts,materials,andcomponentsthereofandrelatedsoftware,fortestingsemiconductorsandelectronicdevicesincludingsame.

2.Toengageinresearchanddevelopment,localizingandcustomizingofautomatictestequipmentandrelatedproductsandparts,materials,andcomponentsthereofandrelatedsoftwareandconsultingservicesrelatedthereto,fortestingsemiconductorsandelectronicdevicesincludingsame.

3.Toengageinapplicationforandassignmentofpatentsandanyotherindustrialpropertyrights,andagencyservicesthereto.

4.Toengageinanyotherbusinessrelatedtotheabove.

Article3.（LocationofHeadOffice）

TheHeadOfficeoftheCompanyshallbelocatedinYokohama-shi,KanagawaKen.

Article4.（MethodofPublicNotice）

PublicnoticesoftheCompanyshallbegiveninofficialgazette.

CHAPTERII.SHARES

Article5.（TotalNumberofSharesAuthorizedtobeIssued,TypeofShares,andParValueofEachShare）

ThetotalnumberofsharesauthorizedtobeissuedbytheCompanyshallbe_________（_________）shares.AllsharesoftheCompanyshallbevotingsharesofcommonstockwithaparvalueof_________yen（50,000）pershare.

Article6.（ShareCertificate）

1.SharecertificatesissuedbytheCompanyshallbeinone

（1）share,five（5）shares,ten（10）shares,fifty（50）sharesandonehundred（100）sharespercertificate,orinsuchotherdenominationsasshallbedeterminedbytheBoardofDirectors.

2.Intheeventthatashareholderdoesnotwishtopossessthesharecertificatesinhis/hercustody,theshareholdershallmakeawrittenproposaltothateffecttotheCompanyandatthesametimesubmitthesharecertificatestotheCompanyiftheyhavealreadybeenissued.

Article7.（IssuanceofNewShares）

1.TheshareholdersshallhavepreemptiverightstosubscribetoanynewsharesoftheCompanyinproportiontotheirshares.

2.Intheeventthataforeignshareholderhastherighttosubscribetosuchnewshares,thetimeduringwhichshareholdersmayexercisesuchrightsshallbedeterminedinsuchmannerastogivesuchforeignshareholdersufficienttimetocompletetheproceduresasrequiredunderthelawsof_________.

Article8.（RestrictiononTransferofShares）

AlltransfersofthesharesoftheCompanyshallbesubjecttoapprovaloftheBoardofDirectors.

Article9.（RegistrationofTransfer）

1.TherequestforregistrationoftransferofsharesshallbemadebysubmittingtheformprescribedbytheCompanytowhichthenameandsealofthetransfereeareaffixedtogetherwiththefollowingdocuments:

（1）Incaseofassignment;

thesharecertificates;

（2）Incaseofotherthanassignment,adocumentevidencingtheacquisitionandthesharecertificates.

2.Foreignnationalswhoarenotaccustomedtousingsealimpressionsmayutilizetheirsignaturesforthepurposesoftheprecedingparagraph.

Article10.（RegistrationofPledgeandIndicationoftrustProperty）

1.TherequestforregistrationofpledgeorindicationoftrustpropertywithrespecttosharesshallbemadebysubmittingtheformprescribedbytheCompanytowhichthenamesandsealsofthepartiesconcernedareaffixedtogetherwiththesharecertificates.

2.Theprecedingparagraphshallapplytocancellationofpledgeortrustproperty.

3.Foreignnationalswhoarenotaccustomedtousingsealimpressionsmayutilizetheirsignaturesforthepurposesoftheprecedingtwo

（2）paragraphs.

Article11.（ReissuanceofShareCertificates）

1.Incasethattheissuanceofnewsharecertificatesisrequestedduetosubdivision,combinationordefacementofsharecertificates,theformprescribedbytheCompanytowhichthenameandsealofrequestingpersonareaffixedshallbesubmittedtogetherwiththesharecertificates.Incasethattheissuanceofnewsharecertificatesisrequestedduetoloss,theformprescribedbytheCompanytowhichthenameandsealofrequestingpersonareaffixedshallbesubmittedtogetherwiththeoriginaloracertifiedcopyofjudgmentofnullificationofthelostsharecertificates.

Article12.（HandlingFees）

WithrespecttotherequestmadepursuanttoArticles9to11above,theCompanyshallchargehandlingfeesprescribedbytheCompany.
