Throughverification,PartyAagreestoacceptthepropertymortgageofPartyB;

Accordingtorelevantlawsandregulations,basedonmutualnegotiations,PartyAandPartyBmakeagreementinthefollowingarticles:

Article1CollateralofPartyB

PartyBusesthepropertyintheListofCollateral（appendix）formortgage.PartyBguaranteesitsownershiporrightofdisposalaccordingtolaws.

Article2MethodofMortgageGuarantee

1.Whenthedebtstipulatedinthemaincontractisdue,theguaranteeresponsibilityoftheloanprovidedbyPartyAtoPartyByetnotrepaidbyPartyBisascertainedaccordingtothescopeofmortgageguaranteeinArticle3ofthiscontract;

beforethedebtstipulatedinthemaincontractisdue,ifPartyAconductsrecourseontheborrowerinadvanceaccordingtothemaincontract,PartyBshallalsotaketheguaranteeresponsibilitywiththecollateral.

2.IfPartyAandPartyB（orborrower）makewrittenagreementofextendingdurationonthedebtduration,interestrate,amountandetc.stipulatedinthemaincontract,orPartyAmakesanadjustmentintheinterestrateaccordingtothemaincontractduringthedebtdurationstipulatedinthemaincontract,itisnotnecessarytogetconsentfromPartyBortoinformPartyBandPartyBagreestoall,thenthemortgageguaranteeresponsibilityundertakenbyPartyBshallnotbeaffected.

Article3ScopeofMortgageGuarantee

Thescopeofmortgageguaranteeincludestheentireprincipalstipulatedinthemaincontract,interest,overdueinterest,penaltyinterest,compoundinterest,defaultfine,compensationforloss,allchargestoenforcethemortgagerightandrealizethecreditor’srights（includingbutnotlimitedtolegalcosts,arbitrationfees,costsofpreservation,announcementfees,assessmentfees,appraisalcharges,auctioncosts,travelexpenses,communicationexpenses,counselfeesandetc.）andallotherpayableexpensesofthedebtorinthemaincontract.

Article4CustodyofOwnershipCertificateandRegistrationoftheCollateral

PartyBshalldeliverownershipcertificateofthecollateraltoPartyAonthedateofcontractsigning,andbothpartiesagreethatwithin2daysafterthecontractissigned,PartyBshallunconditionallyassistPartyBwithrelevantmortgageregistrationprocedures.OwnershipcertificateofthecollateralshallbeinthecustodyofPartyAduringmortgageperiod.

Article5Whenthereareothermortgageguarantee,pledgeguaranteeorguaranteesinthecreditor’srightsofPartyA,ifPartyAgivesuporremovesothermortgageguaranteeandpledgeguaranteeordismissesguaranteeresponsibilityofguarantees,PartyBshallstilltakemortgageguaranteeresponsibilityregardingPartyAaccordingtoarticlesstipulatedinthismortgagecontract.

IfPartyAsuspendsgrantingtheloanthathasnotbeengrantedorcollectsgrantedloaninadvancebasedonthearticlesinthemaincontract,theguaranteeresponsibilityundertakenbyPartyBaccordingtothiscontractshallnotbeaffected.

Article6CostBearing

Relevantcostsstipulatedinthiscontractsuchasassessmentfees,insurancepremium,appraisalcharges,registrationfees,custodychargesandetc.

Article7CustodyoftheCollateral

1.Duringthemortgageperiod,thecollateralshallbeincustodyofPartyBortheentrustedagentofPartyB;

PartyBandtheentrustedagentofPartyBshallmaintainpropercustodyofthecollateralandhavetheobligationofrepair,maintenanceandkeepingitintactandshallaccepttheinspectionofPartyAatanytime.

Themortgageperiodreferstotheperiodfromthedaythiscontractcomesintoeffecttotheexpirationdayofstatuteoflimitationsofcreditor’srightsstipulatedintheLoanContract.

2.Duringthemortgageperiod,PartyBshallnottakeanyactionsthatwillreducethevalueofthecollateral;

ifsuchactionsoccur,PartyAhastherighttodemandPartyBtostopandrecoverthevalueofthecollateral,ortoprovidenewcollateralacceptedbyPartyAwithin2daysafterPartyAinformsPartyB.Costsresult
