甲方指定乙方为其独家代理，为第二条所列商品和第三条所列区域的顾客中招揽订单,

接受上述委任。

PartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersforthecommoditystipulateinArticle2fromcustomersintheterritorystipulatedinArticle3,andPartyBacceptsandassumessuchappointment.

二、代理商品Commodity1、独家代理权ExclusiveRight

2、乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不

有权追究乙方责任，包括但不限于追偿因此导致的任何经济损失

IfPartyBviolatesthisregulationArticle2,PartyAhasrighttopursueeconomicresponsibility,uponthelowestfinalsettlementvalueofactualsupplyproductsasapenalty,andkeepstherighttopersuetheresponsibilityofPartyB,includingbutnotlimitedtoanyeconomiclossescausedbyrecovery.

四、商情报告MarketReport

为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场

当地市场发展趋势

报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、

供其他供应商类似商品的报价和广告资料。

InordertokeepPartyAfullyunderstandtheprevailingmarketconditions,PartyBshouldundertaketosupplyPartyA,atleastonceaquarteroratanytimewhennecessary,withmarketreportsconcerningchangesofthelocalregulations,local

markettendencyandthebuyer'

scommentsonquality,packing,price,etcinconnectionwiththeimportandsalesofthecommoditycoveredbythisagreement,

PartyBshallalsosupplypartyAwithquotationsandadvertisingmaterialsonsimilarproductsofothersuppliers.

五、广告及费用AdvertisingandExpenses

乙方负担本协议有效期内向甲方提交所用于广告的声像资料，供甲方事先核准。

PartyBshallduringthevalidityofthisagreementsubmittoPartyAallaudioandvideomaterialsintendedforadvertisingforpriorapproval.

六、代理期限和保证金ValidityofAgreementandmarginscollateral

将延长12个月。

Thisagreement,whendulysignedbythebothpartiesconcerned,shallremainforcefor12monthsfromsignatureofagreementanditshallbeextendedforanother12monthsuponexpirationuniessnoticeinwritingisgiventothecontrary.

2、为确保乙方在合同有效期内在代理区域内拥有独家销售权，甲方向乙方收取美元的保证

金，于本合同签字生效之日起7日内汇达甲方指定账户。

如逾期未能汇达，甲方有权单方

解除本合同。

InordertomakesurethatPartyBholdstheexclusivedistributionrightswithinthemarketingterritoryduringthevaliddeposittoPartyBwithin7daysaftersignthisagreement.PartyBthatexceedthetimelimitfailstotransfer,PartyAhastherighttodounilateralterminationofthecontract.

七、货物供应、运输与货款支付Productsupply,shipping,payment

1、乙方应提前15天提交书面订货计划（传真或电子邮件），以便甲方有足够时间备货。

PartyBshouldputintheorderplan（byFaxoremail）15daysinadvanee,sothat

PartyAhasenoughtimetopreparetheproducts.

2、乙方提交订货计划后15天内，甲方得到确认后，乙方须在10个工作日内将货款汇致甲

方所指定的帐户里，如在10个工作日内未收到货款，甲方有权把此订单视为无效。

3、甲方应在收到货款后在双方协商后的7-15工作日提供产品。

Afterreceivethepayment,PartyAshoulddeliverytheproductswithin15workdaysundertheconsultationofbothparties.

4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。

PartyAtakeschargeofshippingtheproductstotheappointedplacebyPartyB,themeansoftransportisconsideredunderthemutualagreement,cannotdoitwithoutauthorization.

八、品质保证GuaranteeforProductsQuality

货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告

知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方只

负责维修或更换所供应产品外，不承担任何其他责任。

Thatthecheckandacceptthedeliveredgoodsisthebasisoftheconfirmedsamplesbybothparties.Ifthereisobjectionofquality,theBuyershouldinformtheSellerinwrittenformandkeepintacttheproductswithin3daysaftertheBuyerreceivetheproducts.Aboutthequality-problemafterinstallation,withinqualityguaranteeperiodofproducts,theSellerisonlyresponsibletomaintainorchangethesupplierproducts,notbearothers.

九、违约及合同解除Breachandterminationofthecontract

1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形

成补充合同，与本合同具有同等效力。

BothPartiesshouldbestrictaccordaneewiththeagreementandcarryout.Ifthereisadisagreement,bothPartiesshouldconsultfr
