买方需做好设备安装、调试的如下准备工作：

　　责卖方所派安装调试培训维修人员（安装调试培训依据约定时间见合同附件）的市内交通费用，住宿及工作餐等费用；

　　buyershouldprovidetheforkorothertoolsforhoistingandinstallation,and

　　重搬运工具，并免费提供足够的试机材料；

　　买方应完成设备安装调试前所必须进行的水、电、厂房等基础设施建设和压缩空气，并保证其不断供应和正常运转。

　　additionalandlosingetc.买方违反上诉条款，应承担因此而造成的额外费用、损失等工程延

　　误的一切责任。

　　orderacknowledgement.卖方对设备所进行的安装、调试，应与合同约定的性能完全一致；notnormalduetothebuyer’scause,andthecustomerwillbeconsideredhavingacceptedthemachineifthebuyerfailtoreplywithin3months.如因买方原因使设备不能正常安装、调试、使用而使设备闲置，自买方收到设备之日起3个月内视为质量完全合格。

　　7.after-salesservice售后服务:

　　theguaranteeperiodshallbe12monthsafterpassfinalacceptancetest.thesellershouldstill

　　providepaidserviceaftertheguaranteeperiod.质保期为设备最终验收通过后的12个月内，保修期过后，卖方继续为卖方提供维修服务；

　　aftertheguaranteeperiod.保修期内的人为损坏，及过保修期后的损坏，其维修所产生的费用及相关的人员费用均由买方承担；

　　solvetheproblem.卖方接到买方的求助电话，维护人员要在8小时内上门维修。

迟交货和罚款：

　　shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofforcemajeureclausesspecifiedinclause7ofthiscontract,thebuyershallagreetopostponethedeliveryonconditionthattheselleragreetopayapenaltywithshallbedeductedbythepayingbankfromthepaymentundernegotiation.thepenalty,however,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.therateofpenaltyischargedat%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.incasethesellerfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract,thebuyershallhavetherighttocancelthecontractandtheseller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytothebuyerwithoutdelay.除本合同第8条规定的不可抗拒条款外，如卖方仍不能按合同期限交货，买方可同意推迟交货期，但卖方必须同意付款银行在议付货款时扣除罚款。

罚款总额不超过迟交货物总值的3％，罚款率按每7天％计算，不满7天仍以7天计算。

如超过合同规定交货期限10星期后，卖方仍不能交货，则买方有权撤销合同，而卖方仍须立即付给买方上述罚款。

　　10.disputesettlement:

争议解决：

　　anydisputesarisingfromorinconnectionwiththiscontract,shellbesettledamicablythroughfriendlynegotiation.ifthepartiesfailtoreachandamicablesolution,eitherpartymaysubmitthedisputetotheforeigneconomicandtradearbitrationinaccordancewithitsexistingrulesofprocedureforarbitration.the

　　arbitralawardisfinalandbindinguponbothparties.arbitrationfeeispaidbythelosingparty.由本合同引起或相关的任何争议，双方应通过友好协商解决；如果双方不能友好解决，任何一方可将争议提交中国国际贸易促进会对外经济贸易仲裁委员会，按现行仲裁规则进行仲裁。

仲裁裁决是终局裁决，对双方都有约束力。

仲裁费用由败诉方承担。

　　11.theadditionalclausesandtheappendixintegratedwiththecontacthavethesamevalidandcouldn’tbeseparated.本合同所附的合同附件是合同不可分割的部分，与本合同具有同等效力。

　　12.thiscontractisbothinchineseandenglish,intheeventofanydiscrepancy,theenglishversionisdeemedtheauthoritativeversion.本合同采用中英文书写，任何中英文有异议时，以英文为准。

　　13.thiscontractismadeintwooriginals,witheachpartyholdingonecopy.aftermutualconsultationandagreement,bothpartiessignthiscontracthereunder.thiscontracttakesimmediateeffect.本合同共一式两份，各持一份，自双方代表签字之日后立即生效。

　　买卖双方，就设备采购事项，经协商一致，订立下列条款，以资共同遵守：

第一条合同标的
