Companies"

1. Purpose

ThepartiestothisAgreementdesiretoengageindiscussionsregardingpresentand/orpotentialfuturebusinessrelationships.ThisAgreementcombinesanon-disclosure,anoncompetition,andanon-circumventionagreement.Thepartiesintendtoengageinsubstantivediscussionsandsharingofconfidentialinformationregardingcertainnewandusefulbusinessopportunities,tradesecrets,businessentityformationandstructuring,andtaxplanning.Inconnectionwiththesediscussions,itmaybenecessaryand/ordesirablefortheCompanytoprovidetheConfidantwith,orallowaccessto,proprietary,technical,orbusinessdata,and/orotherconfidentialinformationoftheCompany（collectivelythe'

ConfidentialInformation"

）.Therefore,theConfidant,individuallyandonbehalfofthosetheyrepresent,agreethattheyareunderanobligationofconfidentiality.TheCompanybelieves,andtheConfidantherebyagrees,thattheCompany’sConfidentialInformationhassignificantcommercialvaluethatwouldbediminishedbyunauthorizeddisclosure.Accordingly,thecommitmentsofconfidentialityinthisAgreementareaconditiontotheConfidant’swillingnesstoengageinthecontemplatedbusinessdiscussionsandplanning.TheConfidantagreesthatitshallnotuseanyadvantagesderivablefromsuchinformationinitsownbusinessoraffairs,unlessthesameisdonepursuanttoanewagreementwithallothersignatoriestothisdocument.EachsigningpartyshallbeheldresponsibleandliableincaseofabreachofthisAgreementbothintheirprofessionalandpersonalcapacity.

2. ConfidentialInformation

ConfidentialInformationshallinclude,andshallbedeemedtoinclude,allinformationconveyedbytheCompanytotheConfidantorally,inwriting,bydemonstration,orbyothermedia.ConfidentialInformationshallbeconsideredassuchatthetimeoftransmittal.ConfidentialInformationmayinclude,bywayofexamplebutwithoutlimitationdata,know-how,contacts,contracts,software,formulas,processes,designs,sketches,photographs,plans,drawings,specifications,samples,reports,informationobtainedfrompreviousorcurrentparticipantsinprogramsoftheCompany,andinformationrelatingtotransactionalprocedures.However,ConfidentialInformationshallnotincludeinformation,whichcanclearlydemonstratedtobe:

a. Generallyknownoravailabletothepublic,throughnoactoromissiononthepartofthereceivingparty,or

b. ProvidedtothereceivingpartybyathirdpartywithoutanyrestrictionondisclosureandwithoutbreachofanyobligationofconfidentialitytoapartytothisAgreement;

orindependentlydevelopedbythereceivingpartywithoutuseoftheConfidentialInformation.

3. ObligationofConfidentiality

TheConfidantagreesthatwhenreceiptofanyConfidentialInformationhasoccurred:

a. TheConfidantshallnotdiscloseorcommunicateConfidentialInformationtoanythirdparty,exceptashereinprovided.Confidantshallprotectsuchinformationfromdisclosurebyreasonablemeans,includingbutnotlimitedtoatleastthesameminimallevelofsecuritythatConfidantusesforitsmostcrucialproprietaryandtradesecretinformation.

b. ConfidantshallreasonablyprotecttheConfidentialInformationwithnotlessthanthesamedegreeofcareexercisedbyitsownpersonneltoprotectitsown,orpublicationofitsown,mostvaluableconfidentialandproprietaryinformation.

c. TheCompanyshallpermitaccesstoitsConfidentialInformationtotheConfidant’sagentsoremployeesorthirdpartiesonlyifsuchdisclosureisreasonablybelievedtobenecessarytothepurposesoftheConfidantevaluating,contemplating,recommending,orengaginginanyprogramorserviceofferedbytheCompanyorforthepurposeofenteringintoabusinessrelationshipwiththeCompany,andonlyifsaidagpnts,employees,orthirdparties:

1. reasonablyrequireaccesstotheConfidentialInformationlorpurposesapprovedbythisAgreement,and

2. havebeenapprizedofthisAgreementandtheConfidant’sobligationstomaintainthetradesecretstatusofConfidentialInformationandtorestrictitsuseasprovidedbythisAgreement

4. ObligationofNon-Competition

Thenon-competitionprovisionsofthisAgreementareanessentialandmaterialpartofthetotalagreement,bywhichtheConfidantagreesitshallnotuseanyadvantagesderivablefromsuchconfid
