（a）Agreementmeansthisagreement,andanyamendmentstothisagreementfromtimetotime;（b）BusinessDaymeansanyweekdayotherthanabankorpublicholidayin[England];（c）DisclosorConfidentialInformationmeans:

（i）anyinformationdisclosedby[oronbehalfof]theDisclosortotheRecipient[duringtheTerm/atanytimebeforetheterminationofthisAgreement]（whetherdisclosedinwriting,orallyorotherwise）thatatthetimeofdisclosure:

（A）wasmarkedasconfidential;or（B）shouldhavebeenreasonablyunderstoodbytheRecipienttobeconfidential;（ii）[thetermsofthisAgreement;and]（iii）[specifyotherconfidentialinformation;]（d）EffectiveDatemeans[thedateofexecutionofthisAgreement];（e）PermittedPurposemeans[specifypurposeorpurposes];and（f）TermmeansthetermofthisAgreement,commencinginaccordancewithClause3.1andendinginaccordancewithClause3.2.2.Credit2.1ThisdocumentwascreatedusingatemplatefromSEQLegal（）.Youmustretaintheabovecredit,unlessyoupurchasealicencetousethisdocumentwithoutthecredit.Youcanpurchasealicenceat:

eintoforceupontheEffectiveDate.3.2ThisAgreementshallcontinueinforce[indefinitely/until[date]/until[event]],subjecttoterminationinaccordancewithClause7.4.Consideration4.1TheRecipienthasenteredintothisAgreement,andagreestotheprovisionsofthisAgreement,inconsiderationfor[thepaymentbytheDisclosortotheRecipientofthesumof[GBP1.00],receiptofwhichtheRecipientnowacknowledges/[specifyconsideration]].5.Recipient’sconfidentialityobligations5.1TheRecipientmust:

（a）keeptheDisclosorConfidentialInformationstrictlyconfidential;（b）notdisclosetheDisclosorConfidentialInformationtoanypersonwithouttheDisclosor’spriorwrittenconsent[,andthenonlyunderconditionsofconfidentiality[approvedinwritingbytheDisclosor/nolessonerousthanthosecontainedinthisAgreement]];（c）usethesamedegreeofcaretoprotecttheconfidentialityoftheDisclosorConfidentialInformationastheRecipientusestoprotecttheRecipient’sownconfidentialinformationofasimilarnature,beingatleastareasonabledegreeofcare;（d）[actingoodfaithatalltimesinrelationtotheDisclosorConfidentialInformation;and]（e）[notuseanyoftheDisclosorConfidentialInformationforanypurposeotherthanthePermittedPurpose.]5.2NotwithstandingClause5.1,theRecipientmaydisclosetheDisclosorConfidentialInformationtotheRecipient’s[officers,employees,professionaladvisers,insurers,agentsandsubcontractors][whohaveaneedtoaccesstheDisclosorConfidentialInformationfortheperformanceoftheirworkwithrespecttothePermittedPurposeand]whoareboundbyawrittenagreementorprofessionalobligationtoprotecttheconfidentialityoftheDisclosorConfidentialInformation.5.3ThisClause5imposesnoobligationsupontheRecipientwithrespecttoDisclosorConfidentialInformationthat:

（a）isknowntotheRecipientbeforedisclosureunderthisAgreementandisnotsubjecttoanyotherobligationofconfidentiality;（b）isorbecomespubliclyknownthroughnoactordefaultoftheRecipient;or（c）[isobtainedbytheRecipientfromathirdpartyincircumstanceswheretheRecipienthasnoreasontobelievethattherehasbeenabreachofanobligationofconfidentiality.]5.4TherestrictionsinthisClause5donotapplytotheextentthatanyDisclosorConfidentialInformationisrequiredtobedisclosedbyanylaworregulation,byanyjudicialorgovernmentalorderorrequest,orpursuanttodisclosurerequirementsrelatingtothelistingofthestockoftheRecipientonanyrecognisedstockexchange.5.5UpontheterminationofthisAgreement,theRecipientmustimmediatelyceasetousetheDisclosorConfidentialInformation.5.6[FollowingtheterminationofthisAgreement,andwithin[5BusinessDays]followingthedateofreceiptofawrittenrequestfromtheDisclosor/Within[5BusinessDays]followingthedateofterminationofthisAgreement],theRecipientmustdestroyorreturntotheDisclosor（attheDisclosor’soption）allmediacontainingDisclosorConfidentialInformation,andmustirrevocablydeletetheDisclosorConfidentialInformationfromitscomputersystems.5.7TheprovisionsofthisClause5shallcontinueinforce[indefinitelyfollowingtheterminationofthisAgreement/foraperiodof[5years]followingtheterminationofthisAgreement,attheendofwhichperiodtheywillceasetohaveeffect].6.Warranties6.1TheDisclosorwarrantstotheRecipientthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationsundertheAgreement.6.2TheRecipientwarrantstotheDisclosorthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationsundertheAgreement.6.3Alloftheparties’warrantiesandrepresentationsinrespectofthesubjectmatterofthisAgreementareexpresslysetoutinthisAgreement.Tothemaximumextentpermittedbyapplicablelaw,nootherwarrantiesorrepresentationsconcerningthesubjectmatterofthisAgreementwillbeimpliedintotheAgreementoranyrelatedcontract.7.Termination7.1EitherpartymayterminatethisAgreement[forthwithbygivingwrittennoticeofterminationtotheotherparty/bygiving[atleast7days’]writtennoticeofterminationtotheotherparty].8.Effectsoftermination8.1UpontheterminationofthisAgreement,alloftheprovisionsofthisAgreementshallceasetohaveeffect,savethatthefollowingprovisionsofthisAgreementshallsurviveandcontinuetohaveeffect（inaccordancewiththeirexpresstermsorotherwiseindefinitely）:

Clauses1,5,8and9.8.2TheterminationofthisAgreementshallnotaffecttheaccruedrightsofeitherparty.9.General9.1NobreachofanyprovisionofthisAgreementshallbewaivedexceptwiththeexpresswrittenconsentofthepartynotinbreach.9.2IfanyprovisionofthisAgreementisdeterminedbyanycourtorothercompetentauthoritytobeunlawfuland/orunenforceable,theotherprovisionsoftheAgreementwillcontinueineffect.Ifanyunlawfuland/orunenforceableprovisionwouldbelawfulorenforceableifpartofitweredeleted,thatpartwillbedeemedtobedeleted,andtherestoftheprovisionwillcontinueineffect（unlessthatwouldcontradicttheclearintentionoftheparties,inwhichcasetheentiretyoftherelevantprovisionwillbedeemedtobedeleted）.9.3ThisAgreementmaynotbevariedexceptbyawrittendocumentsignedbyoronbehalfofeachoftheparties.9.4Neitherpartymaywithoutthepriorwrittenconsentoftheotherpartyassign,transfer,charge,licenseorotherwisedealinordisposeofanycontractualrightsorobligationsunderthisAgreement.9.5ThisAgreementismadeforthebenefitoftheparties,andisnotintendedtobenefitanythirdpartyorbeenforceablebyanythirdparty.Therightsofthepartiestoterminate,rescind,oragreeanyamendment,waiver,variationorsettlementunderorrelatingtothisAgreementarenotsubjecttotheconsentofanythirdparty.9.6NothinginthisAgreementshallexcludeorlimitanyliabilityofapartyforfraudorfraudulentmisrepresentation,oranyotherliabilityofapartythatmaynotbeexcludedorlimitedunderapplicablelaw.9.7SubjecttoClause9.6,thisAgreementshallconstitutetheentireagreementbetweenthepartiesinrelationtothesubjectmatterofthisAgreement,andshallsupersedeallpreviousagreements,arrangementsandunderstandingsbetweenthepartiesinrespectofthatsubjectmatter.9.8ThisAgreementshallbegovernedbyandconstruedinaccordancewith[Englishlaw].9.9Thecourtsof[England]shallhaveexclusivejurisdictiontoadjudicateanydisputearisingunderorinconnectionwiththisAgreement.EXECUTIONThepartieshaveindicatedtheiracceptanceofthisAgreementbyexecutingitbelow.SIGNEDBY[[individualname]on[...............],theDisclosor/[individualname]on[...............],dulyauthorisedforandonbehalfoftheDisclosor]:
