BETWEENAAACORPORATIONANDBBB,INC

THISAMENDEDANDRESTATEDAGREEMENT（this‘Agreement’）isenteredintoasof_________,_________,_________（M,D,Y）（the‘EffectiveDate’）byandbetweenAAACORPORATION,acorporationorganizedunderthelawsoftheStateof_________（PLACENAME）（‘AAA’）,andBBB,INC.,acorporationorganizedunderthelawsoftheStateof_________（PLACENAME）（‘BBB’）,withreferencetothefollowingfacts:

A.Onorabout_________,_________,_________（M,D,Y）,AAAcausedtheformationofBBBandtransferredcertainAAAassetstoBBBinreturnforcertainstockinBBB.

B.ToassistBBBinitsdaytodayoperationsasanewcorporateentity,AAAandBBBenteredintoaMapServerLicenseAgreementdatedasof_________,_________,_________（M,D,Y）（the‘MapServerAgreement’）,pursuanttowhichAAAprovidedcertainlocalstreetmapsanddrivingdirectionsandothermappingservicestoBBB,andBBBengagedAAAtoprovidesuchservices.

C.ThepartiesnowdesiretoamendandsupercedetheMapServerLicenseAgreementinitsentiretybyenteringintothisAmendedandRestatedMapServerLicenseAgreementpursuanttothetermsandconditionssetforthherein.

THEREFORE,thepartiesherebyagreeasfollows:

AAAConfidential

1.Definitions

1.1‘Affiliates’shallmeananyentityinwhich,asoftheEffectiveDate,BBB,directlyorindirectly,orthroughoneormoreintermediaries,holdsthebeneficialownershipofmorethanfiftypercent（50%）oftheequitysecuritiesorinterests,andonlysolongassuchownershipcontinues.

1.2‘Data’shallmeanallthirdpartydatalicensedbyAAAandusedinMapsandintheseparateDataDump,asoftheEffectiveDate.

1.3‘DataDump’shallmeanthesetofdataincludingbutnotlimitedtoPointsofInterest,city,andregion,generallycontaininguniqueidentifierssuchastherelatedgeographiclocation,name,type,andlanguage,andusedinBBB’scatalogingsystemtoenableuserstosearchbyPointofInterestwhenperformingasearchonBBB.

1.4‘BBBIcon’shallmeananygraphicsortext,including,withoutlimitation,persistenthyperlinksintheformofanBBBlogoorotherrepresentationaliconcreatedbyBBBforanBBBtravelserviceorproduct.

1.5‘BBBDataFeed’shallmeanthedatasuppliedbyBBBtoAAAwhichcontainsthegeographiclocationforanytravelserviceofferedbyBBB,andthelocationwheretheBBBIconorotherrepresentationalicon,whichincludesanunderlyingURLtotheBBBWebSite,shouldbeplacedontheMapPoint.NetMapsusedbyBBB.

1.6‘BBBMaps’shallmeanthemapservicesprovidedontheBBBWebSite,locatedatwww.BBB.comasoftheEffectiveDate.

1.7‘BBBUpdates’shallmeananyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnologythatBBBoritsAffiliatesmayhavedevelopedorwilldeveloppursuanttothisAgreement.

1.8‘BBBWebSite’meansanywebsiteownedorcontrolledbyBBBoritsAffiliates,whichisaccessedbyusers.

1.9‘LaunchDate’shallmeanthedatethatBBBbeginsprovidingtravelserviceswithmapsservedfromcomputershostedbyAAA,andwhichinnoeventwillbelaterthansix（6）monthsaftertheEffectiveDate;providedAAAhasmeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.

1.10‘Link’shallmean:

（i）oneormorehyperlinkslocatedontheapplicableareasoftheMapPoint.NetMaps,or（iii）anyotheralternativemethodthatenablesausertoaccessBBB.LinksalsoincludeanyconnectiontoBBBthroughtheInternet,email,broadband,InternetII,wirelessandhandhelddevices,cellphones,digitalappliances,orotherdigitalinteractivemeans,networks,devices,ortransmissions（whetherexistingnoworinthefuture）.

1.11‘Maps’shallmeancollectively,theBBBMapsandtheMapPoint.NetMaps.

1.12‘MapPoint.NetMaps’shallmeanareliablewebenabledmappingsolutiondevelopedbyAAAthatincludesinteractivemaps,proximitysearchinganddetaileddrivingdirections.

1.13‘PointofInterest’shallmeanthosecertaingeographiclocations,whichincludebutarenotlimitedto,suchplacesascampgrounds,parksandotherattractionsorplacesofinterest（e.g.theEmpireStateBuilding）.

1.14‘ServerTechnology’shallmeanthecomputersoftwareownedbyAAAandlistedinExhibitA.

1.15‘Service’shallmeanthehostingofServerTechnology,MapPoint.NetMaps,specificationsandformats,andwhichincludeswithoutlimitationthetesting,implementation,hosting,maintenance,support,operationandupdateschedules,asapplicable,fortheServerTechnology,DataandMapPoint.NetMapsasprovidedbyAAAtoBBBasapartofsuchservice,whichenablesBBBtousetheMapPoint.NetMapsascontemplatedherein.

2.Delivery,Operation,andUse

2.1Delivery.ThepartiesacknowledgethatBBBalreadyhascopiesoftheServerTechnologyandDatainitspossessionasoftheEffectiveDate.

2.2UpdatesandErrorCorrections.

（a）AAA.AAAandBBBwillcooperatetotesttheinitialversionofMapPoint.NetMapsthatAAAisoperatingasoftheEffectiveDateinabetaenvironmenttoascertainifitmeetsthestabilityrequirementsoutlinedinExhibitChereto.Eachupgradetheretoshallbetestedinasimilarfashion.Thepartieswillcooperatetoensurethatthebetatestingoftheinitialversionandanyupgradetheretoisconcludedinatimelymanner.

（b）MapPoint.NetMapUpdates.WhenandifAAAmakescommerciallyavailableduringthetermofthisAgreementanyupdates,upgrades,errorcorrections,orotherimprovementstotheMapPoint.NetMaps（‘MapPoint.NetMapUpdates’）,AAAshallpromptlymakeavailablesuchMapPoint.NetMapUpdatestoBBBonservershostedbyAAAtotheextentpermittedunderapplicablelicenseagreements.UponBBB’scommencementofuse,suchMapPoint.NetUpdatesshallbeconsideredpartoftheMapPoint.NetMapsforpurposesofthisAgreement.BBBmustcommenceusingeachMapPoint.NetMapUpdatewithinsixty（60）daysafteritisfirstmadecommerciallyavailable;providedtheymeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.

（c）BBB.IntheeventthatBBBoritsAffiliatedevelopsanyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnology,BBBshallpromptlydeliver,orcauseitsAffiliatetodeliver,suchBBBUpdatestoAAA.

2.3SupportandOperation.PriortotheLaunchDate,BBBshallbesolelyresponsibleforthesupportandoperationoftheBBBMaps.EffectiveasoftheLaunchDate,AAAshallbesolelyresponsibleforthesupportandoperationoftheMaps,andagreestoprovidetheServicetoBBBinaccordancewithExhibitCheretowithatleastthesameservicelevelthatAAAwillprovidetotheAAApropertiescurrentlyusingBBBMapsbackendmapserver,whichshallbenolessthanacommerciallyreasonableservicelevel.AsoftheEffectiveDate,theseAAApropertiesincludeCarPoint,HomeAdvisor,MSCommute,MSNMobile,MSNBCandYellowPages（the‘AAABackendProperties’）.AAAshallinsurethatithastheserverinfrastructurenecessarytodeliverstableserviceandhandlethevolumeofcalls/queriestoBBB’sMapPoint.NetMapsserversthatwillbegeneratedbyusagelevelsforecastedquarterlybyBBBpursuanttoSection2.4,andthatsuchserviceshallbedeliveredinahighgradeandprofessionalmannerandinaccordancewiththisSection2.3andExhibitC.AAAwillprovideBBBwithninety（90）daysadvancednoticeshouldAAAchangeoralterinanywaytheunderlyinglatitude/longitudesystemprovidedatthetimeoflaunchofMapPoint.NetMapsonBBB.ThepartieswillimplementaprocessforBBB’stransitiontouseofMapPoint.NetMapsassetforthinSection2.5below.

2.4BBBwillmakeacommerciallyreasonableefforttoprovideAAAwithreasonablyaccuratequarterlyforecastofusageandsixty（60）daysadvancenoticeofanyknownsignificantusagevolumeincreasesandmajorreleases.

2.5TransitionPlan.ThepartiesagreethatBBB’stransitiontoMapPoint.NetMapswillproceedasfollows:

（a）PriortotheLaunchDate,AAAshallprovideBBBwithanexplanationoftheservicesandoperatingproceduresnotspecifiedonExhibitCthatAAAwillprovide.

（b）AAAshallresolvethefour（4）bugswhicharelistedonExhibitEheretopriortotheLaunchDate.

（c）AAAandBBBwilltesttheinitialversionofMapPoint.NetpursuanttoSection2.1above.

（d）BBBmustgiveAAAatleastsixty（60）dayspriorwrittennoticeoftheactualLaunchDate.

（e）ThecurrentmapserverURLsownedbyBBBandusedforprovidingMapstocertainBBBMapsuserswillbeallowedtoreferenceBBB’sdedicatedclusterforMapPoint.Net.BBBwillputtheredirectinplacetotheAAAservers.

2.6UseofMaps.

（a）ThepartiesacknowledgethatAAAisalreadyusingBBBMapstoservelocalstreetmapsand/orprovidedrivingdirectionsintheAAABackendProperties.AAAagreesthatbytheLaunchDate,itshallceaseuseofBBBMapsontheAAABackendProperties,andinanyandallcurrentandfutureversionofanyAAAsoftwareprograms（currentlyusedinFrontPage,MacOffice,Entourage,andAAAOutlook）.Notwithstandingtheforegoing,AAAshallnotberequiredtoceaseuseofBBBMapsinAAAHotmail,AAAIESearchorMSN.com,ortostoplinkingtothefrontendofanBBBWebSite;provided,however,thatfollowingtheLaunchDate,BBBshallnotbeobligatedtoprovidemappingservicestoanyAAApropertyorproduct.

（b）NotwithstandinganythingtothecontraryinthisAgreement,thepartiesagreeandacknowledgethatBBBshallnotberequiredtouseorcontinuetousealloranypartoftheMapPoint.NetMapsortheServiceprovidedbyAAAuntilsix（6）monthsaftertheEffectiveDate,providedthatsuchMapPoint.NetMapsorServicemee
