Article1TheseRegulationsareformulatedinaccordancewiththeLawofthePeople’sRepublicofChinaonPartnerships（hereinafterreferredtoasthePartnershipsLaw）,theMeasuresforAdministrationoftheEstablishmentofPartnershipEnterpriseswithintheTerritoryofChinabyForeignEnterprisesorIndividualsandtheMeasuresforAdministrationoftheRegistrationofPartnershipEnterprisesofthePeople’sRepublicofChina（hereinafterreferredtoastheMeasuresforAdministrationofPartnershipEnterprisesRegistration）,forthepurposeofregulatingtheestablishmentofpartnershipenterpriseswithintheterritoryofChinabyforeignenterprisesorindividualstofacilitatetheirinvestmentinChinathroughestablishingsuchpartnershipenterprisesandexpandeconomiccooperationandtechnologicalexchangewithothercountries.

Article2Forthepurposeoftheseregulations,Theterm“foreign-investedpartnershipenterprises”intheseRegulationsmeanspartnershipenterpriseswhichareestablishedwithintheterritoryofChinabytwoormoreforeignenterprisesorindividuals,aswellasbyforeignenterprisesorindividualsjointlywithChinesenaturalpersons,legalpersonsorotherorganizations.

Theseregulationsshallapplytotheestablishment,alterationandcancellationregistrationofforeign-investedpartnershipenterprises.

Toapplyfortheregistrationofaforeign-investedpartnershipenterprise,theapplicantshallbeliablefortheauthenticityoftheapplicationmaterials.

Article3Foreign-investedpartnershipenterprisesshallabidebytheprovisionsofthePartnershipsLawaswellasotherrelevantlaws,administrativeregulationsandrules,andshallcomplywithforeigninvestmentindustrialpolicies.

TheStateencouragesforeignenterprisesorindividualspossessingadvancedtechnologiesandmanagementexpertisetoestablishpartnershipenterpriseswithintheterritoryofChina,soastohelppromotethedevelopmentofthemodernserviceindustryandotherindustries.

WithrespecttoanyprojectintheGuidingCatalogueofIndustriesforForeignInvestmentwhichislistedundertherestrictedcategoryorismarkedas“limitedtojointventure,”“limitedtocooperation,”“limitedtojointventureorcooperation,”“controlledbytheChineseparty”or“relativelycontrolledbytheChineseparty”orissubjecttotherestrictiononproportionofforeigninvestment,noforeign-investedpartnershipenterprisemaybeestablished.

Article4Foreign-investedpartnershipenterprisesareonlypermittedtoconductbusinessactivitiesaftergoingthroughtheregistrationandobtainingtheBusinessLicenseforForeign-InvestedPartnershipEnterprises.

Article5TheStateAdministrationforIndustryandCommerceisinchargeoftheadministrationoftheregistrationofforeign-investedpartnershipenterprisesthroughoutthecountry.

ThelocaladministrativedepartmentsforindustryandcommerceauthorizedbytheStateAdministrationforIndustryandCommercewiththepowerofregistrationofforeign-investedenterprises（hereinafterreferredtoastheenterpriseregistrationauthority）areinchargeoftheadministrationoftheregistrationofforeign-investedpartnershipenterpriseswithinitsadministrativearea..

Thelocaladministrativedepartmentsforindustryandcommerceofprovinces,autonomousregions,municipalitiesdirectlyundertheCentralGovernment,municipalitiesseparatelylistedintheStateplanorsub-provincialmunicipalityareresponsiblefortheadministrationoftheregistrationofforeign-investedpartnershipenterpriseswhichtakeinvestmentmakingasthemainbusiness.

Chapter2EstablishmentRegistration

Article6Forthepurposeofestablishingaforeign-investedpartnershipenterprise,theconditionsasspecifiedinthePartnershipsLawandtheMeasuresforAdministrationoftheEstablishmentofPartnershipEnterpriseWithintheTerritoryofChinabyForeignEnterprisesorIndividualsshallbefulfilled.

Nowhollystate-ownedcompanyies.state-ownedenterprises,listedcompanies,publicinstitutionsorpublicsocialorganizationsmaybecomegeneralpartners.

Article7Theregistrationparticularsofforeign-investedpartnershipenterprisesshallinclude:

（1）Title;

（2）Mainoperatingplace;

（3）Executivepartners;

（4）Businessscope;

（5）Typeofpartnershipenterprise;and

（6）Nameortitle,country（region）anddomicileofeachpartner,themethodofassumingtheliabilities,theamountsofsubscribedcapitalcontributionortheactuallypaidcapitalcontribution,thetimelimitforpaymentofsubscribedcapital,thecapitalcontributionmethodandevaluationmethod.

Incasethepartnershipagreementsetsforthpartnershipterm,theitemstoberegisteredshallalsoincludethepartnershipterm.

Incasetheexecutivepartnerisaforeignenterprise,Chineselegalpersonoranotherorganization,theitemstoberegisteredshallalsoincludetherepresentativeappointedbysuchforeignenterprise,Chineselegalpersonoranotherorganization（hereinafterreferredtoas“appointedrepresentative”）.

Article8Thetitleofforeign-investedpartnershipenterprisesshallcomplywiththeprovisionsoftheStaterelatingtotheadministrationofregistrationofenterprisetitle.

Article9Eachforeign-investedpartnershipenterprisemayonlyhaveonemainoperatingplace,whichshallbelocatedwithintheadministrativeareaofthecompetententerpriseregistrationauthority.

Article10Incasenoexecutivepartnerisappointedinthepartnershipagreementorbyallgeneralpartners,allthegeneralpartnersshallbeexecutivepartners.

Nolimitedpartnermaybecometheexecutivepartner.

Article11Thetypesofforeign-investedpartnershipenterpriseincludeforeign-investedgeneralpartnershipenterprises（includingspecialgeneralpartnershipenterprises）andforeign-investedlimitedpartnershipenterprises.

Article12Forthepurposeofestablishingaforeign-investedpartnershipenterprise,therepresentativeappointedortheagentjointlyentrustedbyallofthepartnersshallapplyforregistrationofestablishmenttotheenterpriseregistrationauthority.

Toapplyforregistrationofestablishmentofaforeign-investedpartnershipenterprise,thefollowingdocumentsshallbesubmittedtotheenterpriseregistrationauthority:

（1）Establishmentregistrationapplicationformsignedbyallpartners;

（2）Partnershipagreementsignedbyallpartners;

（3）Legal-subjectcapacitycertificateofeachpartner（identitycertificateincaseofanaturalperson）;

（4）Mainoperationplaceusingcertificate;

（5）Powerofattorneyfortherepresentativeappointedortheagentjointlyentrustedbyallofthepartners;

（6）Confirmationofallpartnersforthesubscribedcapitalcontributionoractuallypaidcapitalofeachpartner;

（7）Statementoncompliancewithforeigninvestmentindustrialpoliciesassignedbyallpartners;

（8）Thecreditcertificateissuedbyfinancialinstitutionswhichhavebusinesscontactwiththeforeignpartners;

（9）PowerofAttorneyforAcceptanceofLegalDocumentssignedbyforeignpartnersandtherecipientsoflegaldocumentswithintheterritoryofChina;and

（10）Otherrelevantdocumentsasrequiredbytheseregulations.

Incasetheestablishmentofaforeign-investedpartnershipenterpriseissubjecttotheapprovalasrequiredinrelevantlawsoradministrativeregulationsorregulationsoftheStateCouncil,therelevantapprovaldocumentsshallalsobesubmitted.

Thelegal-subjectcapacitycertificates（oridentitycertificateincaseofanaturalperson）andoverseasdomicilecertificatesoftheforeignpartnersshallbenotarizedandverifiedbythecompetentauthorityintheirowncountries,andshallbecertifiedbytheChineseembassiesorconsulatesinsuchcountries.AsforapartnerwhichisdomiciledintheHongKongSpecialAdministrativeRegion,theMacaoSpecialAdministrativeRegionortheTaiwanRegion,thelegal-subjectcapacitycertificate（oridentitycertificateincaseofanaturalperson）anddomicilecertificateshallbedealtwithinaccordancewiththeexistingrelevantregulations.

PowerofAttorneyforAcceptanceofLegalDocumentsshallexpresslyauthorizetheagenttoacceptthelegaldocumentsonbehalfoftheforeignpartners,andshallsetforththenameortitle,addressandcontactinformationoftheauthorized.TheagentmaybeanenterprisesetupbysuchforeignpartnerwithintheterritoryofChina,ato-be-foundedforeign-investedpartnershipenterprise（Incasetheagentisato-be-foundedforeign-investedpartnershipenterprise,theauthorizationshallcomeintoforceonlyaftersuchforeign-investedpartnershipenterpriseisdulyestablished）oranyotherrelevantentityorindividualwithintheterritoryofChina.

Article13Incasethebusinessscopeofforeign-investedpartne
