WITNESSETH   兹证明：

WHEREASeachofCompanyandtheParticipantpossesscertainproprietaryvaluableandconfidentialinformationandtechnologyand鉴于公司与参与者均拥有某些专有的、有经济价值且秘密的信息和技术WHEREASthePartiesdesiretoenterintodiscussionsforthepurposeofevaluatingthepossibilityofcooperationinChinaandforsuchotherpurposesasthePartiesmayagreeinwriting鉴于协议双方为探求在中国境内合作的可能性以及协议双方书面同意的其他目的拟进行商谈WHEREASinordertodeterminetheirinterestinenteringintosuchabusinesstransaction,thePartieswishtoexchangeortoprovideoneanotherwithaccesstotheirrespective“ConfidentialInformation”（asdefinedbelow）,withoutunderminingitsconfidentialnatureandeconomicvalue鉴于为确定各自在合作交易中的利益在不破坏其机密性和经济价值的前提下协议双方愿意相互交换或向对方提供各自拥有的保密信息（定义见下文）NOWTHEREFORE,inconsiderationofthemutualundertakingsandpromisesherein,thepartiesheretoherebyagreeasfollows:

因此基于如下相互的保证和承诺协议双方达成如下条款：

ConfidentialInformation保密信息ThetermConfidentialInformationmeansanyandallinformationandknowhowofaproprietary,private,secretorconfidentialnature,inwhateverform,thatrelatestothebusiness,financialcondition,technologyandorproductsoftheDiscloser,itscustomers,potentialcustomers,suppliersorpotentialsuppliers,providedordisclosedtotheRecipientbytheDiscloser,oranyonitsbehalf,orwhichotherwisebecomesknowntotheRecipient,whetherornotmarkedorotherwisedesignatedas“confidential”,“proprietary”orwithanyotherlegendindicatingitsproprietarynatureBywayofillustrationandnotlimitation,ConfidentialInformationincludesallformsandtypesoffinancial,business,technical,includingbutnotlimitedtospecifications,designs,techniques,processes,procedures,methods,compilations,inventionsanddevelopments,products,samples,algorithms,computerprograms（whetherassourcecodeorobjectcode）,data,marketingandcustomerinformation,vendorinformation,personalinformation,projections,plansandreports,andanyotherdata,documentation,orinformationrelatedthereto,aswellasimprovementsthereof,whetherintangibleorintangibleform,andwhetherornotstored,compiledormemorializedinanymediaorinwriting,includinginformationdisclosedasaresultofanyvisitation,consultationorinformationdisclosedbyPartiestothisAgreementorotherpartiesontheirbehalfsuchasconsultants,clients,suppliersandcustomers,etcTheDisclosershalldetermineinitssolediscretionwhatinformationandmaterialsitshalldisclosetotheRecipient“保密信息”是指任何及所有专有的、私有的、秘密的或机密性质的无论以何种形式与披露方及其客户、潜在客户、供应商或潜在供应商的业务、财务状况、技术和或产品相关的资料和技术。

上述保密信息由披露方提供或披露给接受方或由披露方的代表提供或披露给接受方或接受方以其他方式知晓的无论有无明确标志或以其他方式指定为“机密”、“专有”或与任何其他表明其具有专有性的标志。

保密信息包括但不限于各种形式和类型的金融、商业、技术包括但不限于规格、设计、技术、过程、程序、方法、汇编、发明和改进、产品、样本、运算法则、计算机程序（无论是作为源代码或目标代码）、数据、市场营销和客户信息、供应商信息、个人信息、预测、计划和报告以及其他任何数据、文件或相关的信息以及对相关改进不论以有形的或无形的形式以及不论是否以书面形式或在任何媒介上储存、汇编或记忆包括因任何考察、协商披露的资料或本协议双方或其代表如顾问、客户、供应商及消费者披露的信息。

披露方有权单方决定向对方披露的信息和材料。

ConfidentialInformationshallnotincludeinformationormatterthattheRecipientcandemonstratebyreasonableandtangibleevidencetoDiscloser’sreasonablesatisfaction,that:

（a）wasalreadyknowntotheRecipientpriortoitsdisclosurepursuanttothisAgreement,orwasindependentlydevelopedbytheRecipientthereafterwithoutreferencetooruseoftheConfidentialInformationoftheotherParty（b）hasbecomeapartofthepublicknowledge,withoutabreachofthisAgreementbytheRecipientor（c）shallhavebeenreceivedbytheRecipientfromanotherpersonorentityhavingnoconfidentialityobligationtotheDiscloseror（d）isexplicitlyapprovedinwritingbytheDiscloserforreleasebytheRecipientor（e）isdisclosedpursuanttoacourtorder,ortotheextentrequiredunderanyapplicablelaw,providedtheRecipientattherequestandexpenseoftheDiscloser,usesreasonableeffortstolimitsuchdisclosuretotheextentrequestedandfurtherprovidedthat,totheextentpermissiblebylaw,suchdisclosurewillonlybemadeatthelatesttimelegallyallowedandafternoticeisgiventotheDiscloser,assoonaspracticablypossible,allowingittotakelegalmeasurestopreventthedisclosure保密信息不应包括接受方可以用合理的方式证明并提供有形的证据达到披露方的合理要求的下列信息或事项即：

（a）接受方在签订本协定之前已经知晓的或由接受方受方未经参考或使用另一方提供的保密信息而独立发展而来的（b）非因接受方违反本协议而成为公开信息的（c）接受方从其他对披露方无保密义务的个人或主体收到的（d）披露方以书面方式明确允许接受方披露的或（e）根据一项法庭命令披露的或据任何可适用的法律的要求披露的如果披露方要求并承担费用接受方尽了合理努力在法律要求的程度内限制此种披露或者如果在法律允许的范围内接受方在最晚的时间给予披露或者接受方在实际可能的情况下尽快通知披露方使其能够采取法律措施以阻止该披露。

ObligationsoftheRecipient接受方的义务SubjecttoClausebelow,RecipientshalltreatallConfidentialInformationoftheDiscloserasstrictlyconfidentialandsecure,usingthesamedegreeofcaretheRecipientusestoprotectitsownconfidentialinformation,butinanyeventnotlessthanhighstandardofcare,andwithoutthepriorwrittenconsentoftheDiscloser:

根据以下条规定接受方应将披露方所有保密信息视为高度保密以等同于保护自己保密信息的程度确保其安全但是在任何情况下均不得低于高标准的保护未经披露方事先书面同意接受方：

（a）Shallnotexploitormakeuse,directlyorindirectly,andorcopy,duplicateorreproducesuchConfidentialInformation,foranyotherpurposeotherthanforthePurpose（a）不得为任何本协议以外的目的直接或间接地利用或使用、模仿、重复或复制上述保密信息（b）ShallprotectandsafeguardtheConfidentialInformationagainstanyunauthorizeduse,disclosure,transferorpublicationwithatleastthesamedegreeofcareasitusesforitsownconfidentialorproprietaryinformation,butinnoeventwithlessthanhighcare（b）应保护和维护保密信息使其免于任何XX的使用、披露、转让或出版不低于保护自己保密或专有信息的程度但在任何情况均不得低于高标准的保护ShallnotuseanyConfidentialInformationtocompeteorobtainanycompetitiveorotheradvantagewithrespecttotheDiscloser（c）不得使用任何保密信息与披露方竞争或获得任何披露方的竞争优势或其他方面的优势（d）ShallrestrictitsinternaldisclosureoftheConfidentialInformationonlytothoseemployeeswhoclearlyhaveaneedtoknowofsuchConfidentialInformation,andthenonlytotheextentofsuchneedtoknowandstrictlyforthePurposes（d）应严格限制上述保密信息在其内部的披露只对需要知晓上述保密信息的雇员披露以及此种披露控制在达到本协议目的的程度Shallnotdiscloseortransfer,directlyorindirectly,theConfidentialInformationoranypartthereof,oranydocumentorothermaterial（inanymedium）,whichcontains,summarizesorembodiestheConfidentialInformationoranypartthereof,toanyperson,firm,corporationoranyotherentity,atanytimeunlessitwasauthorizedbytheDiscloserinadvanceItbeingunderstoodthatanydisclosureofConfidentialInformationtoanytransfereewillbemade（A）onlyonaneedtoknowbasissolelyforthePurposeand（B）onlytosuchtransfereeswhohaveagreedinwriting,priortoandasaconditionfordisclosurethereto,to（x）keeptheconfidentialityofsuchConfidentialInformationand（y）beboundtotheconfidentialityobligationsofthisAgreement（asifithadoriginallybeennamedastheRecipientherein）and（z）nameDiscloserasanintendedthirdpartybeneficiaryofeachsuchwrittenagreementwiththerightstoenforcesuchwrittenagreementmadebysuchtransfereeForavoidanceofdoubtnotransfereeshallhavetherighttofurtherdiscloseinformationsodisclosedthereto除非得到披露方事先授权否则不得在任何时间直接或间接地向任何个人、公司或任何其他实体披露或转让保密信息或其任何部分或任何包含、总结或体现保密信息的文件或其他材料或其中任何部分（无论存储于任何媒介）。

接受方理解任何保密信息只有在如下情况下可以向受让人披露：

（A）仅因本协议目的（B）仅向在得知保密信息之前已经书面同意如下条件下的受让人披露：

（）保持保密信息的保密性（）受本协议保密义务的约束视为本协议之接受方以及（）指定披露方为受让人签订的任何书面协议中的第三方受益人以享受履行此类协议的权利。

为免生疑问受让方不得对在此披露的保密信息作进一步披露。

f）ShallassumefullresponsibilityforenforcingthisAgreementandshalltakeappropriatemeasureswithallpersonsactingonitsbehalftoensurethatsuchpersonsareboundbyamateriallysimilarcovenantofconfidentiality,andinformingsuchpersonsthatsuchConfidentialInformationshallnotbedisclosedexceptasprovidedhereinRecipientshallbefullyresponsibleforanybreachofthetermsofthisAgreementbyanyofitstransfereesandbyanypersonactingontheirbehalf（f）承担执行本协议的全部责任并与代其采取行为的所有的人采取适当的措施以确保这些人受一个实质相似的合约或保密协议的约束并通知这些人除非另有规定这种保密信息不应予以披露。

接受方应就其承让人和代其采取行为的所有的人对本协议条款的违约负完全责任（g）ShallnotifyDiscloserupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformationandtakereasonablestepstoregainpossessionoftheConfidentialInformationandpreventfurtherunauthorizedactionsorotherbreachofthisAgreement（g）在发现任何XX使用或披露保密信息的行为后应通知披露方并采取合理步骤以恢复对保密信息的占有并防止XX的进一步行为或其他违约行为。

NoRightsorLicensesGrantedThedisclosureoftheConfidentialInformationpursuanttothisAgreementshallnotgranttheRecipientanyexpressorimpliedlicenseorrightinsuchConfidentialInformation,includingwithoutlimitationanyrightorlicensetoanypatent,trademark,copyright,tradesecret,moralrightoranyotherrightrecognizedbyanylaworregulationofanyjurisdictionworldwide（collectively,“IntellectualPropertyRights”）TheDiscloserandoritslicensorsareandshallremainatalltimestheownersofallIntellectualPropertyRightsinanyConfidentialInformation,tobeusedbytheRecipientonlyforthePurposeEachPartyagreesthatitshallnotremoveorotherwisealteranyoftheDiscloserstrademarks,logos,copyrightnoticesorotherproprietarynoticesorindicia,ifany,fixedorattachedtotheConfidentialInformationoranypartthereof没有权利或给予许可。

根据本协议披露的保密信息不得给予接受人任何明示或暗 示的对保密信息的许可或权利包括但不限于对任何专利、商标、著作权、商业秘密、道德权利或任何其他全球任何司法管辖区的任何法律或法规所承认的权利的任何权利或许可（统称为“知识产权”）。

披露方和或其许可人在任何时候要保持为保密信息的知识产权的所有权人以使接受人只作此用途。

各当事人同意不得删除或改变与保密信息固有或相连的任何商标、徽标、著作权声明或其他所有权声明或标志。

ReturnofConfidentialInformationUnlessotherwiserequiredbyapplicablelaworregulationorbyanycompetentjudicial,governmental,supervisoryorregulatorybody（includingwithoutlimitation,anystockexchange）,theRecipientshalleitherdestroyorreturntotheDiscloserimmediatelyuponitsrequestallcopiesoftheConfidentialInformationandalldocumentsandanyandallmaterials（inanymedium）,whichcontain,summarizeorembodytheConfidentialInformationoranypartthereof,whicharetheninthepossessionoftheRecipient,itsTransfereesandorunderanyoftheircontrol,withoutretainingcopiesthereof,andineithercaseshallcertifyinwritingwithinten（）daysofreceivingsucharequest,itscompliancewiththetermsofthisprovision保密信息的返还。

除非适用法律或法规或任何主管司法、政府、监管或监管机构（包括但不限于任何证券交易所）另有规定否则接受人应在要求后立即销毁或返还所有保密信息的副本、所有文件和任何材料（任何媒介）不得保留任何备份这些文件或材料包含、总结或体现保密信息或其任何部分保密信息或其任何部分此时在接受人、其承让人或者在他们任何人的控制之下。

任何一方应书面保证在接到返还要求后十（）天内履行这一条款。

Miscellaneous其他NoObligationNeitherthisAgreementnorthedisclosureorreceiptofConfidentialInformationshallconstituteorimplyanyobligationorintentionbyeitherPartytomakeanycooperationorotherwiseenterintoanyotherbusinessrelationshipwiththeotherParty无义务。

本协议以及保密信息的披露方或接受方不得构成或暗含由任何一方作出任何合作或以其他方式
