　　AnyoftheforegoingofficerswhoceasestobeashareholderintheCorporation

Theundersignedshareholdersagreeanyactiontakenatameetingofthe

　　shareholdersthatreceivesavoteinfavoroflessthan________%ofthe

　　thisagreement.Anysuchoffershallbemadeinwritingandshallremainopen

　　Shouldthecorporationaccepttheoffer，itmustagreeinwritingtopurchase

　　theentireamountofstockofferedandshallmakeadownpaymentcomprisedof

　　freelytransferableandnolongersubjecttotheprovisionsandlimitationsof

　　thisagreement.Thisagreementshallnotbarasale，transfer，assignment，or

　　bequestsharesofstockbyoneoftheundersignedshareholderstoamemberof

　　hisorherimmediatefamily，whoshall，however，takehisorherstocksubject

　　toalltheprovisionsandlimitationsofthisagreement.

　　4（c）。

Thepartiestothisagreementagreethatuponthedeathof

　　legalrepresentativesofthedeceasedshall，within________days，offertosell

　　totheCorporationallthesharesofstockownedbythedeceasedatthetimeof

　　herfamilyshallterminateanyandallinterestintheCorporationandthatany

　　shallselltotheCorporationallsharesofstockownedbythemwithinaperiod

Theundersignedpartiesagreethatasofthisdateoneshareofstockin

　　6.EachcertificateofstockoftheCorporationshallcontainthefollowing

　　scopeofagreement（协定的范围）

　　alltransactionsandallcontractsenteredintobetweensncandthecustomer,shallbegovernedbythetermsofthiscustomeragreementandthetermsofanyadditionalwrittenstatementsofsnctradingregulationsorsncadditionalscheduleswhichmayfromtimetotimebesetforthoramendedbysncandwhichshallthereuponconstituteaportionofthiscustomeragreement,excepttotheextent（ifany）thatsncshallagreeornotifythecustomerinwritingthatotheroradditionaltermsapply.anyproposalsfor,additionsto,ormodificationsofthisagreement,absentwrittenagreementbyanauthorizedpersonemployedbysnctothecontrary,arevoidandshallhavenoeffect.
